文章摘要：組建國有資本投資運營公司的前提是國有企業(yè)的分類改革與混合所有制改革．以及建立有效的治理機制。未來的國有資本監(jiān)管體制將由國有資本管理體制和國有企業(yè)監(jiān)管體制兩部分構(gòu)成。國有資本管理體制側(cè)重于國有資本運營和管理的市場化措施和手段。在未來的國有企業(yè)監(jiān)管體制下，公益類國有企業(yè)主要通過政府的行業(yè)監(jiān)管來實現(xiàn)，功能類國有企業(yè)通過產(chǎn)業(yè)政策實現(xiàn)扶持和引導，競爭類國有企業(yè)通過競爭政策和反壟斷法來宏觀協(xié)調(diào)。應建立一個綜合的國有資本管理機構(gòu)來負責我國的經(jīng)營性國有資產(chǎn)和國有企業(yè)的監(jiān)管和運營。

Abstr：The premise to establish state-owned capital investment/operating company includes the classification reform of state owned enterprises and the mixed ownership reform, and the establishment of an effective governance mechanism. On this basis, the future of the state-owned capital supervision system will be composed of two parts of the state-owned capital management system and state-owned enterprises supervision system. State-owned capital management system will focus on capital operation and management using market-oriented measures and means. And under the future state-owned enterprises supervision system, public-welfare state-owned enterprises will achieve their goals mainly through government regulation, and the functional state-owned enterprises will be supported and guided by industrial policy, and the competitive state-owned enterprises will be tamed by competition policy and antitrust law. At the same time, we should establish a comprehensive state-owned capital management agency responsible for all the management and operation of our state-owned assets and state-owned enterprise.
