為了尋求新的知識(shí)和技術(shù)能力以及區(qū)位優(yōu)勢(shì),很多公司開始走出國(guó)門來(lái)進(jìn)行跨國(guó)收購(gòu)。尤其對(duì)于高科技企業(yè)來(lái)說(shuō),技術(shù)的更新?lián)Q代非常頻繁。高科技企業(yè)通過(guò)跨國(guó)并購(gòu)可以快速獲得先進(jìn)技術(shù)、提升創(chuàng)新績(jī)效和核心競(jìng)爭(zhēng)力。因此,無(wú)論從學(xué)界還是業(yè)界,都有必要來(lái)深入探討如何提高技術(shù)型跨國(guó)并購(gòu)的創(chuàng)新績(jī)效。本論文試圖從三個(gè)方面來(lái)進(jìn)行實(shí)證探討,以期進(jìn)一步豐富技術(shù)型跨國(guó)并購(gòu)的理論文獻(xiàn),并為高科技企業(yè)提供一定的實(shí)踐指導(dǎo)。第一篇實(shí)證論文著重探討當(dāng)技術(shù)型跨國(guó)并購(gòu)交易完成之后,收購(gòu)的股權(quán)比例和整合程度如何有助于提升并購(gòu)后的創(chuàng)新績(jī)效。在結(jié)合委托代理理論和資源基礎(chǔ)理論的基礎(chǔ)上,本文提出兩個(gè)重要假設(shè):（1）并購(gòu)方收購(gòu)的股權(quán)比例與其創(chuàng)新績(jī)效成正相關(guān)關(guān)系;（2）并購(gòu)后的整合程度在股權(quán)比例與創(chuàng)新績(jī)效之間起到中介作用。通過(guò)對(duì)來(lái)自生物技術(shù)、計(jì)算機(jī)、通信和電子行業(yè)的546家公司的跨國(guó)并購(gòu)事件的分析,本文發(fā)現(xiàn):并購(gòu)方收購(gòu)的股權(quán)比例越高,隨后的整合程度越高,相應(yīng)地并購(gòu)方未來(lái)的創(chuàng)新績(jī)效也越好。第二篇實(shí)證研究主要探討制度距離在技術(shù)型跨國(guó)并購(gòu)中的作用。任何跨國(guó)并購(gòu)都會(huì)涉及到兩個(gè)或兩個(gè)以上的國(guó)家的參與。每個(gè)國(guó)家都有自己獨(dú)特的制度環(huán)境。本文認(rèn)為,雖然并購(gòu)方收購(gòu)的股...
