【摘要】:近年來(lái),章子怡“詐捐門(mén)”、“郭美美事件”的爆發(fā),導(dǎo)致紅十字會(huì)等基金會(huì)的號(hào)召力和公信力一落千丈,究其根源還是基金會(huì)制度出了問(wèn)題。公益信托作為發(fā)展公益事業(yè)的另一個(gè)重要途徑,其特點(diǎn)在于能夠使信托受益人得到更好的保護(hù),并且具有設(shè)立程序方便快捷的特點(diǎn)和財(cái)產(chǎn)獨(dú)立的優(yōu)勢(shì),因此在英美法系國(guó)家,公益信托在慈善領(lǐng)域得到了極大地利用。像日、韓這樣的大陸法系國(guó)家也廣泛地引進(jìn)公益信托,其目的在于彌補(bǔ)本國(guó)財(cái)團(tuán)法人制度的缺陷。我國(guó)自2001年《信托法》也開(kāi)始正式引入該制度。但是由于一些社會(huì)和法律傳統(tǒng)等因素,公益信托制度至今在我國(guó)舉步維艱。公益信托成立后,受托人按照委托人的公益目的管理和處分信托財(cái)產(chǎn),從而保證受益人實(shí)現(xiàn)受益權(quán),是公益信托三方當(dāng)事人中的中流砥柱。因而公益信托受托人制度的完善對(duì)于公益信托制度在我國(guó)公益領(lǐng)域的發(fā)展和廣泛適用至關(guān)重要。 鑒于此,本文使用了文獻(xiàn)綜述、分析比較等方法,通過(guò)把公益信托制度與財(cái)團(tuán)法人制度二者進(jìn)行比較,分析出公益信托的優(yōu)點(diǎn),進(jìn)而論證目前我國(guó)建立健全公益信托的緊迫性。接著對(duì)公益信托制度在實(shí)踐運(yùn)用中的缺陷進(jìn)行思考,并借鑒國(guó)外信托業(yè)發(fā)達(dá)國(guó)家的做法,提出一些完善建議。 本文共分為引言、正文和結(jié)語(yǔ)三大部分。 正文共分為四部分: 第一部分首先對(duì)公益信托進(jìn)行概述,涵蓋了公益信托的起源、法律特征和制度價(jià)值,便于下文的論述;然后對(duì)公益受托人之所以能在該法律關(guān)系里扮演重要角色的原因進(jìn)行思考,并論證改善公益信托受托人制度的必要性。 第二部分一開(kāi)始便對(duì)目前的兩大主流法系關(guān)于公益信托受托人資格的規(guī)定進(jìn)行闡述,同時(shí)對(duì)我國(guó)法律的相關(guān)規(guī)定進(jìn)行分析;然后通過(guò)對(duì)比兩大法系的基金會(huì)制度,提出建立基金會(huì)和信托投資公司共同作為公益信徒受托人的雙重體制,,發(fā)揮二者各自的優(yōu)勢(shì)。 第三部分是對(duì)公益信托受托人的特殊權(quán)利義務(wù)內(nèi)容進(jìn)行分析,由于當(dāng)前我國(guó)的法律條文關(guān)于此方面的規(guī)定并不詳細(xì)具體,建議學(xué)習(xí)英美國(guó)家,在立法上將權(quán)利和義務(wù)具體化,使其更具指導(dǎo)性和操作性。 第四部分論述我國(guó)公益信托監(jiān)督體系的構(gòu)建。
[Abstract]:In recent years, the outbreak of Zhang Ziyi's "false donation" and "Guo Meimei incident" has led to the collapse of the appeal and credibility of the Red Cross and other foundations. The root of the problem is the foundation system. As another important way to develop public welfare, public trust is characterized by its ability to better protect the beneficiaries of the trust. And it has the advantages of convenient procedures and independent property. Therefore, in common law countries, public trust has been greatly utilized in the field of charity. Countries of civil law such as Japan and South Korea have also extensively introduced public trust. Its purpose is to make up for the defects of the financial corporation system in our country. Since 2001, the Trust Law has also been formally introduced in our country. However, due to some social and legal traditions and other factors, After the establishment of public trust, the trustee manages and disposes of the trust property according to the public welfare purpose of the trustor, so as to ensure the beneficiary to realize the right of benefit. It is the mainstay of the tripartite parties of the public trust, so the perfection of the trustee system of the public trust is very important for the development and wide application of the public trust system in the field of public welfare in our country. In view of this, this paper uses the methods of literature review, analysis and comparison, through comparing the public trust system and the financial corporation system, analyzes the advantages of the public trust. Then it demonstrates the urgency of establishing and perfecting the public trust system in our country at present, and then thinks about the defects of the public trust system in practice, and draws lessons from the practices of the developed countries in foreign trust industry, and puts forward some perfect suggestions. This paper is divided into three parts: introduction, text and conclusion. The text is divided into four parts:. The first part is an overview of the public trust, covering the origin, legal characteristics and institutional value of the public trust, which is convenient for the following discussion; Then the reason why the public trustee can play an important role in the legal relationship is considered, and the necessity of improving the public trust trustee system is demonstrated. The second part begins with the elaboration of the current provisions of the two major legal systems on the qualification of trustees of public trust, at the same time, it analyzes the relevant provisions of Chinese law; then, by comparing the foundation system of the two major legal systems, This paper proposes to establish a dual system in which foundations and trust and investment companies act as trustees for the public good and bring their respective advantages into full play. The third part is to analyze the content of the special rights and obligations of the trustees of the public trust. Since the current provisions of our country's legal provisions on this aspect are not detailed and specific, it is suggested to learn from the Anglo-American countries and to concretize the rights and obligations in legislation. Make it more instructive and operable. Part 4th discusses the construction of public trust supervision system in China.
