【摘要】：一大部分的國(guó)內(nèi)企業(yè)在我國(guó)A股市場(chǎng)處于發(fā)展緩慢時(shí)期時(shí),看到了中西方在上市條件和監(jiān)管制度上的不同而選擇了看似更利于發(fā)展的赴海外上市之路。近年來(lái),我國(guó)資本市場(chǎng)迅猛發(fā)展,與此對(duì)應(yīng)的海外市場(chǎng)前景卻不盡人意,主要是西方國(guó)家并不看好中國(guó)概念股,導(dǎo)致市盈率偏低,又加上海外對(duì)我國(guó)上市公司尤其是2013年在美國(guó)頻頻做空,這些鮮明的對(duì)比讓中概股十分羨慕同行業(yè)在A股市場(chǎng)上的高估值和融資環(huán)境。自2014年起,它們開(kāi)始策劃回歸國(guó)內(nèi)證券市場(chǎng),開(kāi)啟了中概股回歸A股的新紀(jì)元。2015年10月30日,彭建虎等控股股東買(mǎi)入世紀(jì)游輪的全部資產(chǎn)和負(fù)債,并將原有舊資產(chǎn)進(jìn)行剝離后作價(jià)131億元用來(lái)購(gòu)置巨人網(wǎng)絡(luò)百分之一百的股份。2015年11月17日開(kāi)盤(pán)后僅用了21天時(shí)間獲得了連續(xù)20個(gè)漲停板,停牌前股票價(jià)格為31.65元(收盤(pán)價(jià)),后來(lái)一路暴漲至212.94元,巨人網(wǎng)絡(luò)的市值也從退市前的185億元漲至1087億元。本文作者一方面通過(guò)查閱巨人網(wǎng)絡(luò)以及中概股相關(guān)資料研究其借殼回歸的原因,另一方面利用會(huì)計(jì)指標(biāo)法分析私有化退市并借殼上市后的市場(chǎng)效應(yīng)和績(jī)效,以及借殼上市后對(duì)各方的影響,最后給出一些對(duì)投資者、游戲行業(yè)和監(jiān)管部門(mén)的建議,以期對(duì)中概股回歸A股起到一定的參考作用。
[Abstract]:A large part of the domestic enterprises in China's A-share market is in a period of slow development, see the conditions of listing in China and the West in the different regulatory system and choose what seems to be more conducive to the development of overseas listing in recent years. With the rapid development of China's capital market, the prospects of overseas markets are not satisfactory, mainly because the western countries are not optimistic about the Chinese concept stocks, resulting in low price-earnings ratio. In addition, overseas companies in China, especially in 2013, frequently short in the United States, these sharp contrasts make Chinese stocks envy the same industry in the A-share market in the high valuation and financing environment. Since 2014. They began planning a return to the domestic securities market, opening a new era in which Chinese companies returned to A shares. In October 30th 2015, controlling shareholders such as Mr Peng bought all the assets and liabilities of Century Cruise. And the original old assets after the divestiture price of 13.1 billion yuan to buy giant network 100% shares. November 17th 2015 opened after only 21 days to obtain 20 consecutive rise board. Before the suspension, the stock price was 31.65 yuan (closing price), then soared to 212.94 yuan along the way. Market value of Giant Network also rose from 18.5 billion yuan to 108.7 billion yuan before delisting. On the one hand, the author studied the reason of its backdoor return by consulting the giant network and related data of Chinese stock. On the other hand, using the accounting index method to analyze the market effect and performance after privatization delisting and backdoor listing, as well as the impact on all parties after the backdoor listing, and finally give some of the investors. Game industry and regulatory recommendations, with a view to returning to A-shares in China play a certain reference role.
