【摘要】：在資本市場(chǎng)上，不同的投資者與融資者具有不同的規(guī)模大小和主體特征，其對(duì)投融資金融服務(wù)的多樣化需求決定了資本市場(chǎng)應(yīng)該是多層次的。 當(dāng)前我國(guó)已經(jīng)初步建立了主板（一板）、創(chuàng)業(yè)板（二板）、三板（包括新三板和舊三板），以及四板（區(qū)域性股權(quán)交易市場(chǎng)）等四級(jí)股權(quán)流動(dòng)市場(chǎng)體系。我國(guó)的資本市場(chǎng)主要可分為主板市場(chǎng)、創(chuàng)業(yè)板以及由新三板和區(qū)域性股權(quán)交易市場(chǎng)構(gòu)成的場(chǎng)外市場(chǎng)等四個(gè)層次市場(chǎng)。其中新三板是“全國(guó)中小企業(yè)股份轉(zhuǎn)讓系統(tǒng)”的俗稱，為初創(chuàng)期中小企業(yè)提供新的全國(guó)性交易和融資平臺(tái)。新三板是相對(duì)于舊三板而言的，通常所指的就舊三板是指主板退市股票交易系統(tǒng)，也包括“中關(guān)村科技園區(qū)非上市股份有限公司代辦股份報(bào)價(jià)轉(zhuǎn)讓系統(tǒng)”，后者有時(shí)被認(rèn)為是新三板發(fā)展的早期形式。本研究界定的新三板是突破了中關(guān)村掛牌限制，，是全國(guó)性的股權(quán)交易系統(tǒng)。 作為直接與主板和創(chuàng)業(yè)板聯(lián)系的股權(quán)交易市場(chǎng)，其內(nèi)部運(yùn)行機(jī)制如何，如何建立起分層的企業(yè)選擇標(biāo)準(zhǔn)，以及和其它股權(quán)交易市場(chǎng)間的流動(dòng)機(jī)制如何（即轉(zhuǎn)板機(jī)制）等等，這些都是我國(guó)新三板發(fā)展過程中值得探討的問題。本研究擬就上述問題，展開深入探討。
[Abstract]:In the capital market, different investors and financiers have different size and main characteristics, and their diversified demand for investment and financing financial services determines that the capital market should be multi-level. At present, China has initially established the main board (one board, growth enterprise board (second board), three boards (including the new three boards and the old three boards)). China's capital market can be divided into main board market. The gem and the OTC market, which is composed of the new third board and the regional stock market, is the common name of the National small and Medium-sized Enterprises share transfer system. The new third board is relative to the old third board, usually refers to the old third board is the main board delisting stock trading system. Also includes "Zhongguancun Science and Technology Park Unlisted Co., Ltd. Agent share quotation transfer system". The latter is sometimes considered to be the early form of the development of the new third board. The new third board, defined in this study, is a nationwide equity trading system that breaks through the listing restriction of Zhongguancun. As the equity trading market directly linked with the main board and the gem, how to operate the internal mechanism and how to establish a layered enterprise selection criteria. These are the problems worth discussing in the process of the development of the new third board in our country. This study intends to discuss the above problems deeply in this paper, and how the flow mechanism between the stock exchange market and other stock exchange markets (that is, the mechanism of the transfer board) is worth discussing in the course of the development of the new three boards.
