【摘要】:受到外部政策環(huán)境的鼓勵(lì)和刺激,互聯(lián)網(wǎng)普及率和網(wǎng)民規(guī)模保持持續(xù)增長,互聯(lián)網(wǎng)行業(yè)經(jīng)過近三十年的發(fā)展已經(jīng)呈現(xiàn)出包羅萬象的態(tài)勢,其迅猛發(fā)展已經(jīng)徹底改變了我們生活的方方面面。在互聯(lián)網(wǎng)行業(yè)大發(fā)展的背景下,從服務(wù)和產(chǎn)品、市場份額、社會和行業(yè)影響以及未來發(fā)展前景等指標(biāo)衡量,B公司、A公司和T公司目前已成為互聯(lián)網(wǎng)行業(yè)當(dāng)之無愧的巨頭,而其中在1999年設(shè)立的A公司無疑是其中的翹楚:A公司已于2014年9月在美國完成了其歷史上的第二次IPO,本次IPO時(shí)估值高達(dá)2314億美元,籌資214億美元。隨著互聯(lián)網(wǎng)行業(yè)的發(fā)展,尤其是進(jìn)入2010年之后,B公司、A公司和T公司不再滿足于其原有的搜索、電商平臺和社交游戲的優(yōu)勢領(lǐng)域,紛紛頻繁采用并購的方式擴(kuò)張業(yè)務(wù),并在一定程度上出現(xiàn)了趨同化的發(fā)展特征。筆者認(rèn)為以其中某一實(shí)體作為核心樣本通過對比的方法分析其發(fā)展策略對于幫助我們理解和總結(jié)當(dāng)下互聯(lián)網(wǎng)行業(yè)的發(fā)展方向具有現(xiàn)實(shí)的參考意義和借鑒價(jià)值。為此研究之目的,筆者總結(jié)了三家公司自2013年至2014年6月三家公司進(jìn)行的67次并購交易的基本信息并據(jù)此在具體討論中融匯了具體案例,分析了三家公司本輪并購潮的特征、影響和趨勢,并通過對比A公司的并購動因和并購前后優(yōu)勢對比總結(jié)了本輪并購潮后的競爭格局,就此討論了A公司的業(yè)務(wù)發(fā)展在本輪并購后面臨的主要挑戰(zhàn),最后總結(jié)了A公司將采取的發(fā)展策略。根據(jù)本文的研究,筆者認(rèn)為,繼續(xù)通過并購保持?jǐn)U張節(jié)奏、加大資本投入技術(shù)創(chuàng)新以提升服務(wù)質(zhì)量和培養(yǎng)用戶消費(fèi)習(xí)慣將是A公司目前和未來采取的主要發(fā)展策略,而筆者也提出了兩大疑問:A公司會否在劣勢領(lǐng)域趕超競爭對手?以及以核心創(chuàng)始人J先生為主導(dǎo)的管理層是否還能持續(xù)駕馭A公司的未來發(fā)展?
[Abstract]:Encouraged and stimulated by the external policy environment, the Internet penetration rate and the scale of Internet users maintain a sustained growth, the Internet industry after nearly 30 years of development has shown an all-inclusive trend. Its rapid development has completely changed all aspects of our lives. In the context of the great development of the Internet industry, measured from services and products, market share, social and industry impact and future development prospects and other indicators. Company B, Company A and Company T have become well-deserved giants in the Internet industry. Company A, which was founded in 1999, is no doubt one of the leaders. In September 2014, the company completed the second IPO in its history in the United States. The IPO was valued at $231.4 billion and raised $21.4 billion. As the Internet industry evolves, especially after 2010. Company A and company T are no longer satisfied with their original search, e-commerce platform and social game advantages, one after another frequently adopt the way of M & A expansion business. To a certain extent, the author thinks that using one of the entities as the core sample to analyze its development strategy can help us understand and summarize the development of the Internet industry. The development direction has the realistic reference significance and the reference value. The author summarizes the basic information of 67 M & A transactions carried out by three companies from 2013 to June 3rd 2014 and combines specific cases in the specific discussions. This paper analyzes the characteristics, influence and trend of M & A tide of three companies, and summarizes the competitive pattern after M & A tide by comparing the motivation of M & A and the advantages before and after M & A. This paper discusses the main challenges faced by the business development of company A after this round of mergers and acquisitions, and finally summarizes the development strategy to be adopted by company A. according to the research in this paper, the author believes that the pace of expansion should be maintained through mergers and acquisitions. Increasing capital investment in technology innovation in order to improve service quality and cultivate consumer habits will be the main development strategy adopted by company A at present and in the future. And the author also raised two big questions: will the company catch up with its competitors in the inferior field? And will the management, led by its core founder, Mr. J, be able to sustain the future of company A?
