周氏家族企業(yè)代際傳承的制約因素及對(duì)策研究

【摘要】:黨的十八大報(bào)告中再次明確指出我國將毫不動(dòng)搖地鞏固和發(fā)展公有制經(jīng)濟(jì)并積極鼓勵(lì)、支持和引導(dǎo)非公有制經(jīng)濟(jì)發(fā)展,實(shí)現(xiàn)公有制經(jīng)濟(jì)與非公有制經(jīng)濟(jì)相輔相成,為我國社會(huì)主義市場化建設(shè)做出貢獻(xiàn)。我國是一個(gè)家文化傳統(tǒng)最為悠久和深厚的國度,家族主義和泛家族主義普遍存在于我國企事業(yè)單位尤其是民營企業(yè)。在國家政策大力扶持非公有制經(jīng)濟(jì)發(fā)展的環(huán)境下,研究我國民營經(jīng)濟(jì)中家族企業(yè)的管理模式、治理結(jié)構(gòu)、家庭構(gòu)造及代際傳承等諸多方面的現(xiàn)狀,對(duì)實(shí)現(xiàn)民營經(jīng)濟(jì)的可持續(xù)發(fā)展具有劃時(shí)代的意義。 本文在闡述家族企業(yè)代際傳承相關(guān)理論和考察國內(nèi)外家族企業(yè)代際傳承實(shí)踐的基礎(chǔ)上,從傳承因素、企業(yè)控制權(quán)、子女繼承權(quán)、傳承模式、經(jīng)營管理等層面分析了周氏家族企業(yè)代際傳承的制約因素,并提出了相應(yīng)的對(duì)策,形成基本結(jié)論如下:子承父業(yè)、職業(yè)經(jīng)理人及內(nèi)部培養(yǎng)繼承三種傳承方式各自存在優(yōu)劣勢,家族企業(yè)選擇哪種繼承模式應(yīng)根據(jù)家族當(dāng)下所處的環(huán)境狀況及家族成員內(nèi)部詳情來選擇適合自己的傳承方式;在家族企業(yè)代際傳承過程中的信任度問題上,不是某一家族企業(yè)所能改變的,這是整個(gè)社會(huì)信任機(jī)制的問題,如果外部市場機(jī)制無法建立起除親緣關(guān)系以外的信任機(jī)制,且社會(huì)誠信度不高,,無完善法律體系,則絕大多數(shù)家族企業(yè)會(huì)選擇內(nèi)部繼承的方式進(jìn)行傳承;周氏家族企業(yè)根據(jù)目前所處發(fā)展階段、社會(huì)信任資本不足、傳統(tǒng)“家”文化思想嚴(yán)重及家族繼任者繼承意愿強(qiáng)烈等,選擇“子承父業(yè)”模式作為企業(yè)代際傳承的最現(xiàn)實(shí)模式,而模式實(shí)現(xiàn)的關(guān)鍵在于須系統(tǒng)地規(guī)劃實(shí)施傳承過程、全方位地考察與培養(yǎng)繼承人成為模式實(shí)現(xiàn)的關(guān)鍵。周氏家族企業(yè)未來的發(fā)展進(jìn)程中,應(yīng)繼續(xù)推進(jìn)產(chǎn)權(quán)制度的改革,建立規(guī)范的家族企業(yè)法人治理機(jī)構(gòu),同時(shí),周氏家族企業(yè)主應(yīng)依據(jù)家庭結(jié)構(gòu),提前做好家族企業(yè)傳承計(jì)劃和安排。
[Abstract]:In the eighteen major reports of the party, it is again clearly pointed out that our country will unswervingly consolidate and develop the public owned economy and actively encourage, support and guide the development of the non-public economy, realize the complementary relationship between the public ownership economy and the non-public economy, and contribute to the socialist market construction of our country. China is a home cultural tradition with a long history. And a profound country, family and pan familism generally exist in the state-owned enterprises, especially the private enterprises. Under the environment of the national policy to support the non-public economy, the research on the management mode, the governance structure, the family structure and the intergenerational inheritance of the family enterprises in the private economy of our country, and so on, is true. The sustainable development of private economy is of epoch-making significance.
On the basis of explaining the related theories of family enterprise intergenerational inheritance and examining the intergenerational practice of family enterprises at home and abroad, this paper analyses the factors of restricting the intergenerational inheritance of the Zhou family enterprise from the factors of inheriting factors, the right of enterprise control, the inheritance right of the children, the inheritance mode, and the management and management, and puts forward the corresponding countermeasures to form the basic conclusions. Under the following three types of inheritance and inheritance, the family enterprises choose which inheritance mode should choose their own way of inheritance according to the environmental conditions and the details of family members, and on the trust of the family enterprise in the intergenerational inheritance process. Not a family enterprise can change, this is the whole social trust mechanism, if the external market mechanism can not establish the trust mechanism other than relatives, and the social integrity is not high, and there is no perfect legal system, the vast majority of family enterprises will choose the way of inheriting the internal succession; the Zhou family enterprise base At the present stage of development, the social trust capital is insufficient, the traditional "family" culture is serious and the succession intention of the family successors is strong. The "son bearing father" model is chosen as the most realistic model for the intergenerational inheritance of the enterprise, and the key to the realization of the model lies in the systematic planning of the real Shi Chuancheng process and the all-round inspection and training of the successors. In the future development process of the Zhou family enterprise, we should continue to promote the reform of the property rights system and establish a standardized corporate governance institution for the family enterprise. At the same time, the family business owners of Zhou's family should do well in advance the family enterprise inheritance plan and arrangement according to the family structure.
