【摘要】：HH村鎮(zhèn)銀行成立于2012年12月,是全國第9家地市級村鎮(zhèn)銀行。這種村鎮(zhèn)銀行的模式是在城市吸收存款,在縣級以下發(fā)放貸款。這是銀監(jiān)會為探索新型農(nóng)村金融機構(gòu)管理和發(fā)展的新模式,通過總分行制把吸收的存款反哺農(nóng)村。HH村鎮(zhèn)銀行成立五年,信貸資產(chǎn)布局穩(wěn)健均衡,已經(jīng)在當(dāng)?shù)劁佋O(shè)十四個網(wǎng)點,實現(xiàn)三級全覆蓋。發(fā)展的同時也面臨著各種挑戰(zhàn),尤其是利潤增速普遍下滑、資產(chǎn)質(zhì)量惡化等問題,已成為銀行業(yè)不可避免的趨勢。增加融資渠道,提高融資效率,提升自己的市場價值和品牌認(rèn)知度在這個階段尤為重要。對于中小金融機構(gòu)而言,掛牌新三板無論是從公司股權(quán)結(jié)構(gòu),還是法人治理結(jié)構(gòu)以及財務(wù)制度的整合,都要同步解決風(fēng)險管理、盈利能力、內(nèi)部職工持股等問題,這些都需要綜合的設(shè)計。本文首先將結(jié)合HH村鎮(zhèn)銀行擬掛牌新三板的選題背景和意義,根據(jù)研究背景及意義中闡述的內(nèi)容,從而確定研究目的,簡單闡述掛牌新三板的相關(guān)理論基礎(chǔ)與內(nèi)涵。其次,本文結(jié)合HH村鎮(zhèn)銀行實際案例,以及新三板市場更加注重企業(yè)的治理結(jié)構(gòu)、發(fā)展?jié)摿Φ溶浿笜?biāo),深度剖析HH村鎮(zhèn)銀行所處環(huán)境的外部因素和內(nèi)部因素。本文將用SWOT方法進行分析HH村鎮(zhèn)銀行上市的可行性。并用CAMEL體系分析框架,從資本充足性(Capital Adequacy),資產(chǎn)質(zhì)量(Asset Quality),管理水平(Management),盈利狀況(Earnings),流動性(Liquidity)的角度闡述在銀行業(yè)激烈競爭環(huán)境下,在中國新一輪金融改革的步伐明顯已經(jīng)開始并提速的氛圍下,定性與定量分析HH村鎮(zhèn)銀行掛牌新三板的發(fā)展趨勢及可行性,來進一步闡明本文的論,提出HH村鎮(zhèn)銀行的上市設(shè)計方案。
[Abstract]:HH Village Bank, founded in December 2012, is the ninth prefecture-level village bank in the country. This is the CBRC to explore the new rural financial institutions management and development of a new model, through the main branch system to absorb deposits back to feed rural. HH village banks for five years. The distribution of credit assets is stable and balanced, and 14 local outlets have been laid to achieve three levels of full coverage. At the same time, the development is also facing various challenges, especially the general decline in profit growth rate, deterioration of asset quality and other issues. Has become the inevitable trend of banking. Increase financing channels, improve financing efficiency, improve their own market value and brand recognition is particularly important at this stage. For small and medium-sized financial institutions. Listing the new three boards, whether from the company's equity structure, or corporate governance structure and the integration of financial systems, we must simultaneously solve the risk management, profitability, internal employee ownership and other issues. All of these need comprehensive design. Firstly, this paper will combine with the background and significance of HH Village Bank to list the new third board, according to the research background and significance of the content elaborated in order to determine the purpose of the study. This paper briefly describes the theoretical basis and connotation of listing the new third board. Secondly, this paper combined with the actual case of HH village bank, as well as the new third board market pay more attention to corporate governance structure, development potential and other soft indicators. This paper analyzes the external and internal factors of HH village bank environment in depth. This paper will use SWOT method to analyze the feasibility of HH village bank listing, and use the CAMEL system analysis framework. From Capital adequacy to Capital Adequacyr, Asset quality, Management level. Profit situation is discussed from the point of view of Earningsiness (liquidity) in the context of fierce competition in the banking industry. In the new round of financial reform in China has obviously begun and accelerated atmosphere, qualitative and quantitative analysis of HH village bank listing new third board development trend and feasibility, to further clarify the theory of this paper. The listing design of HH Village Bank is put forward.
