【摘要】：隨著國(guó)際經(jīng)貿(mào)關(guān)系的日益密切,國(guó)內(nèi)資本市場(chǎng)的發(fā)展越來(lái)越迅速。而隨著其快速發(fā)展節(jié)奏,越來(lái)越多的投資者開(kāi)始關(guān)注公司的股權(quán)價(jià)值,使得股權(quán)價(jià)值評(píng)估備受關(guān)注。最近一些年來(lái),國(guó)內(nèi)資本市場(chǎng)建設(shè)日趨完善,包括中小板及新三板在內(nèi)都獲得了極大幅度的發(fā)展。其中新三板的發(fā)展尤其迅速。新三板針對(duì)科技型的中小企業(yè)建立,對(duì)于成長(zhǎng)快、但風(fēng)險(xiǎn)高的互聯(lián)網(wǎng)中小企業(yè)是非常理想的融資平臺(tái)。與西方發(fā)達(dá)國(guó)家相比,國(guó)內(nèi)股市發(fā)展時(shí)間不長(zhǎng),對(duì)于股權(quán)價(jià)值的評(píng)估存在著諸多不完善的地方。與此同時(shí),因?yàn)橘Y本市場(chǎng)的發(fā)展尚處于初級(jí)階段,西方的評(píng)估理論和實(shí)踐方法也無(wú)法完全用于國(guó)內(nèi)的股權(quán)評(píng)估,所以,對(duì)新三板開(kāi)展股權(quán)評(píng)估研究顯得越發(fā)迫切�；诖�,本文以S互聯(lián)網(wǎng)公司為具體分析案例和對(duì)象,對(duì)其經(jīng)營(yíng)現(xiàn)狀、財(cái)務(wù)現(xiàn)狀以及發(fā)展現(xiàn)狀進(jìn)行探討,基于適合國(guó)內(nèi)的股權(quán)評(píng)估的理論和方法,進(jìn)行分析和闡述。本文在S互聯(lián)網(wǎng)公司經(jīng)營(yíng)、財(cái)務(wù)及發(fā)展現(xiàn)狀研究的基礎(chǔ)上,利用基礎(chǔ)資產(chǎn)法、收益法和基于期權(quán)定價(jià)模型對(duì)S互聯(lián)網(wǎng)公司的股權(quán)價(jià)值進(jìn)行實(shí)際評(píng)估。在此基礎(chǔ)上,對(duì)此三種方法所得到的評(píng)估結(jié)果進(jìn)行對(duì)比分析,最后確定S互聯(lián)網(wǎng)公司的股權(quán)價(jià)值。
[Abstract]:With the increasingly close international economic and trade relations, the domestic capital market is developing more and more rapidly. With its rapid development, more and more investors begin to pay attention to the equity value of the company. The valuation of equity value has attracted much attention. In recent years, the construction of domestic capital market has become more and more perfect. Including the small and medium-sized boards and the new three boards, there has been great development. Among them, the new three boards have developed particularly rapidly. The new three boards are aimed at the establishment of technology-based small and medium-sized enterprises, and for the rapid growth of the new three boards, But Internet SMEs with high risk are ideal financing platform. Compared with the western developed countries, the domestic stock market has not developed for a long time, and there are many imperfections in the evaluation of equity value. At the same time, Because the development of the capital market is still in its infancy and the western evaluation theories and practice methods can not be fully applied to the domestic equity evaluation, it is more and more urgent to carry out the research on the equity evaluation of the new three boards. This article takes S Internet Company as the concrete analysis case and the object, carries on the discussion to its management present situation, the finance present situation as well as the development present situation, based on the suitable domestic stock right appraisal theory and the method, Based on the research of S Internet Company's operation, finance and development, this paper uses the basic property law, Based on the income method and option pricing model, the equity value of S Internet company is evaluated, and the evaluation results obtained by these three methods are compared and analyzed, and the equity value of S Internet company is finally determined.
