【摘要】：在激烈的市場(chǎng)競(jìng)爭(zhēng)中,專利對(duì)外授權(quán)許可使用或經(jīng)由訴訟賠償所產(chǎn)生的巨額收益已經(jīng)成為企業(yè)的重要收入來(lái)源之一,企業(yè)也更多地尋求通過(guò)專利訴訟戰(zhàn)略來(lái)獲得競(jìng)爭(zhēng)優(yōu)勢(shì)。本文通過(guò)探討企業(yè)專利訴訟戰(zhàn)略的內(nèi)涵、形成和運(yùn)作模式,指出企業(yè)專利訴訟戰(zhàn)略對(duì)我國(guó)企業(yè)發(fā)展的影響,并且為增強(qiáng)我國(guó)企業(yè)在國(guó)內(nèi)外市場(chǎng)競(jìng)爭(zhēng)中的糾紛處理、預(yù)防潛在專利訴訟風(fēng)險(xiǎn)的能力提出了對(duì)策建議。本文的主要研究?jī)?nèi)容如下： 首先,基于戰(zhàn)略管理的視角,本文指出企業(yè)專利訴訟戰(zhàn)略的形成呈現(xiàn)出一種以企業(yè)專利戰(zhàn)略規(guī)劃、選擇與實(shí)施的三個(gè)步驟為中心的邏輯主軸。在此基礎(chǔ)上,提煉出企業(yè)專利交易訴訟戰(zhàn)略、專利掠奪訴訟戰(zhàn)略、專利投資訴訟戰(zhàn)略和專利訴訟防御戰(zhàn)略四種訴訟戰(zhàn)略類型。并進(jìn)一步從這四種專利訴訟戰(zhàn)略的內(nèi)涵、戰(zhàn)略的運(yùn)用、訴訟資源獲取等方面進(jìn)行比較分析,探索了它們與專利戰(zhàn)略之間相互作用、相互影響的動(dòng)態(tài)關(guān)聯(lián)性。 其次,本文構(gòu)建了基于博弈論視角的企業(yè)專利訴訟戰(zhàn)略模型,并重點(diǎn)運(yùn)用模型詮釋了四種專利訴訟戰(zhàn)略的實(shí)施條件和戰(zhàn)略結(jié)果,進(jìn)而得以討論了專利訴訟戰(zhàn)略的運(yùn)行機(jī)理,以及不同的戰(zhàn)略類型與企業(yè)技術(shù)創(chuàng)新的關(guān)系。研究結(jié)果指出,不同的專利組合差距和損害賠償?shù)慕M合可能對(duì)應(yīng)不同的專利訴訟戰(zhàn)略類型,而不同的專利訴訟戰(zhàn)略類型對(duì)企業(yè)技術(shù)創(chuàng)新的影響程度和關(guān)系也具有明顯的差異。 再次,對(duì)當(dāng)前新的創(chuàng)新模式和商業(yè)模式下,具有代表性的企業(yè)專利訴訟戰(zhàn)略運(yùn)作模式進(jìn)行深入剖析。本研究以專利聯(lián)盟、專利釣餌、專利信托聯(lián)盟(AST公司)、合理交易公司(RPX公司)以及美國(guó)高智發(fā)明公司(IV公司)作為研究典型,通過(guò)案例研究方法,深入分析了這些組織或公司的專利訴訟戰(zhàn)略運(yùn)作模式,指出：專利聯(lián)盟內(nèi)部通過(guò)許可協(xié)議避免了專利侵權(quán)風(fēng)險(xiǎn)、完成了交易的過(guò)程,而專利聯(lián)盟外部則體現(xiàn)對(duì)非聯(lián)盟成員或競(jìng)爭(zhēng)對(duì)手實(shí)施專利掠奪訴訟戰(zhàn)略；專利釣餌實(shí)施專利投資訴訟戰(zhàn)略,通過(guò)風(fēng)險(xiǎn)資本的運(yùn)作,對(duì)外收購(gòu)專利,將這些專利進(jìn)行一定的組合發(fā)揮規(guī)模優(yōu)勢(shì),反過(guò)來(lái)再運(yùn)用專利訴訟戰(zhàn)略所產(chǎn)生的現(xiàn)金流用以支撐未來(lái)的收購(gòu)行為；專利信托聯(lián)盟與合理交易公司代表著訴訟防御戰(zhàn)略運(yùn)作模式的出現(xiàn),這是一種應(yīng)對(duì)專利釣餌投資訴訟戰(zhàn)略的反制機(jī)制；高智發(fā)明公司的運(yùn)作模式則代表著企業(yè)專利訴訟戰(zhàn)略的一種組合實(shí)施,利用其匯集起來(lái)龐大的專利資產(chǎn)庫(kù),不但進(jìn)行專利資產(chǎn)的交易和投資,而且還可以防御專利訴訟,有時(shí)甚至通過(guò)訴訟戰(zhàn)略直接對(duì)外掠奪。 最后,針對(duì)企業(yè)專利訴訟戰(zhàn)略提出了對(duì)策建議。本研究選取了三個(gè)典型案例,分析了企業(yè)專利訴訟戰(zhàn)略對(duì)我國(guó)企業(yè)的影響及其成因,在此基礎(chǔ)上提出了我國(guó)企業(yè)應(yīng)對(duì)專利訴訟戰(zhàn)略的具體對(duì)策建議：首先,建議加強(qiáng)我國(guó)企業(yè)內(nèi)部知識(shí)產(chǎn)權(quán)管理體系的建設(shè),從創(chuàng)造、管理、交易、影響和防御五個(gè)環(huán)節(jié),建立一套完善的應(yīng)對(duì)侵權(quán)指控的操作程序；其次,提出建立全行業(yè)聯(lián)合防御機(jī)制,增強(qiáng)企業(yè)共同抵御外來(lái)風(fēng)險(xiǎn)的能力；最后,建議政府應(yīng)從立法、監(jiān)管和引導(dǎo)三個(gè)方面發(fā)揮積極作用,監(jiān)視外國(guó)企業(yè)在中國(guó)的知識(shí)產(chǎn)權(quán)交易行為,幫助企業(yè)防范侵權(quán)訴訟指控。
[Abstract]:In the fierce market competition, the huge gains foreign patent licensing or through lawsuits arising has become an important source of income of the enterprise, the enterprise will seek more through patent litigation strategy to gain a competitive advantage. This paper discusses the connotation of corporate patent litigation strategy, form and mode of operation, and points out that the effect of patent litigation the strategy for the development of Chinese enterprises, and to enhance the market competition at home and abroad to settle disputes in China's enterprises, and puts forward some countermeasures and suggestions to prevent potential patent litigation risk. The main contents of this paper are as follows:
First of all, based on the perspective of strategic management, this paper points out that the formation of corporate patent litigation strategy presents a clear enterprise patent strategy planning, three steps of selection and implementation of logic as the center of the spindle. On this basis, refine the enterprise patent trading litigation strategy patent plunder litigation strategy, patent investing litigation and patent litigation strategy defense strategy four litigation strategy. And further from the connotation of the four types of patent litigation strategies, strategy use, litigation resource acquisition and so on, to explore the interaction between them and the patent strategy, the dynamic relationship between the mutual influence.
Secondly, this paper constructs a game theory of enterprise patent litigation strategy model based on the perspective of the interpretation of the model and focus on the use of four kinds of patent litigation strategy implementation conditions and strategic results, and to the operation mechanism of patent litigation strategy is discussed, and the relationship between innovation strategy and different types of enterprise technology. The results indicate that the different patent portfolio gaps and damages may correspond to different combinations of the types of patent litigation strategy, and the influence degree and the relationship of different types of patent litigation strategy on the technological innovation of the enterprise also has the obvious difference.
Again, the new model of innovation and business mode, representative enterprise patent litigation strategy mode in-depth analysis. Based on the patent alliance, patent trolls, patent trust Alliance (AST), reasonable trading company (RPX company) and the United States intellectual company (IV company) as a typical study and through the case study method, in-depth analysis of the patent litigation strategy mode of operation, the organization or company that the patent pool avoids the risk of patent infringement by the license agreement, the completion of the transaction process, and is reflected in the implementation of the patent patent alliance external predatory litigation strategy for non union members or competitors; patent trolls patent investment the litigation strategy, through venture capital operation, the acquisition of foreign patents, these patents are combined together to take advantage of the scale, and then use the counter to patent litigation battle A little cash flow to support future acquisitions; patent trust alliance and reasonable trading company represents the litigation defense strategy mode of operation, this is a response to the Patent Troll litigation strategy investment counter mechanism; intellectual mode of operation of the company will represent a combination of patent litigation strategy the implementation of the patent together huge asset base, not only for patent asset trading and investment, but also can defense patent litigation, sometimes through litigation strategy of foreign direct plunder.
Finally, in view of the enterprise patent litigation strategy and puts forward some countermeasures and suggestions. This study selected three typical cases, analyzes the influence of enterprise patent litigation strategy for China's enterprises and their causes, and puts forward some specific countermeasures and suggestions for Chinese enterprises to cope with the patent litigation strategy: first, suggestions to strengthen our internal management of intellectual property rights the construction of the system, from the creation, management, transaction, impact and defense five links, set up a perfect deal with the infringement procedures; secondly, the whole industry proposed the establishment of a joint defense mechanism, enhance the ability of enterprises toresist risk; finally, suggested that the government should be legislative, regulatory and guide the three aspects play the active role of the surveillance of foreign enterprise intellectual property transactions in Chinese, help enterprises to prevent infringement lawsuit.
