【摘要】：本文以20世紀(jì)80年代以來國(guó)際投資自由化的趨勢(shì)為背景,以我國(guó)建立外資并購(gòu)安全審查制度的必要性和合理性為基礎(chǔ),對(duì)我國(guó)新近外資并購(gòu)安全新規(guī)進(jìn)行考察,參照美國(guó)外資并購(gòu)安全審查制度對(duì)我國(guó)的外資并購(gòu)安全審查制度進(jìn)行分析,并在此基礎(chǔ)上對(duì)我國(guó)外資并購(gòu)安全審查的完善與發(fā)展提出建設(shè)性的意見。
[Abstract]:Based on the trend of international investment liberalization since 1980s, and on the basis of the necessity and rationality of establishing the security review system of foreign capital M & A in China, this paper makes an investigation of the new regulations on the security of foreign capital M & A in China. Referring to the security review system of foreign capital M & A in the United States, this paper analyzes the security review system of foreign capital M & A in China, and puts forward constructive suggestions on the perfection and development of the security review of foreign capital M & A in China on this basis.
