后金融危機背景下我國商業(yè)銀行跨國并購績效研究

【摘要】:縱觀國際銀行業(yè)的發(fā)展歷程,眾多國際銀行巨頭都是通過不斷地跨國并購而壯大自身的。中國商業(yè)銀行的跨國經(jīng)營,既是經(jīng)濟全球化和金融一體化的國際大環(huán)境的要求,也是我國經(jīng)濟國際化發(fā)展戰(zhàn)略的必然選擇!昂蠼鹑谖C時代”國外金融機構(gòu)實力的削弱以及近年來人民幣不斷升值導(dǎo)致的跨國并購成本降低,給我國商業(yè)銀行的跨國并購創(chuàng)造了絕佳的機會。 本文首先回顧了商業(yè)銀行跨國并購的動因、方法、分支機構(gòu)的組織結(jié)構(gòu)選擇和績效評估的基礎(chǔ)理論,其中介紹了本文實證研究所使用的DEA方法的基礎(chǔ)理論、模型理論、優(yōu)勢與局限。接著本文回顧了近年來我國商業(yè)銀行跨國并購的現(xiàn)狀。然后運用DEA方法對中國工商銀行和招商銀行跨國并購前后的經(jīng)營效率進行實證分析。實證結(jié)果顯示兩家銀行在跨國并購后,總體效率都有一定程度的下降,但是招商銀行卻比工商銀行更迅速地恢復(fù)到了最優(yōu)效率。究其原因,筆者認(rèn)為與兩家銀行的體制、并購目標(biāo)的選擇與整合方法的合理性有著密切的聯(lián)系。最后,本文從微觀與宏觀兩個方面對我國商業(yè)銀行的跨國并購提出了對策與建議。
[Abstract]:Throughout the development of the international banking industry, many international banking giants are growing through continuous cross-border mergers and acquisitions. The transnational management of Chinese commercial banks is not only the requirement of the international environment of economic globalization and financial integration, but also the inevitable choice of our country's economic internationalization development strategy. The weakening of the strength of foreign financial institutions in the post-financial crisis era and the decrease in the cost of cross-border mergers and acquisitions caused by the continuous appreciation of the RMB in recent years have created an excellent opportunity for the cross-border mergers and acquisitions of commercial banks in China. This paper first reviews the motivation, methods, organizational structure selection and performance evaluation of commercial banks in cross-border mergers and acquisitions, and introduces the basic theory and model theory of the DEA method used in this empirical study. Advantages and limitations Then this paper reviews the status quo of cross-border mergers and acquisitions of commercial banks in China in recent years. Then we use DEA method to analyze the management efficiency of ICBC and CMB before and after cross-border M & A. The empirical results show that the overall efficiency of the two banks has declined to some extent after cross-border M & A, but China Merchants Bank has recovered to the optimal efficiency more quickly than ICBC. The author thinks that the choice of M & A target and the rationality of integration method are closely related to the system of the two banks. Finally, this paper puts forward the countermeasures and suggestions on cross-border M & A of commercial banks in China from micro and macro aspects.
