【摘要】：隨著經(jīng)濟(jì)全球化的迅猛發(fā)展,我國(guó)金融行業(yè)全面融入國(guó)際市場(chǎng),金融改革面臨進(jìn)一步深化與發(fā)展,我國(guó)商業(yè)銀行與國(guó)際大銀行之間展開(kāi)全面競(jìng)爭(zhēng)。同時(shí)2008年的金融危機(jī)對(duì)國(guó)際銀行業(yè)也產(chǎn)生深遠(yuǎn)的影響,對(duì)我國(guó)商業(yè)銀行帶來(lái)了諸多的機(jī)遇與挑戰(zhàn)。海外并購(gòu)是我國(guó)商業(yè)銀行實(shí)現(xiàn)跨國(guó)經(jīng)營(yíng)的必然選擇,如何科學(xué)地制定海外并購(gòu)戰(zhàn)略,如何更好地適應(yīng)規(guī)則參與到國(guó)際銀行業(yè)競(jìng)爭(zhēng)游戲中去,是我國(guó)商業(yè)銀行走出國(guó)門參與到國(guó)際競(jìng)爭(zhēng)和提升國(guó)際化經(jīng)營(yíng)水平所迫切需要解決的重大戰(zhàn)略問(wèn)題。本文在研究我國(guó)銀行海外并購(gòu)歷程及現(xiàn)狀的基礎(chǔ)上,通過(guò)財(cái)務(wù)指標(biāo)分析法和比較分析、案例分析以及構(gòu)建模型等方法對(duì)我國(guó)商業(yè)銀行近十年海外并購(gòu)進(jìn)行實(shí)證分析,得出商業(yè)銀行海外并購(gòu)的特點(diǎn)、動(dòng)因及并購(gòu)績(jī)效,同時(shí)通過(guò)對(duì)我國(guó)商業(yè)銀行海外并購(gòu)相關(guān)理論分析、并購(gòu)發(fā)展歷程、并購(gòu)實(shí)證分析、海外并購(gòu)策略選擇的思路來(lái)分析和解決問(wèn)題,并購(gòu)實(shí)證分析部分以中國(guó)銀行、中國(guó)建設(shè)銀行、招商銀行三家銀行海外并購(gòu)案例作分析,總結(jié)出目前我國(guó)銀行業(yè)海外并購(gòu)存在的問(wèn)題,最后從海外并購(gòu)的準(zhǔn)備與設(shè)計(jì)、談判與實(shí)施、完成與整合三個(gè)階段為我國(guó)銀行業(yè)未來(lái)的海外并購(gòu)提出策略建議。
[Abstract]:With the rapid development of economic globalization, China's financial industry is fully integrated into the international market, and the financial reform is facing further deepening and development. The overall competition between Chinese commercial banks and major international banks. At the same time, the financial crisis in 2008 also had a profound impact on the international banking industry. Overseas M & A is the inevitable choice for Chinese commercial banks to realize transnational operation, and how to formulate the strategy of overseas M & A scientifically. How to better adapt the rules to participate in the international banking competition game, It is an important strategic problem for Chinese commercial banks to go abroad to participate in international competition and enhance the level of international management. This paper studies the course and current situation of overseas mergers and acquisitions of Chinese banks. By means of financial index analysis, comparative analysis, case analysis and model building, this paper makes an empirical analysis on overseas M & A of Chinese commercial banks in the past ten years, and obtains the characteristics, motivation and M & A performance of overseas M & A of commercial banks. At the same time, it analyzes and solves the problems through the theoretical analysis, the development course of M & A, the empirical analysis of M & A, and the choice of strategy of overseas M & A. The empirical analysis of M & A includes Bank of China, China Construction Bank. China Merchants Bank made an analysis of overseas M & A cases of three banks, summed up the existing problems of overseas M & A in China's banking industry, and finally, from the preparation and design, negotiation and implementation of overseas M & A, The completion and integration of the three stages for China's banking industry in the future of overseas M & A strategic recommendations.
