【摘要】：伴隨著經(jīng)濟全球化趨勢的不斷增強，知識經(jīng)濟的優(yōu)勢和特點日益凸顯。知識產(chǎn)權(quán)已經(jīng)成為重要的資本及生產(chǎn)要素，是企業(yè)及國家的核心競爭力。知識產(chǎn)權(quán)資本化是經(jīng)濟全球化和知識經(jīng)濟的必然產(chǎn)物，是知識產(chǎn)權(quán)制度發(fā)展的必然趨勢。知識產(chǎn)權(quán)資本化是將知識產(chǎn)權(quán)作為投資手段，量化為產(chǎn)業(yè)資本，從微觀及宏觀兩個層面都具有重要意義。但是知識產(chǎn)權(quán)的特殊屬性，決定其作為投資手段比有形資本更具復(fù)雜性，，存在更多的法律風(fēng)險。我國知識產(chǎn)權(quán)資本化的法律制度十分欠缺，相關(guān)立法并不完善。因此，給知識產(chǎn)權(quán)資本化的實施帶來了諸多障礙及法律風(fēng)險，不利于知識產(chǎn)權(quán)資本安全運營。 本文結(jié)合知識產(chǎn)權(quán)資本化的客觀實踐，對知識產(chǎn)權(quán)資本化的概念進行法律界定，分析知識產(chǎn)權(quán)資本化的適格性問題及其意義；對知識產(chǎn)權(quán)資本化的主體、客體的法律風(fēng)險進行全面剖析，深入探究知識產(chǎn)權(quán)資本化實施階段及知識產(chǎn)權(quán)資本運作階段的法律風(fēng)險，并與知識產(chǎn)權(quán)資本化的現(xiàn)實情況相聯(lián)系，分析了知識產(chǎn)權(quán)資本化的特殊法律風(fēng)險；在分析與借鑒國外及我國臺灣地區(qū)相關(guān)法律制度的基礎(chǔ)上，提出完善和建立知識產(chǎn)權(quán)資本化風(fēng)險防范法律制度的構(gòu)想。以期為知識產(chǎn)權(quán)資本化提供制度保障和法律依托，減少知識產(chǎn)權(quán)資本化的法律風(fēng)險，保障其順利進行，實現(xiàn)知識產(chǎn)權(quán)的實施和轉(zhuǎn)化。為知識產(chǎn)權(quán)功能的充分發(fā)揮提供保障，促進知識與資本的良性循環(huán)。
[Abstract]:With the growing trend of economic globalization, the advantages and characteristics of knowledge economy has become increasingly prominent. Intellectual property has become an important factor of production and capital, is the core competitiveness of enterprises and countries. The capitalization of intellectual property is the inevitable outcome of economic globalization and knowledge economy, is the inevitable trend of the development of the intellectual property system of the capitalization of intellectual property. The intellectual property as an investment tool, to quantify the industrial capital, and has great significance in micro and macro two levels. But the special nature of intellectual property, the investment as a means of tangible capital ratio is more complex, more legal risks. Lacking of the legal system of China's intellectual property capitalization, legislation is not perfect. Therefore, brought a lot of obstacles and legal risks to the implementation of the capitalization of intellectual property, intellectual property is not conducive to the safety of capital operation.
In this paper, combining with the objective practice of capitalization of intellectual property, the concept of capitalization of intellectual property law for proper analysis of capitalization of intellectual property issues and their significance; the subject of capitalization of intellectual property, legal risk object comprehensive analysis, in-depth study of the capitalization of intellectual property legal risk implementation stage and intellectual capital the operation stage, the reality and the capitalization of intellectual property related to the special legal risk analysis, the capitalization of intellectual property; in the analysis and reference of foreign countries and China's Taiwan region of the relevant legal system, put forward to perfect and establish intellectual property concept of capital risk prevention legal system for intellectual property rights. The capital of the system to provide protection and legal basis, reduce the legal risk of capitalization of intellectual property rights, guarantee the smooth implementation and enforcement of intellectual property rights and transfer It provides a guarantee for the full play of the function of intellectual property, and promotes a virtuous cycle of knowledge and capital.
