聯(lián)合國國際貨物銷售合同公約(1980文本)的風(fēng)險承擔(dān)理論研究

在國際貿(mào)易中,貨物的移交至關(guān)重要,尤其在多個運輸公司參與運輸及多式聯(lián)運的情況下更為明顯。商業(yè)貿(mào)易在歷史上已經(jīng)成為人類的一項基本活動。來自不同地區(qū)的人民試圖通過建立貿(mào)易網(wǎng)絡(luò)來提高他們的經(jīng)濟價值。這項工作將檢驗國際貿(mào)易合同中的風(fēng)險分擔(dān),而這一問題在聯(lián)合國國際銷售合同公約(維也納1980)中得到特別的強調(diào)。 國際商業(yè)合同中的風(fēng)險分擔(dān)理論破壞了誰應(yīng)為在運輸途中貨物的毀損或滅失承擔(dān)最終責(zé)任的問題。由保險公司來承擔(dān)這一責(zé)任是可行的,并且也是習(xí)慣的做法。此外,貨物的毀損或滅失通常在運輸目的地才能被發(fā)現(xiàn)。作為一項規(guī)則,在定損/采取適當(dāng)手段向保險公司索賠以及保護剩余貨物等方面,買方通常比賣方更為有利。風(fēng)險分擔(dān)理論破壞了付款以及不考慮應(yīng)歸責(zé)于第三方的損失直接由買方承擔(dān)責(zé)任的問題。這些問題將貫穿全文,并構(gòu)成我們研究的基礎(chǔ)。 買賣合同中的風(fēng)險轉(zhuǎn)移問題具有重大的實際價值。因為它能產(chǎn)生十分嚴(yán)重的后果,這些后果自從羅馬時代就困擾著無數(shù)的法學(xué)家、法官和實踐者。其結(jié)果是關(guān)于這一問題的不同理論的出現(xiàn)。顯然,解決這一問題的方法不止一種。損失的風(fēng)險承擔(dān)規(guī)則確定了當(dāng)貨物出現(xiàn)部分或全部毀損滅失時,賣方是否能夠要求貨物...
