網(wǎng)上購物合同的若干問題探究

【摘要】:網(wǎng)上購物作為一種新型的購物方式已經(jīng)深受大眾歡迎,不僅方便了人們的生活,更是成為年輕人的一種生活時尚。目前當(dāng)當(dāng)網(wǎng)、卓越亞馬遜、京東商城等網(wǎng)上商城已經(jīng)成為炙手可熱的網(wǎng)店。但是隨著網(wǎng)上購物的日益興盛,其所引發(fā)的各種矛盾與糾紛也在不斷增多,網(wǎng)上購物問題已成為投訴的熱點。如2011年8月9日當(dāng)當(dāng)網(wǎng)“兒童圖書違約案”,賣方單方撤銷訂單引起消費者的爭議。所以網(wǎng)上購物合同的相關(guān)法律問題逐漸進(jìn)入大眾的視野,也日益成為專家學(xué)者研究的熱點。 本文主要分五個部分進(jìn)行。第一部分簡單介紹網(wǎng)上購物合同的特征和分類,為下文的論述奠定基礎(chǔ)。第二部分從合同成立的兩個步驟要約與承諾著手,分析網(wǎng)上購物合同的成立,并且分析了網(wǎng)上購物合同成立的時間與地點。第三部分圍繞網(wǎng)上購物合同的主體身份的不確定性與電子意思表示的真實性展開,從而確保合同的生效。由于網(wǎng)上購物并非采用面對面的磋商方式,而是采用電子數(shù)據(jù)的形式進(jìn)行簽約,所以主體身份具有一定的不確定性,本文介紹了買賣雙方的身份認(rèn)定方式。另外分析了電子錯誤和計算機(jī)障礙兩種情形下的電子意思表示的真實性。第四部分針對網(wǎng)上購物買賣雙方的主要履行義務(wù),明確退換貨物和支付貨款時買賣雙方的義務(wù),分析了在違約情況下的歸責(zé)原則和違約救濟(jì)方式,特別是網(wǎng)上購物的在線爭議的解決方式的適用。最后一部分根據(jù)目前網(wǎng)上購物合同存在的一些問題,主要是團(tuán)體格式合同的濫用,消費者個人信息等隱私權(quán)的侵犯還有在司法救濟(jì)過程中遇到的管轄和證據(jù)問題,大膽地提出了一些建議,希望通過制定一部《電子商務(wù)法》來系統(tǒng)地規(guī)范網(wǎng)上購物合同等電子合同問題,因為目前只是依據(jù)民法和合同法的有關(guān)規(guī)定來解決網(wǎng)上購物的一些糾紛,現(xiàn)實中更多的是依靠投訴和行政手段來解決,這些都不能切實有效地維護(hù)買方的權(quán)益。希望《電子商務(wù)法》的問世不僅能夠從實體上規(guī)范買賣雙方的權(quán)利義務(wù),而且在程序上也更加完善,方便權(quán)利的現(xiàn)實救濟(jì)。
[Abstract]:As a new type of shopping, online shopping has been welcomed by the public, not only is it convenient for people to live, but also a kind of life style for young people. At present, online shopping mall, such as net, outstanding Amazon, Jingdong Mall, has become a hot online store. But as the online shopping is becoming more and more prosperous, the various contradictions and disputes caused by the online shopping have been increasing, and the online shopping problem has become a hot spot of the complaints. As the "Children's book default" of the network on August 9,2011, the seller unilaterally cancels the order to cause the consumer's dispute. Therefore, the relevant legal problems of the online shopping contract gradually enter the field of the public, and become the hot spot of the research of experts and scholars. This paper is divided into five parts The first part simply introduces the characteristics and classification of the online shopping contract, and lays the foundation for the following discussion The second part starts with the two steps of the contract, analyzes the establishment of the online shopping contract, and analyzes the time and place of the establishment of the online shopping contract. Point. The third part is about the uncertainty of the identity of the subject of the online shopping contract and the authenticity of the electronic meaning representation, so as to ensure the life of the contract As a result of the fact that the online shopping is not a face-to-face consultation, but the form of electronic data is used for signing, the identity of the subject has certain uncertainty. The paper introduces the identity of the buyer and the seller. The expression of the electronic meaning in two cases of electronic error and computer obstacle is also analyzed. The fourth part aims at the main obligations of the buyer and the seller on the net, and the obligations of both the buyer and the seller in the case of the return and replacement and the payment of the goods, and analyzes the principle of the imputation and the way of the breach of the contract in the event of default, in particular the solution of online dispute on the online shopping. In the last part, according to some problems existing in the current online shopping contract, mainly the abuse of the group format contract, the violation of the privacy of the consumer's personal information, and the jurisdictional and evidence problems encountered in the judicial relief process, some construction has been proposed boldly. On the basis of the relevant provisions of the civil law and the contract law, it is hoped to solve some disputes of the online shopping, more of which is to rely on the complaints and the administrative means to solve the problems. No, they can't effectively protect the buyer's rights I hope that the advent of the e-commerce law will not only standardize the rights and obligations of the buyer and the seller from the entity, but also be more perfect and convenient for the realization of the right.
