旅游合同格式條款研究

【摘要】: 目前,旅游合同的研究一直是國內(nèi)法學(xué)領(lǐng)域相當(dāng)薄弱的地方,專門針對(duì)旅游合同格式條款的研究更是鳳毛麟角。一方面,旅游市場蓬勃發(fā)展;另一方面,旅游方面研究與立法缺失導(dǎo)致旅游業(yè)矛盾迭出,這與我國加入WTO后所應(yīng)具備的健全有序的法制環(huán)境不相適應(yīng)。事實(shí)上,旅游業(yè)糾紛頻發(fā)的重要原因就是旅游合同的格式化。面對(duì)旅游業(yè)高速發(fā)展,旅游糾紛日益增多的現(xiàn)實(shí),研究旅游合同格式條款問題具有重要的理論和現(xiàn)實(shí)意義。本文立足于我國旅游合同研究與立法的實(shí)際情況,借鑒當(dāng)今世界各國的先進(jìn)成果,對(duì)我國旅游合同格式條款問題進(jìn)行系統(tǒng)的分析與研究,并提出積極的建議,以期完善我國相關(guān)法律法規(guī),促進(jìn)旅游業(yè)的健康持續(xù)發(fā)展。 除去引言和結(jié)語,本文共分三章: 第一章是旅游合同格式條款概述。該章主要由旅游合同基本問題、旅游合同的格式化特征、旅游合同格式化的利與弊、旅游合同格式條款的認(rèn)定四部分組成。本章首先介紹了旅游合同的基本情況,明確了它的概念,確定了從狹義的角度來研究旅游合同,即當(dāng)事人僅限定在旅行業(yè)者與旅游者雙方,并分析了旅游合同的性質(zhì);其次,指出旅游合同的格式化特征,其已成為標(biāo)準(zhǔn)的格式合同,并分析了旅游合同格式化的成因;再次,探討了旅游合同格式化的意義與弊端,并得出結(jié)論,旅游格式合同是旅游業(yè)發(fā)展的必然趨勢,對(duì)其不能人為阻止其應(yīng)用,而應(yīng)采取措施興利除弊,最大限度地發(fā)揮其功效;最后,界定了旅游合同格式條款的基本含義,并分析了在一些特殊情況下,對(duì)旅游合同中的條款是否為格式條款如何加以認(rèn)定。 第二章是國內(nèi)旅游合同不公平格式條款分析。首先,通過對(duì)旅游示范合同進(jìn)行研究發(fā)現(xiàn),在我國,旅游示范合同實(shí)質(zhì)已淪為旅游格式合同,其中存在著許多不公平的條款,并總結(jié)出其根源是行政主管部門的利益導(dǎo)向;其次,具體分析了國內(nèi)旅游合同示范文本中存在的諸多對(duì)旅游者不公平的條款;除此之外,結(jié)合案例,對(duì)國內(nèi)各地方一些常見的旅游合同不公平格式條款也進(jìn)行了較為詳細(xì)的分析。本章是本文的重點(diǎn)之一。 第三章是旅游合同格式條款的規(guī)制。該章從立法、行政、司法及其他四個(gè)方面來探討。首先,在研究國內(nèi)外立法現(xiàn)狀的基礎(chǔ)上,指出我國應(yīng)加強(qiáng)旅游合同的立法,此為規(guī)范旅游市場的治本之策。并且,在分析幾種不同立法選擇的基礎(chǔ)上,認(rèn)為目前最為現(xiàn)實(shí)而有效的立法策略是將旅游合同置于《合同法》中,使其有名化。然后,提出了旅游合同格式條款立法的具體設(shè)想;其次,行政規(guī)制也是重要一環(huán),在研究了我國目前行政規(guī)制主要形態(tài)的基礎(chǔ)上,提出了進(jìn)一步完善的建議;再次,司法規(guī)制是最后一道防線,首先分析了我國司法規(guī)制的現(xiàn)狀與成因,然后提出了具體的改進(jìn)措施;最后,分析了一些其他的措施,主要有行業(yè)自律、社會(huì)控制等,力圖使對(duì)旅游合同格式條款的規(guī)制方式更加完善,更好的促進(jìn)旅游業(yè)的健康發(fā)展。本章也是本文的重點(diǎn)。
[Abstract]:At present, the study of the tourism contract has been a very weak place in the field of domestic law, and the research on the format of the tourism contract is more and more important. On the one hand, the tourism market is booming; on the other hand, the study of tourism and the lack of legislation result in the contradiction of the tourism industry, which is not compatible with the perfect and orderly legal environment to be provided after China's entry into the WTO. In fact, the important reason for the frequent occurrence of the tourism dispute is the formatting of the tourism contract. In the face of the high-speed development of tourism and the increasing reality of tourism disputes, it is of great theoretical and practical significance to study the problem of the format of tourism contract. Based on the study of our country's tourism contract and the actual situation of the legislation, this paper draws on the advanced achievements of the countries in the world, and analyses and studies the problems of the terms and conditions of the tourism contract in our country, and puts forward some positive suggestions, in order to improve the relevant laws and regulations of our country, To promote the healthy and sustainable development of the tourism industry. To remove the introduction and the epilogue, this article is divided into two parts: Chapter 3: The first chapter is the tourism contract. This chapter is mainly made up of the basic problems of the tourism contract, the formatting characteristics of the tourism contract, the advantages and disadvantages of the formatting of the tourism contract, and the identification of the terms of the format of the tourism contract. In this chapter, the basic situation of the tourism contract is introduced, the concept of the contract is defined, the study of the travel contract from the narrow angle is established, that is, the party is only limited to both the travel industry and the tourist, and the nature of the tourism contract is analyzed; and then, the tourism contract is pointed out. The formatting characteristics, which have become the standard format contract, have analyzed the origin of the formatting of the tourism contract, and discussed the significance and the malpractices of the format of the tourism contract, and concluded that the tourism format contract is the inevitable trend of the development of the tourism industry, and it can't be man-made. To prevent its application, we should take measures to promote the advantages and disadvantages and maximize its effectiveness; and finally, it defines the basic meaning of the terms and conditions of the tourism contract, and analyzes whether the articles in the tourism contract are in the form of a format in some special cases. The second chapter is that the domestic tourism contract does not First of all, through the study of the model contract of tourism, in our country, the model contract of tourism has become a contract of tourism, many of which are not fair, and the root cause is the administrative department.
