【摘要】：法律是市場經(jīng)濟主體系統(tǒng)化的行為準則,是各種市場經(jīng)濟主體之間劃分利益與風(fēng)險的體系。 海信的商標在德國被競爭對手搶注,中鐵在沙特一個項目就損失幾十億。為什么會出現(xiàn)這種情況呢?因為目前中國企業(yè)的法律風(fēng)險管理還處在事務(wù)型階段,還沒有進入全面法律風(fēng)險管理階段。2012年2月1日,國家標準化管理委員會頒布并實施了《企業(yè)法律風(fēng)險管理指南》。在指南中明確了法律風(fēng)險的定義。企業(yè)法律風(fēng)險是基于法律規(guī)定、監(jiān)管要求或合同約定,由于企業(yè)外部環(huán)境及其變化,或企業(yè)及其利益相關(guān)者的作為或不作為,對企業(yè)目標產(chǎn)生的影響。 濟南港華燃氣有限公司近幾年在法律風(fēng)險方面面臨著一些新情況、新問題、新挑戰(zhàn)。國家對社會公用企業(yè)的管制越來越嚴格,《勞動合同法》生效之后,勞動爭議案件迅速增多,隨著新用戶的不斷拓展,管道施工合同糾紛越來越多,用戶拖欠燃氣款額度不斷增加。結(jié)果企業(yè)的利潤率不斷降低,企業(yè)的綜合競爭力不斷下降。企業(yè)的法律風(fēng)險管理水平已經(jīng)不能適應(yīng)企業(yè)的發(fā)展需求了。綜合分析發(fā)現(xiàn),企業(yè)的法律風(fēng)險管理仍然處于事務(wù)型管理模式階段,沒有進入控制型管理模式階段。因此有必要對濟南港華燃氣有限公司的法律風(fēng)險管理進行系統(tǒng)研究。 港華燃氣的法律風(fēng)險管理研究過程由四部分組成,明確法律風(fēng)險環(huán)境信息、法律風(fēng)險評估、法律風(fēng)險應(yīng)對、監(jiān)督與檢查。其中法律風(fēng)險評估包括法律風(fēng)險識別、法律風(fēng)險分析、法律風(fēng)險評價三個步驟。通過識別、分析、評價,確定燃氣管道施工合同是公司需要重點應(yīng)對的風(fēng)險。針對公司對該類風(fēng)險沒有審查,沒有流程的實際,確定法律風(fēng)險應(yīng)對措施是燃氣施工合同的流程化、信息化。
[Abstract]:Law is a systematic code of conduct for market economy subjects and a system for dividing interests and risks among various market economic subjects. Hisense's trademark was snapped up by rivals in Germany, and China Railway lost billions on a Saudi project. Why did this happen? At present, the legal risk management of Chinese enterprises is still in the transactional stage and has not yet entered the stage of comprehensive legal risk management. On February 1, 2012, the State Standardization Management Committee promulgated and implemented the "Guide to Enterprise legal risk Management". The legal risk is defined in the guide. Corporate legal risk is based on the legal provisions, regulatory requirements or contractual agreement, because of the external environment of the enterprise and its changes, or the enterprise and its stakeholders act or omission, the impact on the objectives of the enterprise. Jinan Ganghua Gas Co., Ltd. is facing some new situations, new problems and new challenges in legal risks in recent years. The state has more and more strict control over public enterprises in the society. After the "Labor contract Law" came into effect, the number of cases of labor disputes has increased rapidly. With the continuous expansion of new users, there have been more and more disputes over pipeline construction contracts. The amount of gas defaulted by users is increasing. As a result, the profit margin of the enterprise is decreasing, and the comprehensive competitiveness of the enterprise is declining. The level of legal risk management of enterprises has been unable to meet the development needs of enterprises. The comprehensive analysis shows that the legal risk management of enterprises is still in the stage of transactional management mode, and has not entered the stage of controlling management mode. Therefore, it is necessary to study the legal risk management of Jinan Port Gas Co., Ltd. The research process of legal risk management of Hong Kong and China Gas is composed of four parts: clear legal risk environmental information, legal risk assessment, legal risk response, supervision and inspection. Legal risk assessment includes three steps: legal risk identification, legal risk analysis and legal risk evaluation. Through identification, analysis, evaluation and determination of gas pipeline construction contract is the company need to deal with the key risks. According to the fact that the company does not examine this kind of risk and there is no process, it is determined that the legal risk countermeasures are the flow of gas construction contract and the informationization.
