C2C模式下在線交易合同法律問題的案例分析

【摘要】:隨著網(wǎng)絡(luò)技術(shù)進(jìn)一步的發(fā)展,新的電子商務(wù)交易模式成為了現(xiàn)代商業(yè)活動中非常重要的一種方式。將傳統(tǒng)商品交易活動轉(zhuǎn)移到以計(jì)算機(jī)為載體的網(wǎng)絡(luò)上,這是在線交易的本質(zhì)。這種全新的交易方式無論在空間上還是在時(shí)間上均突破了傳統(tǒng)交易的模式,沖擊和挑戰(zhàn)著傳統(tǒng)的交易規(guī)則和程序,這種碰撞也引發(fā)了大量電子商務(wù)上的交易糾紛和矛盾。我們發(fā)現(xiàn)C2C交易模式動搖了傳統(tǒng)民商事法律得以制定的基礎(chǔ),故而造成傳統(tǒng)法律的在適用過程中的困難,而現(xiàn)實(shí)是相關(guān)立法支持與電子商務(wù)發(fā)展規(guī)模有很大差距,其中相當(dāng)多的法律問題是需要亟需解決的。本文旨在研究C2C模式下買賣雙方的合同行為,力求使傳統(tǒng)法律與這種新型的交易模式更好的銜接,探討在線交易買賣糾紛的解決思路,從而創(chuàng)造一個(gè)健康有序的交易環(huán)境。 本文通過三個(gè)部分論述C2C模式下在線交易合同的法律問題。 第一部分介紹了C2C網(wǎng)站拍拍網(wǎng)平臺網(wǎng)購交易的典型案例和淘寶網(wǎng)“1元促銷”案例,引出案件爭議的焦點(diǎn)和呈現(xiàn)出來的問題。 第二部分深入分析案例,理論聯(lián)系實(shí)際,就案例涉及焦點(diǎn)如平臺提供商的法律地位和法律義務(wù)、C2C模式下在線交易合同主體、成立和履行等法律問題做進(jìn)一步分析并探討解決思路。 第三部分基于第一、二部分的探討和分析提出自己的思考。主要集中在兩點(diǎn):一是C2C模式下在線交易合同糾紛的解決機(jī)制(本文不討論非訴解決機(jī)制);二是本文將C2C模式放到網(wǎng)絡(luò)購物這個(gè)宏觀的概念下,就在合同法的范疇內(nèi)的立法和對現(xiàn)行法的修正提出自己的思考和建議。
[Abstract]:With the further development of network technology, the new electronic commerce transaction model has become a very important way in modern business activities. It is the essence of online trading to transfer the traditional commodity trading activities to the network with computer as the carrier. This new way of transaction breaks through the traditional transaction mode in both space and time, which impacts and challenges the traditional transaction rules and procedures. This kind of collision also leads to a large number of transaction disputes and contradictions in electronic commerce. We find that the C2C transaction model shakes the foundation of the traditional civil and commercial law, which results in the difficulties in the application of the traditional law. However, the reality is that there is a big gap between the relevant legislative support and the development scale of electronic commerce. Quite a few of these legal problems need to be solved urgently. The purpose of this paper is to study the contractual behavior of buyers and sellers under the C2C model, to make the traditional law and this new trading model better link up, to explore the solution of online trading disputes, and thus to create a healthy and orderly trading environment. This paper discusses the legal problems of online trading contract in C 2 C mode through three parts. The first part introduces the typical cases of C2C website platform online purchase and Taobao "1 yuan promotion" case, leading to the focus of the case dispute and the problems presented. The second part of the in-depth analysis of cases, theory and practice, involving the focus of cases such as the legal status of platform providers and legal obligations under the C2C model of online trading contracts, Make further analysis of legal issues such as establishment and implementation and explore solutions. The third part is based on the discussion and analysis of the first and second parts. It mainly focuses on two aspects: first, the mechanism of online transaction contract dispute resolution under C2C mode (this paper does not discuss non-litigation resolution mechanism); second, this paper puts the C2C model under the macro concept of online shopping. This paper puts forward some thoughts and suggestions on the legislation in the contract law and the amendment of the current law.
