【摘要】：在經(jīng)濟(jì)全球化全面推進(jìn)的當(dāng)下，合同，由于其與市場(chǎng)經(jīng)濟(jì)的密切聯(lián)系而穩(wěn)居于法律界重者恒重的地位，同時(shí)也由于市場(chǎng)的飛速發(fā)展與交易的日趨復(fù)雜，合同法律的滯后性更加凸顯。是故，對(duì)以古典契約理論為基礎(chǔ)的整個(gè)合同制度進(jìn)行反思、補(bǔ)闕、創(chuàng)新，使之適應(yīng)、促進(jìn)、引領(lǐng)經(jīng)濟(jì)的發(fā)展，是當(dāng)下合同法律發(fā)展的必由之路。本文正是選取合同法上舊理論與新形勢(shì)碰撞的一個(gè)“青黃不接”之處——預(yù)約合同來進(jìn)行研究，重點(diǎn)探討預(yù)約合同的成立標(biāo)準(zhǔn)問題。 本文第一章，在對(duì)預(yù)約合同進(jìn)行簡(jiǎn)要背景概述之后，主要介紹了兩則預(yù)約合同典型案例，一為商品房買賣合同方面的再審案件，一為勞動(dòng)合同方面的二審案件，引出預(yù)約合同的成立問題及商品房認(rèn)購書、意向書、三方協(xié)議等與預(yù)約合同的關(guān)系問題。第二章，重點(diǎn)探討預(yù)約合同的成立問題在實(shí)踐運(yùn)用中產(chǎn)生問題的原因，初步歸結(jié)為立法上缺失預(yù)約合同的成立標(biāo)準(zhǔn)，法律解釋片面而籠統(tǒng)，對(duì)預(yù)約的特征及與相關(guān)概念的區(qū)別掌握不清等幾大成因。第三章，，針對(duì)預(yù)約合同的成立方面產(chǎn)生的問題及原因進(jìn)行各個(gè)擊破，著力從區(qū)分概念、完善立法等方面摸索出一套預(yù)約合同的成立標(biāo)準(zhǔn)。第四章，將總結(jié)出的預(yù)約合同成立標(biāo)準(zhǔn)進(jìn)行實(shí)踐運(yùn)用，并用以解決第一章所提出的兩個(gè)案例的相關(guān)問題。 本文的探討雖然角度較小，但希望以小見大，希望能為預(yù)約合同的制度構(gòu)筑添磚加瓦。
[Abstract]:At the present time when the economic globalization is advancing in an all-round way, the contract, because of its close relationship with the market economy, is firmly in the position of the heavyweight in the legal profession, and at the same time, because of the rapid development of the market and the increasing complexity of the transaction, The lag of contract law is more prominent. Therefore, it is the only way for the development of contract law to reflect on, supplement, innovate, adapt, promote and lead the development of economy on the basis of classical contract theory. In this paper, the author chooses the old theory of contract law to collide with the new situation, that is, the reservation contract, which is the place of collision between the old theory and the new situation, and focuses on discussing the standard of the establishment of the contract reservation. After a brief background summary of the reservation contract, this paper mainly introduces two typical cases of the reservation contract, one is the retrial case in the commercial housing sale contract, the other is the second instance case in the aspect of the labor contract. This paper introduces the establishment of the reservation contract and the relationship between the purchase of the commercial house, the letter of intent, the tripartite agreement and the reservation contract. In the second chapter, the author focuses on the reasons for the problems in the practice of the establishment of the appointment contract, which are primarily attributed to the lack of legal standards for the establishment of the reservation contract, the one-sided and general interpretation of the law. The characteristics of reservation and the differences with related concepts are not clear and so on several major causes. In the third chapter, the author tries to break down the problems and causes of the establishment of the reservation contract, and tries to find out a set of standards of the contract from the aspects of distinguishing the concept, perfecting the legislation, and so on. In the fourth chapter, the conclusion of the contract formation criteria is put into practice and used to solve the related problems of the two cases in the first chapter. Although the perspective of this paper is small, it is hoped that it can be seen from a small point of view. Hope to make a contribution to the system of appointment contract.
