【摘要】：我國(guó)合同法雖然確立了表見(jiàn)代理制度，但是，由于該條文過(guò)于簡(jiǎn)略，對(duì)于如何認(rèn)定表見(jiàn)代理及表見(jiàn)代理的構(gòu)成要件等問(wèn)題，司法實(shí)踐中認(rèn)識(shí)不一，認(rèn)定標(biāo)準(zhǔn)較為混亂，故有必要對(duì)其予以研究和探討。 本文除了導(dǎo)言及結(jié)論兩部分外，共有四個(gè)部分： 第一部分是表見(jiàn)代理制度的基本介紹。主要介紹代理制度及表見(jiàn)代理制度的概念、性質(zhì)、價(jià)值及兩大法系關(guān)于表見(jiàn)代理制度的法律規(guī)定。 第二部分是我國(guó)表見(jiàn)代理制度的立法規(guī)定。主要介紹了我國(guó)關(guān)于表見(jiàn)代理制度的立法、構(gòu)成要件及現(xiàn)實(shí)表現(xiàn)，以正確認(rèn)識(shí)和判斷一個(gè)行為是否構(gòu)成表見(jiàn)代理。 第三部分是我國(guó)表見(jiàn)代理制度的具體案件審理及相關(guān)問(wèn)題探討。通過(guò)典型案例分析，找出案件司法適用特點(diǎn)及原因分析。 第四部分是對(duì)我國(guó)表見(jiàn)代理制度在司法適用上再完善的建議。經(jīng)過(guò)研究及通過(guò)自己從事相關(guān)工作的實(shí)務(wù)經(jīng)驗(yàn)，分析出如統(tǒng)一審理思路、完善適用規(guī)則及合理認(rèn)定考量因素等建議，，希望在今后的修改中能逐步完善。
[Abstract]:Although the law of contract of our country has established the system of surrogate agency, however, because this provision is too brief, there are different understandings on how to identify the constituent elements of apparent agency and apparent agency in judicial practice, and the standard of cognizance is confused. Therefore, it is necessary to study and discuss it. In addition to the introduction and conclusion, there are four parts: the first part is the basic introduction of the agency system. This paper mainly introduces the concept, nature, value and the legal provisions of the surrogate agency system in the two legal systems. The second part is the legislative provisions of the surrogate agency system in our country. This paper mainly introduces the legislation, constitutive elements and actual performance of the surrogate system in our country. The third part is the concrete case trial and related problems of our country's apparent agency system. Through the analysis of typical cases, the author finds out the characteristics and reasons of judicial application of cases. The fourth part is the suggestion to perfect the judicial application of apparent agency system in our country. Through the research and the practical experience in the related work, the author analyzes some suggestions, such as unifying the thinking of trial, perfecting the applicable rules and determining the factors reasonably, and so on, hoping to improve gradually in the future revision.
