【摘要】：“契約必須嚴守”是合同法的一項基本原則，更是合同法的理論基石；情事變更原則是“契約必須嚴守”原則的例外，但這種例外是以承認“契約必須嚴守”原則為前提的。自我國于2001年加入世界貿(mào)易組織以來，與其他國家和地區(qū)的經(jīng)濟往來得到不斷的擴大，外貿(mào)合同的數(shù)量也越來越多。面對紛繁復雜的國際形勢，我國在對外經(jīng)濟貿(mào)易的交往過程中不可避免的會遇到因情事發(fā)生異常變更而可能導致合同雙方當事人間債權(quán)債務(wù)嚴重失衡的情況，因此情事變更原則在于外貿(mào)合同中就顯得尤為必要。本文在結(jié)合法學理論及司法實踐前提下，就情事變更原則在外貿(mào)合同中的適用進行粗淺的研究，以期能夠為維護外貿(mào)合同中合同雙方當事人的合法權(quán)益提供些許思路。 本文較多的采用了分析和歸納的方法進行深入的論述，同時還采取對比的方法以理論分析。本文在理論上突破了情事變更原則原有的理論束縛，將情事變更原則在外貿(mào)合同中適用所追求的價值理念突顯出來。同時，本文將理論與實踐緊密的結(jié)合在一起，深入的分析了情事變更原則在外貿(mào)合同中的構(gòu)成要件及其適用的法律效力，，相信對于情事變更原則在外貿(mào)合同中的適用將更加有益。
[Abstract]:"contract must be strictly observed" is a basic principle of contract law and the theoretical cornerstone of contract law; the principle of circumstance change is the exception of "contract must be strictly adhered to", but this exception is based on the recognition of "contract must strictly abide by" principle as the premise. Since our country joined the World Trade Organization in 2001, the economic exchanges with other countries and regions have been continuously expanded, and the number of foreign trade contracts has become more and more. In the face of the complicated international situation, China will inevitably encounter the serious imbalance between the creditor's rights and debts between the parties to the contract as a result of abnormal changes in the process of foreign economic and trade exchanges. Therefore, the principle of circumstance change in foreign trade contracts is particularly necessary. Based on the legal theory and judicial practice, this paper makes a brief study on the application of the principle of circumstance change in the foreign trade contract, hoping to provide some ideas for the maintenance of the legal rights and interests of the parties to the contract in the foreign trade contract. In this paper, more methods of analysis and induction are used to conduct in-depth discussion, but also the method of contrast to theoretical analysis. This paper theoretically breaks through the original theoretical shackles of the principle of circumstance change, and highlights the value concept that the principle of circumstance change is applied in the foreign trade contract. At the same time, this paper combines theory and practice closely, and deeply analyzes the constitutive elements and the applicable legal effect of the principle of circumstance change in foreign trade contract. It is believed that the application of the principle of change of events in foreign trade contracts will be more beneficial.
