【摘要】：在電子商務(wù)不斷發(fā)展的時代,電子合同的適用越來越常見和廣泛。電子合同是一種新的合同方式,但其也具備合同的一般屬性。也就是說,一般合同法的原則和理論在電子合同上仍適用。但與一般合同比較,電子合同具有特殊性,這種差異給傳統(tǒng)合同法規(guī)范帶來了一定的挑戰(zhàn)。我國在電子商務(wù)方面已經(jīng)有了一定的立法,但遠遠不夠。于此,本文對電子合同相關(guān)法律問題進行研討。 第一章是電子合同的概述。首先分析了電子合同的概念；然后根據(jù)電子合同與一般合同的比較,得出電子合同的特征：訂約主體的虛擬性；電子合同訂立環(huán)境的改變；電子合同具有不穩(wěn)定性；合同訂立的程序發(fā)生變化；合同內(nèi)容有所不同；合同的形式完全不同；最后對電子合同的特殊性給傳統(tǒng)法律帶來的挑戰(zhàn)進行了分析。 第二章是電子合同的特殊法律問題。首先分析了電子合同的締約主體,從電子合同當(dāng)事人的行為能力、電子代理人進行說明；其次分析了電子合同的要約、承諾及電子錯誤；第三分析了電子合同成立的時間和地點；最后分析了電子合同法律效力問題。 第三章是我國電子合同立法探討及建議。首先說明了我國電子合同的立法現(xiàn)狀,主要從我國電子合同規(guī)定的不足和我國現(xiàn)行立法的缺陷來說明；其次分析了完善我國電子合同立法的必要性；最后是完善我國電子合同的立法建議,主要從立法原則、立法模式選擇、立法完善、配套措施完善及司法實踐方面完善來構(gòu)建。
[Abstract]:In the continuous development of e-commerce era, more and more common for electronic contract and widely. The electronic contract is a new contract, but also has the general properties of the contract. That is to say, the general principles and theories of contract law still applies in the electronic contract. But with the general contract, electronic contract this difference has its particularity, which brings great challenges to the traditional norms of contract law. In our country electronic commerce has a certain legislation, but not enough. In this study, the related legal issues of electronic contract in this paper.
The first chapter is an overview of electronic contract. First analyzes the concept of electronic contract; then according to the comparison of the electronic contract and the general contract, it concludes the characteristics of electronic contract: virtual contract subject; electronic contract environment change; electronic contract has not made the same stability; program changes; the contents of the contract are different; the form of the contract is completely different; finally, the particularity of to traditional legal challenges are analyzed.
The second chapter is the special legal issues of electronic contract is analyzed. The subject of electronic contract, electronic contract from the ability of the party, the electronic agent is described; then analyzes the electronic contract offer, commitment and electronic error; third of the time and place of electronic contract; finally, analysis of the legal effect of the electronic contract.
The third chapter is the discussion of the electronic contract legislation of our country and suggestions. Firstly explains the current legislation of electronic contract, mainly from the lack of provisions of the electronic contract in our country and our current legislative defects; secondly analyzes the necessity of improving China's legislation of electronic contract; the last is the suggestion of legislation on electronic contract in our country, mainly from the legislative principle, legislative mode, legislative perfection, to build the perfect measures of improvement and judicial practice.
