鄧柱基與工藝品公司房屋優(yōu)先購(gòu)買(mǎi)權(quán)一案之評(píng)析

【摘要】:承租人享有所租住房屋的優(yōu)先購(gòu)買(mǎi)權(quán)是由《中華人民共和國(guó)合同法》第230條明確規(guī)定的。該法條規(guī)定,出租人在出售房屋之前,應(yīng)當(dāng)將這一情況在合理期限內(nèi)通知房屋承租人,承租人享有在同等的條件下優(yōu)先購(gòu)買(mǎi)租住房屋的權(quán)利。但該法條規(guī)定得過(guò)于原則和籠統(tǒng),在房屋租賃形式多樣化、復(fù)雜化的今天,司法實(shí)務(wù)當(dāng)中往往難以準(zhǔn)確適用。局部承租人的優(yōu)先購(gòu)買(mǎi)權(quán)問(wèn)題和“同等條件”的界定問(wèn)題是承租人優(yōu)先購(gòu)買(mǎi)權(quán)糾紛中的焦點(diǎn)問(wèn)題,學(xué)術(shù)界及司法實(shí)務(wù)界對(duì)其爭(zhēng)議較大,不少法院裁判時(shí)將兩者混為一談,使得判決缺乏合理性。 局部承租人的優(yōu)先購(gòu)買(mǎi)權(quán)問(wèn)題和“同等條件”的界定問(wèn)題是兩個(gè)不同層次的問(wèn)題,應(yīng)首先明確局部承租人對(duì)租住房屋或整體房屋有無(wú)優(yōu)先購(gòu)買(mǎi)權(quán),再分析是否具備了同等條件。局部承租人是否享有優(yōu)先購(gòu)買(mǎi)權(quán)應(yīng)視所承租房屋產(chǎn)權(quán)獨(dú)立與否區(qū)別對(duì)待,“同等條件”的內(nèi)涵應(yīng)包括相同的價(jià)格、相同的支付方式以及相同的從給付義務(wù)。承租人優(yōu)先購(gòu)買(mǎi)權(quán)性質(zhì)的準(zhǔn)確認(rèn)定和其行使所產(chǎn)生的法律效果對(duì)案件的正確裁判十分重要,將承租人優(yōu)先購(gòu)買(mǎi)權(quán)定性為形成權(quán),,并根據(jù)租賃合同備案與否賦予其物權(quán)屬性或債權(quán)屬性,能最大限度地保護(hù)出賣人、承租人和第三人的合法權(quán)益。本文運(yùn)用法學(xué)理論知識(shí)對(duì)鄧柱基與廣州工藝品公司房屋優(yōu)先購(gòu)買(mǎi)權(quán)一案進(jìn)行分析,在已有研究的基礎(chǔ)上提出了自己的一些構(gòu)想,希望對(duì)類似案件的處理提供一些參考意見(jiàn)。
[Abstract]:The lessee's preemptive right to rent a house is clearly stipulated in Article 230 of the contract Law of the people's Republic of China.The law provides that the lessor shall notify the lessee of the situation within a reasonable period before selling the house and that the lessee shall have the right to purchase the rental house in priority under the same conditions.However, the provisions of the law are too principle and general, in the form of housing rental diversification, complex today, judicial practice is often difficult to apply accurately.The preemptive right of partial lessee and the definition of "equal condition" are the focal points in the preemptive right dispute.It makes the judgment unreasonable.The preemptive right of partial lessee and the definition of "equal condition" are two different levels of problems. Firstly, it should be made clear whether the partial lessee has the preemptive right to rent house or the whole house, and then whether or not the same condition is available.Whether the partial lessee enjoys the preemptive right should be treated differently as the property right of the leased house is independent or not, and the connotation of "equal conditions" should include the same price, the same way of payment and the same obligation of subordinate payment.The accurate identification of the nature of the lessee's preemptive right and the legal effect produced by its exercise are very important to the correct judgment of the case, and the lessee's preemptive right is characterized as the formative right.According to whether the lease contract is put on record or not, it can protect the legal rights and interests of the seller, lessee and third party to the maximum extent.This paper uses the knowledge of law theory to analyze the case of Dengzhouji and Guangzhou handicraft company housing preemption right, puts forward some ideas on the basis of the existing research, and hopes to provide some reference opinions for the handling of similar cases.
