“買(mǎi)賣(mài)不破租賃”規(guī)則適用條件研究

【摘要】:一般認(rèn)為,適用"買(mǎi)賣(mài)不破租賃"規(guī)則至少應(yīng)當(dāng)具備如下條件:租賃合同有效、所有權(quán)的變動(dòng)發(fā)生在租賃期間內(nèi)及承租人愿意繼續(xù)履行原租賃合同。然而,我國(guó)除了《合同法》第229條對(duì)"買(mǎi)賣(mài)不破租賃"規(guī)則如何適用以及產(chǎn)生的法律效果進(jìn)行闡述以外,對(duì)該規(guī)則沒(méi)有更多的立法規(guī)定。上述三個(gè)適用條件具體為何值得探究。本文以此為線索,探究"買(mǎi)賣(mài)不破租賃"規(guī)則的適用條件問(wèn)題,希冀該規(guī)則能夠在司法適用中發(fā)揮其真正的價(jià)值。第一章是"買(mǎi)賣(mài)不破租賃"規(guī)則的概述,簡(jiǎn)述該規(guī)則的淵源、評(píng)析我國(guó)對(duì)該規(guī)則的適用狀況,認(rèn)為我國(guó)關(guān)于該規(guī)則的適用條件不夠明確,總結(jié)主要存在的三個(gè)問(wèn)題:租賃合同是否需要滿(mǎn)足一定公示條件、不同方式的所有權(quán)變動(dòng)是否均能適用該規(guī)則,以及何為該規(guī)則中的"承租人"。下文將對(duì)這三個(gè)問(wèn)題分別進(jìn)行詳述。第二章針對(duì)"買(mǎi)賣(mài)不破租賃"規(guī)則適用條件之"租賃合同有效"進(jìn)行分析,認(rèn)為該規(guī)則中租賃合同的有效性有別于一般的租賃合同,其有效性意指產(chǎn)生了對(duì)抗所有權(quán)轉(zhuǎn)讓合同的效力,故以租賃物的"占有"為公示要件。第三章針對(duì)"買(mǎi)賣(mài)不破租賃"規(guī)則適用條件之"發(fā)生在租賃期間內(nèi)的所有權(quán)變動(dòng)"進(jìn)行分析,認(rèn)為適用該規(guī)則必然要求所有權(quán)發(fā)生變動(dòng),然而所有權(quán)的變動(dòng)有多種方式,如,因法律行為引起的所有權(quán)變動(dòng)與因公法行為引起的所有權(quán)變動(dòng),是否均可作為該規(guī)則的適用條件值得進(jìn)一步討論。第四章針對(duì)"買(mǎi)賣(mài)不破租賃"規(guī)則適用條件之"承租人愿意繼續(xù)履行原租賃合同",研究承租人的涵義以及承租人意思表達(dá)的方式等問(wèn)題,特別是部分租賃或共同租賃的承租人如何適用該規(guī)則的問(wèn)題。第五章為結(jié)論與建議。我國(guó)"買(mǎi)賣(mài)不破租賃"規(guī)則的立法目的是保護(hù)承租人利益,其實(shí)質(zhì)則是意思自治的體現(xiàn)。關(guān)于該規(guī)則的適用條件,一是以租賃物的"占有"為公示要件,二是需要區(qū)分所有權(quán)變動(dòng)的類(lèi)型,三是承租人意愿方面,承租人的內(nèi)涵和外延以及繼續(xù)租賃的意思表達(dá)方式均具有特殊性。
[Abstract]:It is generally believed that the application of the "sale and purchase unbroken lease" rule should at least meet the following conditions: the lease contract is valid, the change of ownership takes place during the lease period and the lessee is willing to continue to perform the original lease contract... however, In addition to Article 229 of the contract Law, this article expounds how the rule of "buying and selling unbreakable lease" applies and the legal effect it produces. There are no more legislative provisions on this rule. Why the above three conditions of application are worth exploring. This paper takes this as a clue to explore the applicable conditions of the rule of "buying and selling without breaking the lease". It is hoped that the rule can play its true value in the judicial application. Chapter one is an overview of the rule of "buying and selling unbreakable lease", a brief description of the origin of the rule, and an assessment of the application of the rule in our country. The author thinks that the applicable conditions of this rule are not clear enough in our country, and summarizes the three main problems: whether the lease contract needs to meet certain publicity conditions, and whether the rules can be applied to all kinds of ownership changes. And what are the "lessees" in the rules. These three issues will be discussed in detail below. Chapter two analyzes the validity of the lease contract under the applicable conditions of the "sale and purchase unbroken lease" rules. Considering that the validity of a lease contract in this rule is different from that of a general lease contract, and that its validity implies that it has the effect of counteracting a contract of transfer of title, Therefore, taking the "possession" of the lease item as the public notice, the third chapter analyzes the "change of ownership during the lease period" of the applicable conditions of the rules, and concludes that the application of the rules necessarily requires a change of ownership. However, there are many ways to change ownership, such as the change of ownership caused by legal act and the change of ownership caused by act of public law. The fourth chapter studies the meaning of the lessee and the lease in view of the "lessee willing to continue to perform the original lease contract" in the light of the applicable conditions of the rules of "buying and selling unbroken lease", and studying the meaning of the lessee as well as the lease. How people express their meaning, The fifth chapter is the conclusion and suggestion. The legislative purpose of the rule is to protect the interests of the lessee. The essence of this rule is the embodiment of autonomy of will. As for the applicable conditions of this rule, one is that the "possession" of the lease item is the public element, the other is the need to distinguish the types of the change of ownership, and the third is the intention of the lessee. The connotation and extension of the lessee and the expression of the intention of the continued lease have their particularities.
