【摘要】：買賣合同是經(jīng)濟全球化格局當(dāng)中使用最為普遍的合同，與之相關(guān)聯(lián)的風(fēng)險負擔(dān)制度便成為合同法的中心問題之一，世界各國的立法均對此制度給予了高度重視。在我國的合同法中，雖然有關(guān)于買賣合同標(biāo)的物風(fēng)險負擔(dān)的相關(guān)規(guī)定，但由于規(guī)定的內(nèi)容并不全面，致使在實踐過程中，給當(dāng)事人運用法律維護自身的合法權(quán)益造成了一定的困難。 本文首先對風(fēng)險的概念、特點、風(fēng)險事由的范圍進行界定。同時，對于目前存在的三大立法模式進行逐一評析，通過比對總結(jié)出相應(yīng)模式的優(yōu)缺點。其次，將各國關(guān)于買賣合同標(biāo)的物風(fēng)險負擔(dān)一般規(guī)則與特殊規(guī)則的立法規(guī)定進行了詳細梳理。再次，也是本文的最大亮點在于，通過實證分析的方法，引出目前我國關(guān)于買賣合同標(biāo)的物風(fēng)險負擔(dān)規(guī)則的爭議焦點，，側(cè)重對“風(fēng)險負擔(dān)的前提”、“違約時標(biāo)的物風(fēng)險負擔(dān)規(guī)則”、“路貨買賣時標(biāo)的物風(fēng)險負擔(dān)規(guī)則”和“涉及運輸時風(fēng)險負擔(dān)規(guī)則”這四類情況進行分析，將外國先進立法規(guī)定與我國立法規(guī)定相比較，進而發(fā)現(xiàn)我國《合同法》關(guān)于標(biāo)的物風(fēng)險負擔(dān)規(guī)定之不足，并提出相應(yīng)的完善建議，以期能夠?qū)碚摵蛯嵺`起到一定促進作用。
[Abstract]:Sale and purchase contract is the most common contract in the pattern of economic globalization, and the risk burden system associated with it has become one of the central problems of contract law. In the contract law of our country, although there are some relevant provisions on the risk burden of the subject matter of the contract for sale and purchase, the contents of the regulations are not comprehensive, resulting in the process of practice. To the parties to use the law to protect their legitimate rights and interests caused certain difficulties. In this paper, the concept, characteristics and scope of risk are defined. At the same time, the three existing legislative models are evaluated one by one, and the advantages and disadvantages of the corresponding models are summed up by comparison. The legislative provisions of the general rules and special rules on the risk burden of the subject-matter of sale and purchase contract are combed in detail. Thirdly, the biggest bright spot of this paper is that, through the method of empirical analysis, Leading to the current focus of our country on the subject matter of sale and purchase contract risk burden rules, Focusing on the "premise of the risk burden", the "risk burden rules on the subject matter at the time of default", the "risk burden rules on the subject matter in the sale of goods by road" and the "risk burden rules in relation to transport", By comparing the foreign advanced legislative provisions with those of our country, the author finds out the deficiency of the provisions on the risk burden of the subject matter in the contract Law of China, and puts forward corresponding suggestions for perfection, in the hope that they can promote the theory and practice to a certain extent.
