我國表見代表制度研究

【摘要】:表見代表是民商法中的重要制度之一,,是公平地保護各方當(dāng)事人利益的一種制度。這是代表制度趨于成熟的標(biāo)志,我國《合同法》第五十條對表見代表制度作了規(guī)定。本文除了導(dǎo)言和結(jié)語外共分為四個部分。 第一部分:表見代表制度的概述。本部分介紹了表見代表的定義、特點、產(chǎn)生背景和理論基礎(chǔ),并對表見代表的構(gòu)成要件進(jìn)行了分析,同時還運用比較分析的方法,對表見代理與表見代表的行為進(jìn)行比較,進(jìn)一步明確了表見代表的法律性質(zhì)和特征,從而更全面地認(rèn)識表見代表制度。 第二部分:表見代表的法律效果。本部分首先介紹了表見代表的表現(xiàn)形態(tài)。本文采用類推的方法,把表見代表和表見代理的相似部分和不同部分區(qū)分開來,從而根據(jù)表見代理的表現(xiàn)形態(tài)總結(jié)了表見代表的表現(xiàn)形態(tài)。然后介紹了表見代表所產(chǎn)生的法律效果,在本文中將表見代表的法律效果分為對內(nèi)對外兩部分,這樣就更加清晰地梳理了在司法實踐中比較模糊的表見代表情形。 第三部分:表見代表制度的比較分析。本部分充分運用了比較分析的方法對法人代表權(quán)理論中大陸法系的代表說和英美法系的代理說進(jìn)行了分析,并對各種法系比較有代表性的國家進(jìn)行了具體的介紹,從而有助于我國在適用表見代表制度時取其精華,建立更完善的表見代表制度。 第四部分:我國表見代表制度的立法現(xiàn)狀和立法完善。隨著經(jīng)濟日新月異的發(fā)展,法治也要跟著不斷完善。但是我國經(jīng)濟發(fā)展起步較晚,在法治方面還有很多不完善的地方,例如表見代表制度在我國適用還有許多問題有待解決。因此,我們在發(fā)展經(jīng)濟的同時,要根據(jù)中國目前的情況,借鑒國外的先進(jìn)法治理念來完善我國的表見代表制度,科學(xué)地給出表見代表的定義及規(guī)則原則,從而更好地維護市場秩序,保護交易安全。
[Abstract]:Apparent representation is one of the important systems in civil and commercial law, and it is a system to protect the interests of the parties fairly, which is the symbol of the maturity of the representative system. Article 50th of contract Law of China provides for the system of representation. This article is divided into four parts except the introduction and the conclusion. This part introduces the definition, characteristics, background and theoretical basis of the representation, and analyzes the elements of the representation, and at the same time uses the method of comparative analysis. In this paper, the author makes a comparison between the behavior of the apparent agency and the apparent representation, and further clarifies the legal nature and characteristics of the apparent representation, so as to understand the system of the apparent representation in a more comprehensive way. The second part: the legal effect of the apparent representation. This part first introduces the appearance of the apparent representative. This paper uses the analogy method to distinguish the similar parts and different parts of the apparent representative and the apparent agent. Then it summarizes the appearance of apparent representation according to the appearance of agency. Then it introduces the legal effect of apparent representation. In this paper, the legal effect of apparent representation is divided into two parts: internal and external. In this way, more clearly combed in the judicial practice of the more fuzzy representation of the situation. The third part: the comparative analysis of the representation system. This part makes full use of the method of comparative analysis to analyze the representative theory of the civil law system and the agent theory of the common law system in the theory of legal person's representation. It also introduces the representative countries of various legal systems in order to help our country take the essence of the system and establish a more perfect representation system. Part 4th: the legislative status quo and legislative perfection of our country's apparent representation system. With the rapid development of the economy, the rule of law must be continuously improved. However, the economic development of our country has started relatively late, and there are still many imperfections in the field of the rule of law. For example, there are still many problems to be solved in the application of the apparent representation system in China. Therefore, while we are developing our economy, we should improve our country's apparent representation system according to the current situation in China and the advanced concept of the rule of law in other countries. The definition and rule principle of representation are given scientifically so as to maintain market order and protect transaction security.
