房屋轉(zhuǎn)租效力問(wèn)題研究

【摘要】:建立在房屋租賃基礎(chǔ)上的轉(zhuǎn)租,系指承租人不退出租賃關(guān)系而將租賃物之全部或部分復(fù)出租給第三人(次承租人),,供其使用、收益的行為。在市場(chǎng)經(jīng)濟(jì)高速發(fā)展的今天,轉(zhuǎn)租在日益成為房屋租賃市場(chǎng)資源優(yōu)化配置的重要方式的同時(shí),各種問(wèn)題和糾紛也相伴而生。在近現(xiàn)代各國(guó)法律或判例對(duì)轉(zhuǎn)租行為調(diào)整的過(guò)程中,形成了自由主義、限制主義及區(qū)別主義的立法模式。我國(guó)現(xiàn)行法律對(duì)轉(zhuǎn)租行為的規(guī)范主要依據(jù)為《合同法》第224條的規(guī)定,采限制主義立法模式。盡管2009年我國(guó)最高人民法院出臺(tái)了《關(guān)于審理城鎮(zhèn)房屋租賃合同糾紛案件具體應(yīng)用法律若干問(wèn)題的解釋》(以下簡(jiǎn)稱《解釋》),對(duì)轉(zhuǎn)租制度做了進(jìn)一步明確,但轉(zhuǎn)租制度的缺失仍難以滿足司法實(shí)踐中解決紛繁蕪雜的案件的需要。加之各地政策及法官素質(zhì)、業(yè)務(wù)水平的不同,在審判實(shí)踐操作中存在諸多問(wèn)題l6待解決。 本文首先從轉(zhuǎn)租的相關(guān)制度入手,由房屋租賃的概念、特征論及房屋租賃權(quán)的性質(zhì)這一關(guān)系到轉(zhuǎn)租效力的問(wèn)題,對(duì)租賃權(quán)的債權(quán)說(shuō)、物權(quán)說(shuō)及物權(quán)化說(shuō)做了簡(jiǎn)要介紹,并在物權(quán)及債權(quán)相關(guān)理論的啟發(fā)下,從促進(jìn)交易、保護(hù)交易安全的角度得出結(jié)論,肯定租賃權(quán)的債權(quán)說(shuō);其次,本文通過(guò)對(duì)轉(zhuǎn)租與租賃權(quán)讓與、租賃權(quán)轉(zhuǎn)讓相關(guān)概念的辨析,強(qiáng)化了對(duì)轉(zhuǎn)租法律行為的界定,并結(jié)合我國(guó)現(xiàn)行法律的規(guī)定,對(duì)當(dāng)今各國(guó)在調(diào)整轉(zhuǎn)租問(wèn)題的過(guò)程中所形成的限制主義、自由主義和區(qū)別主義立法模式進(jìn)行了闡述;最后,本文依《合同法》第224條的規(guī)定,將轉(zhuǎn)租的效力區(qū)分為合法轉(zhuǎn)租的效力和非法轉(zhuǎn)租的效力,并做了詳細(xì)的論述。在對(duì)轉(zhuǎn)租對(duì)當(dāng)事人產(chǎn)生的效力進(jìn)行闡述的同時(shí),對(duì)存在的問(wèn)題提出了個(gè)人深思卻仍不成熟的見解,以期可對(duì)我國(guó)轉(zhuǎn)租制度的完善提供可行性建議。
[Abstract]:Sublease on the basis of house lease means that the lessee rentals the whole or part of the leased property to a third party (sub-lessee) without withdrawing from the lease relationship. Today, with the rapid development of the market economy, Sublease is increasingly becoming an important way to optimize the allocation of resources in the housing rental market, at the same time, all kinds of problems and disputes also come into being. In the process of adjusting the sublease behavior in modern countries' laws or precedents, liberalism has been formed. The current law of our country on sublease behavior is mainly based on the provisions of Article 224 of the contract Law. Although in 2009, the Supreme people's Court of our country issued the interpretation of some issues concerning the Application of the Law in the trial of the dispute cases of Urban Housing Lease contract (hereinafter referred to as "interpretation"), which further clarified the sublease system. However, the absence of sublease system is still difficult to meet the need of resolving numerous and complicated cases in judicial practice. In addition, with the difference of policy and judge quality and professional level, there are many problems to be solved in trial practice. This paper begins with the related system of sublease, from the concept of housing lease, the characteristics of the property of the right to rent housing, which is related to the effectiveness of the sublease issues, the right to lease claims, property rights and the theory of property rights made a brief introduction. Inspired by the theory of real right and creditor's rights, the author draws a conclusion from the angle of promoting transaction and protecting the security of transaction, and affirms the claim of lease right. Secondly, this paper discriminates the related concepts of sublease and lease right transfer, lease right transfer. This paper strengthens the definition of the legal act of sublease, and combined with the provisions of the current law of our country, expounds the legislative models of restriction, liberalism and distinctionism formed in the process of adjusting the issue of sublease in various countries. According to Article 224 of contract Law, this paper divides the validity of sublease into the effect of legal sublease and the effect of illegal sublease, and makes a detailed discussion. This paper puts forward some personal and immature opinions on the existing problems in order to provide some feasible suggestions for the perfection of the sublease system in our country.
