【摘要】:云計(jì)算服務(wù)合同是提供云計(jì)算服務(wù)的供應(yīng)商與使用服務(wù)的用戶簽訂的明確雙方權(quán)利和義務(wù)的協(xié)議。本質(zhì)上來講,,云計(jì)算服務(wù)合同是服務(wù)合同的一種,不同的是,云計(jì)算服務(wù)商提供的服務(wù)是一種并非可見,可觸摸的服務(wù),而是在一種按需獲取,隨時(shí)擴(kuò)展的網(wǎng)絡(luò)資源。因此,云計(jì)算服務(wù)合同具有一些不同于別的服務(wù)合同的特點(diǎn),比如標(biāo)準(zhǔn)化程度高,云計(jì)算服務(wù)商擁有提供何種服務(wù)、提供何種服務(wù)協(xié)議的決定權(quán)。云計(jì)算服務(wù)實(shí)施過程中,用戶最關(guān)注的就是數(shù)據(jù)保護(hù)與數(shù)據(jù)安全問題,由此產(chǎn)生的法律問題,以及發(fā)生糾紛時(shí)由誰來承擔(dān)損害責(zé)任與賠償責(zé)任,必須由云計(jì)算服務(wù)商與使用服務(wù)的用戶通過云計(jì)算服務(wù)合同來明確雙方的權(quán)利和義務(wù)。 用戶將數(shù)據(jù)置于云中以獲取便捷服務(wù)的同時(shí),也面臨著巨大的風(fēng)險(xiǎn)。如服務(wù)商對用戶的數(shù)據(jù)信息進(jìn)行分析、使用以及披露,數(shù)據(jù)丟失和泄露、數(shù)據(jù)刪除不徹底、他人越權(quán)訪問數(shù)據(jù)、服務(wù)的惡意使用等運(yùn)營和使用風(fēng)險(xiǎn),這些風(fēng)險(xiǎn)可能會導(dǎo)致數(shù)據(jù)的保密性、完整性以及可用性遭到嚴(yán)重破壞。而通常云服務(wù)提供商在合同中設(shè)置某些條款以達(dá)到規(guī)避責(zé)任或者轉(zhuǎn)移風(fēng)險(xiǎn)的目的。因此,云計(jì)算的巨大風(fēng)險(xiǎn)不僅要通過技術(shù)手段來解決,用戶對數(shù)據(jù)的權(quán)利更需要通過簽訂合同予以約定。 本文選取30個有代表性的云計(jì)算服務(wù)合同作為樣本,并以此為依據(jù)進(jìn)行定量分析,主要涉及云計(jì)算服務(wù)合同條款的幾大關(guān)鍵條款,如:對合同條款進(jìn)行修訂,適用法律及司法管轄,陳述與保證,有關(guān)知識產(chǎn)權(quán)的約定,服務(wù)商對用戶數(shù)據(jù)的使用限制,數(shù)據(jù)的保密與安全,有關(guān)賠償?shù)募s定,免責(zé)聲明與責(zé)任限制,合同終止的影響等。并以該9大關(guān)鍵條款為依據(jù)得出云服務(wù)合同中存在的5大問題:隨意更改合同條款及服務(wù)內(nèi)容造成損失、用戶的隱私與數(shù)據(jù)安全遭受損失、知識產(chǎn)權(quán)問題、免責(zé)聲明與責(zé)任限制、合同終止后的風(fēng)險(xiǎn)控制。并以該5大問題為根據(jù)提出相應(yīng)的解決問題的對策。合同簽訂之前進(jìn)行充分的協(xié)商是非常有必要的,如果能注意并明確合同中的9大關(guān)鍵條款以及5大問題必然能減少履行過程中的糾紛。如果用戶依據(jù)簽訂的服務(wù)合同條款不能很好的保護(hù)其權(quán)益,那么用戶還可以依據(jù)違約責(zé)任,侵權(quán)責(zé)任,合同法對于格式條款的特殊規(guī)制來主張其權(quán)益的保護(hù)。文章重點(diǎn)分析了云計(jì)算服務(wù)合同履行過程中存在的問題及其解決問題的相應(yīng)對策,以期為用戶選擇合適的云計(jì)算服務(wù)商、獲取低風(fēng)險(xiǎn)的服務(wù)提供有價(jià)值的參考。
[Abstract]:Cloud computing service contract is an agreement between the provider of cloud computing service and the user who uses the service. In essence, cloud computing service contract is a kind of service contract, which is different from each other. Cloud computing service providers provide a service that is not visible, touchable, but is available on demand, expanding at any time. Cloud computing service contract has some characteristics different from other service contracts, such as the high degree of standardization, cloud computing service providers have to provide what kind of services. In the implementation of cloud computing services, users are most concerned about the issues of data protection and data security, resulting in legal problems. And who should bear the damage liability and compensation liability in the event of disputes, the cloud computing service provider and the users of the service must make clear the rights and obligations of both parties through the cloud computing service contract. Users put data in the cloud to obtain convenient services, but also face huge risks, such as service providers to analyze, use and disclose data information, data loss and disclosure. Data deletion is not complete, other people ultra vires access to data, malicious use of services and other operational and use risks, these risks may lead to data confidentiality. Integrity and availability have been severely compromised. Cloud service providers typically set certain terms in the contract for the purpose of circumventing liability or shifting risk. The huge risks of cloud computing need not only be solved by technical means, but also the rights of users to data need to be agreed by signing contracts. This paper selects 30 representative cloud computing service contracts as a sample, and based on this quantitative analysis, mainly involves several key terms of cloud computing service contracts. For example: revision of contract terms, applicable law and jurisdiction, statements and warranties, agreement on intellectual property rights, restrictions on the use of user data by service providers, confidentiality and security of data, and agreement on compensation. Disclaimer and limitation of liability, the impact of termination of contract, etc. Based on these 9 key clauses, five problems in cloud service contract are obtained: random modification of contract terms and loss of service content. Loss of user privacy and data security, intellectual property issues, disclaimers and liability restrictions. After the termination of the contract risk control. And based on the five major issues as the basis for the corresponding solutions to the problem. It is very necessary to make full consultation before the contract is signed. If we can pay attention to and clarify the 9 key clauses and 5 problems in the contract, we can reduce the disputes in the process of performance. If the user can not protect their rights and interests very well according to the signed terms of service contract. Then the user can also according to breach of contract liability, tort liability. The special regulation of contract law advocates the protection of its rights and interests. This paper focuses on the analysis of the problems existing in the implementation of cloud computing service contracts and the corresponding countermeasures to solve the problems. The purpose of this paper is to provide valuable reference for users to select suitable cloud computing service providers and obtain low-risk services.
