論離岸銀團貸款的法律適用

【摘要】：離岸金融作為國際金融的一種,具有不同于在岸金融的鮮明特征,即真正的國際性、虛擬性等,從而使得其準據(jù)法確定極其復雜,也即離岸銀團貸款涉及多個連結因素,問題的解決需要同時適用多個不同的法律,最后也是最重要的是該法律沖突不僅包括私法上的沖突還包括公法上的沖突。離岸貸款是離岸金融業(yè)務的重要內(nèi)容,由于離岸金融市場上的貸款數(shù)額一般都比較大,單個銀行無法完成貸款任務,因此離岸銀行就必須合作,組成離岸銀團,向同一借款人在離岸市場上發(fā)放貸款。離岸銀團貸款通常會涉及到兩個以上國家的法律,因此糾紛發(fā)生后就會出現(xiàn)法律適用的問題。從宏觀上來看,離岸銀團貸款的法律適用必須遵循意思自治、最密切聯(lián)系等傳統(tǒng)的法律適用原則外,還有其特有的適用原則,即平衡借貸各方利益原則。從微觀上來看,除了主要涉及貸款協(xié)議外,根據(jù)銀團的特性還牽涉到代理、聯(lián)營等關系的法律適用問題,離岸借貸協(xié)議又主要涉及當事人能力的問題,貸款貨幣及利率的法律適用問題、外匯管制法的適用等�？梢�,系統(tǒng)全面地研究離岸銀團貸款需要綜合考慮多方面的因素,不僅要對法律適用的基本問題作一整理,而且還需要結合離岸金融及銀團貸款的特殊情況具體分析。
[Abstract]:As a kind of international finance, offshore finance has distinct characteristics different from onshore finance, that is, real international, virtual and so on, which makes its applicable law determination extremely complex, that is, offshore syndicated loans involve a number of connecting factors. The solution of the problem needs to apply many different laws at the same time. Finally, the conflict of laws includes not only the conflict of private law but also the conflict of public law. Offshore lending is an important part of offshore financial business. Because the amount of loans in the offshore financial market is generally large, individual banks are unable to complete the task of lending, so offshore banks must cooperate and form offshore syndicates. Make loans to the same borrower in the offshore market. Offshore syndicated loans usually involve the laws of more than two countries, so disputes arise when the law applies. From the macro point of view, the law application of offshore syndicated loan must follow the traditional applicable principles such as the autonomy of will, the closest connection and so on, and there are also the special applicable principles, that is, the principle of balancing the interests of all parties to the loan. From the microcosmic point of view, in addition to the loan agreement, according to the characteristics of the syndicate, it also involves the application of the law in the relationship of agency, joint venture, etc., and the offshore loan agreement mainly involves the ability of the parties. The legal application of loan currency and interest rate, the application of foreign exchange control law and so on. It can be seen that a systematic and comprehensive study of offshore syndicated loans requires comprehensive consideration of various factors, not only to sort out the basic problems applicable to the law, but also to analyze the special circumstances of offshore finance and syndicated loans.
