國際投資法中的公平與公正待遇標(biāo)準(zhǔn)研究:趨勢及對策

【摘要】:公平與公正待遇標(biāo)準(zhǔn)自被創(chuàng)設(shè)以來,經(jīng)過多年的發(fā)展,已經(jīng)成為投資者保護(hù)領(lǐng)域最為重要的標(biāo)準(zhǔn)之一。公平與公正待遇標(biāo)準(zhǔn)作為一個絕對標(biāo)準(zhǔn),給予了投資者高標(biāo)準(zhǔn)的保護(hù)。與公平與公正待遇條款無處不在形成鮮明對照的是該標(biāo)準(zhǔn)的不確定性。迄今為止,國際社會在該準(zhǔn)的內(nèi)涵上仍然沒有達(dá)成一致意見。目前對公平與公正待遇標(biāo)準(zhǔn)的理解主要依賴投資條約條文的模糊規(guī)定以及仲裁庭的仲裁裁定。這些條約和裁定各執(zhí)一詞,給東道國和投資者帶來了極大地不確定性,阻礙了國際投資的平穩(wěn)發(fā)展。只有一個內(nèi)涵明確的公平與公正待遇標(biāo)準(zhǔn),才能更好地促進(jìn)國際資本的流動。 除去導(dǎo)言和結(jié)論,本文被分為四個部分。第一章是公平與公正待遇標(biāo)準(zhǔn)的起源和發(fā)展。本章介紹了公平與公正待遇標(biāo)準(zhǔn)在多變和雙邊領(lǐng)域的立法情況,為后文的深入論述提供了背景分析。第二章是公平與公正待遇標(biāo)準(zhǔn)的解釋問題。筆者認(rèn)為公平與公正待遇條款的模糊性措辭是產(chǎn)生解釋爭議的根源。本章還對公平與公正待遇和最低標(biāo)準(zhǔn)待遇的內(nèi)容進(jìn)行了比較分析,厘清了兩者的關(guān)系。第三章是公平與公正待遇標(biāo)準(zhǔn)的擴(kuò)大化解釋。本章歸納了晚近仲裁庭適用較多的合法預(yù)期、穩(wěn)定性和透明度等要素,并指出了擴(kuò)大化解釋的不合理性,明確了公平與公正待遇標(biāo)準(zhǔn)的正確定位。第四章是中國的公平與公正待遇立法及其完善。本章分析了目前中國投資協(xié)定中有關(guān)公平與公正待遇立法的不足,并給出了完善的建議。
[Abstract]:After years of development, fair and just treatment standards have become one of the most important standards in the field of investor protection. As an absolute standard, the standard of fair and just treatment gives investors a high standard of protection. In stark contrast to the pervasive fairness and fair treatment clause is the uncertainty of the standard. So far, the international community has not reached agreement on the meaning of the proposal. The current understanding of fair and equitable treatment standards mainly depends on the vague provisions of investment treaties and arbitration decisions of the arbitral tribunal. These treaties and rulings are consistent, bringing great uncertainty to host countries and investors, and hindering the smooth development of international investment. Only a clear standard of fair and just treatment can better promote the flow of international capital. Apart from the introduction and conclusion, this paper is divided into four parts. The first chapter is the origin and development of fair and just treatment standards. This chapter introduces the legislation of the standard of fair and just treatment in the changeable and bilateral fields, and provides the background analysis for the further discussion. The second chapter is the explanation of fair and just treatment standard. The author thinks that the ambiguous wording of fair and just treatment clause is the root of interpretation controversy. This chapter also analyzes the content of fair and just treatment and minimum standard treatment, and clarifies the relationship between them. The third chapter is the expansion explanation of fair and just treatment standard. This chapter sums up the legal expectation, stability and transparency of the recent arbitration tribunal, points out the irrationality of the expanded interpretation, and clarifies the correct orientation of the fair and just treatment standard. The fourth chapter is the legislation and perfection of fair and just treatment in China. This chapter analyzes the shortcomings of the legislation on fair and just treatment in China's investment agreements, and gives some suggestions.
