國際投資協(xié)定中的“根本安全利益”條款研究

【摘要】:在投資自由化思想的影響下,國際投資法更多關(guān)注的是推進(jìn)準(zhǔn)入自由、提高投資待遇、加強(qiáng)投資保護(hù)和倡導(dǎo)投資爭議的非東道國解決。在此背景下,經(jīng)濟(jì)主權(quán)意識(shí)被弱化,國際投資中的“根本安全利益”問題以及作為“安全閥”和“風(fēng)險(xiǎn)調(diào)配器”的“根本安全利益”條款,長期沒有得到足夠的重視。直到2001年阿根廷經(jīng)濟(jì)危機(jī)后,根本安全利益條款才因在針對(duì)阿根廷的國際投資仲裁案中被阿根廷用作抗辯理由,被人重新關(guān)注。這些涉及國家根本安全利益例外條款適用的仲裁案件不僅顯示出了根本安全利益條款的重要作用,,也引發(fā)了一系列的諸如如何對(duì)根本安全利益條款進(jìn)行解釋和適用的問題。 在對(duì)根本安全利益條款進(jìn)行較為全面的分析后,文章提出了完善我國國際投資協(xié)定中的根本安全利益條款的建議。文章除引言和結(jié)語外,分為五大部分:第一部分是根本安全利益條款概述,主要介紹了根本安全利益條款的概念、作用、歷史發(fā)展和新近受到重視的原因背景。第二部分是國際上有關(guān)“根本安全利益”條款的締約實(shí)踐,在對(duì)國際上有關(guān)“根本安全利益”條款的締約實(shí)踐情況進(jìn)行分析后指出:雖然大多數(shù)國際性或者多邊性條約都對(duì)國家根本安全利益問題有所規(guī)定,各國對(duì)國家根本安全利益條款的態(tài)度并不一致,對(duì)根本安全利益條款的使用存在四種不同的情形。此外,在根本安全利益條款的設(shè)立形式和具體內(nèi)容上也有諸多不同。第三部分是國際投資協(xié)定中“根本安全利益”條款的解釋。該部分首先對(duì)“根本安全利益”的范圍進(jìn)行了討論,提出在根本安全利益的范圍上,應(yīng)將環(huán)境保護(hù)、公共健康以及宏觀經(jīng)濟(jì)方面的利益納入到國家根本安全利益范疇中;其次對(duì)于如何來處理根本安全利益條款可仲裁性問題,指出了仲裁庭對(duì)于非自行判斷性質(zhì)和自行判斷性質(zhì)的根本安全利益例外條款都可以審查,但審查權(quán)限和范圍有所差異。第四部分是國際投資協(xié)定中“根本安全利益”條款的適用,指出了根本安全利益條款的適用應(yīng)具備在法定的范圍內(nèi)采取必要措施,行為的必要性,行為的合理性和程序的合法性4個(gè)條件。此外還對(duì)根本安全利益條款適用中容易引發(fā)的法律適用問題和賠償問題進(jìn)行了討論。第五部分是我國國際投資條約中的根本安全利益條款實(shí)踐及應(yīng)對(duì),通過對(duì)我國國際投資協(xié)定中根本安全利益條款現(xiàn)狀的介紹、分析,指出我國國際投資協(xié)定中根本安全利益條款缺失的問題,并由此對(duì)我國如何利用重大安全例外條款提出了相應(yīng)的建議。
[Abstract]:Under the influence of the thought of investment liberalization, the international investment law pays more attention to promote the freedom of access, improve the treatment of investment, strengthen the protection of investment and advocate the settlement of investment disputes. Under this background, the consciousness of economic sovereignty has been weakened, the problem of "fundamental security benefit" in international investment and the "fundamental security benefit" clause as "safety valve" and "risk adjuster" have not been paid enough attention to for a long time. It was not until 2001, after Argentina's economic crisis, that the fundamental security interests clause was revisited by Argentina as a defence in an international investment arbitration case against Argentina. These arbitration cases involving the application of exceptions to national fundamental security interests not only demonstrate the important role of fundamental security interest clauses, It also leads to a series of problems such as how to interpret and apply the fundamental security interest clause. This paper puts forward some suggestions on perfecting the fundamental security interest clause in China's international investment agreements. In addition to the introduction and conclusion, the article is divided into five parts: the first part is an overview of the fundamental security interests clause, mainly introduces the concept, role, historical development and recent attention to the reasons for the background. The second part is the international contracting practice of "fundamental security interests". After an analysis of the international practice of concluding articles on "fundamental security interests", it is pointed out that: although most international or multilateral treaties provide for the fundamental security interests of States, There are four different situations about the use of fundamental security interest clauses. In addition, there are many differences in the establishment form and specific content of the fundamental security interest clause. The third part is the interpretation of "fundamental security interests" clause in IIAS. This part first discusses the scope of "fundamental security interests", and puts forward that environmental protection, public health and macroeconomic interests should be brought into the category of national fundamental security interests in the scope of fundamental security interests. Secondly, as to how to deal with the arbitrability of fundamental security interest clause, it is pointed out that the arbitration tribunal can review the exception clause of fundamental security interest which is not self-judge and self-judge, but the scope and scope of the review are different. The fourth part is the application of the "fundamental security interest" clause in the international investment agreement, pointing out that the application of the fundamental security interest clause should have the necessity to take necessary measures and conduct within the legal scope. The rationality of behavior and the legality of procedure are four conditions. In addition, the problems of law application and compensation arising from the application of fundamental security interest clauses are also discussed. The fifth part is the practice and response of the fundamental security interest clause in the international investment treaty of our country, through the introduction of the present situation of the fundamental security interest clause in the international investment agreement of our country, the analysis, This paper points out that the fundamental security interest clause is missing in China's international investment agreements, and puts forward corresponding suggestions on how to make use of the major security exception clause in our country.
