論《鹿特丹規(guī)則》中無單放貨規(guī)定對銀行產(chǎn)生的影響

【摘要】:《鹿特丹規(guī)則》有關(guān)無單放貨的規(guī)定,是對航運實踐一定意義上的探索與肯定,但我們也應(yīng)當(dāng)看到其可能存在的一些不足之處,比如在某些情況下,使運輸單證的“物權(quán)憑證”功能發(fā)生了一定的變化,而這種變化可能會在實踐中產(chǎn)生一些新的問題。 對于該變化,學(xué)者們大多持消極態(tài)度。筆者一定程度上認(rèn)同上述學(xué)者們的擔(dān)憂,認(rèn)為《鹿特丹規(guī)則》中無單放貨規(guī)定會給銀行帶來一定的影響與沖擊,且該影響有利有弊:有利的一面是有利于在世界范圍內(nèi)統(tǒng)一銀行對于運輸單證的適用標(biāo)準(zhǔn),有利于國際范圍內(nèi)銀行業(yè)務(wù)的開展;而不利的影響則大多體現(xiàn)在跟單信用證結(jié)算和貿(mào)易融資業(yè)務(wù)方面,但并非都是實質(zhì)性的影響,只有在需要運輸單證“物權(quán)憑證”功能的情況下才會產(chǎn)生一定影響。但由于實務(wù)中銀行扮演著多種角色,而且該功能對擔(dān)當(dāng)不同角色的銀行來說需求不一?傮w來說,該影響并非如一些學(xué)者們所述的那樣嚴(yán)重。此外,筆者還提出了一些建議,以期減少《鹿特丹規(guī)則》無單放貨規(guī)定對銀行產(chǎn)生的不利影響。 本文主要分為三章: 第一章主要概述《鹿特丹規(guī)則》中無單放貨新規(guī)定和運輸單證。關(guān)于無單放貨新規(guī)定主要闡述規(guī)則第45條、第46條和第47條的規(guī)定。關(guān)于運輸單證則主要概述運輸單證的概念、功能及分類,并與傳統(tǒng)提單、海運單作比較分析。 第二章主要論述無單放貨規(guī)定對銀行的影響。該章從信用貸款、跟單信用證結(jié)算和出口押匯方面對銀行的影響進(jìn)行了較為詳細(xì)的分析。 第三章為筆者對銀行應(yīng)對《鹿特丹規(guī)則》對其影響而提出的建議,主要包括要審查好客戶的資信情況,組織人員學(xué)習(xí)研究《鹿特丹規(guī)則》與分角色采取措施以降低商業(yè)風(fēng)險。
[Abstract]:The provisions of the Rotterdam rules concerning the delivery of goods without documents are an exploration and affirmation of the shipping practice in a certain sense, but we should also see some possible shortcomings, such as under certain circumstances, The function of "document of rem" of transport document has changed to a certain extent, and this kind of change may produce some new problems in practice. To a certain extent, the author agrees with the concerns of the above scholars, and thinks that the "Rotterdam rules" without bill of lading will have a certain impact and impact on the banks. And this influence has both advantages and disadvantages: the advantage is that it is advantageous to unify the applicable standards of the bank for transport documents in the world and to carry out the banking business in the international scope; However, the adverse effects are mostly reflected in the settlement of documentary credits and trade financing, but not all of them are substantial. Only when the function of "document of rem" is needed will the transport document have a certain impact. However, banks play many roles in practice, and the demand for this function is different for banks with different roles. Overall, the impact is not as severe as some scholars suggest. In addition, the author also puts forward some suggestions, This paper is divided into three chapters: the first chapter mainly summarizes the new provisions of the Rotterdam rules and transport documents. The new provisions on the delivery of goods without documents mainly elaborate the provisions of rules 45, 46 and 47. The concept, function and classification of the transport document are summarized and compared with the traditional bill of lading and marine bill of lading. This chapter makes a detailed analysis of the impact on banks from the aspects of credit loans, documentary credit settlement and export promissory notes. Chapter three is the author's suggestions on how banks should deal with the impact of Rotterdam rules. It mainly includes examining the credit status of customers, organizing personnel to study Rotterdam rules and taking measures to reduce business risk.
