【摘要】：融資租賃是集融資與融物于一身的新型金融創(chuàng)新,對經(jīng)濟(jì)的發(fā)展起著重要的促進(jìn)作用。但是實(shí)務(wù)中圍繞融資租賃合同而產(chǎn)生的各類糾紛不斷,融資租賃合同當(dāng)事人的違約情形常有發(fā)生,融資租賃這一交易形式本身的特殊性和相關(guān)法律規(guī)范的不完善是產(chǎn)生這些問題的重要原因,針對這兩點(diǎn)前人已經(jīng)有過充分的研究討論。本文試圖通過文獻(xiàn)梳理和對比研究的方式,得出國內(nèi)外對于融資租賃合同內(nèi)容特定性的基本觀點(diǎn),并著重分析融資租賃合同中各方當(dāng)事人的權(quán)利和義務(wù),以及各方當(dāng)事人可能出現(xiàn)的違約形態(tài)以及相應(yīng)的已經(jīng)存在的救濟(jì)措施。 另外,隨著金融創(chuàng)新所賦予了融資本身更多更復(fù)雜的形式,這些形式與融資租賃形式的結(jié)合必然導(dǎo)致出現(xiàn)了許多新的情況。本文試圖探討我國特殊融資租賃合同的特殊內(nèi)容以及在此情況下融資租賃合同的特殊救濟(jì)形式的適用考察。遵照上述研究結(jié)果,本文進(jìn)一步對融資租賃合同的發(fā)展與法律形式進(jìn)行了探討,提出了這些形式下融資租賃合同中各方當(dāng)事人可能出現(xiàn)的違約形態(tài)以及對違約救濟(jì)的多樣性進(jìn)行了探討,以希對我國的融資租賃立法能有些微的參考意義。 本文內(nèi)容由引言、正文和結(jié)語組成。引言部分概括指出了現(xiàn)在融資租賃的發(fā)展?fàn)顩r和所存在的問題,并概括了全文的寫作目的。 正文是文章的主要部分,共分四章。其中第一章分為兩節(jié)。第一節(jié)闡述了融資租賃合同的內(nèi)涵及其特殊性,指出了融資租賃合同的特征,明確了本文的研究對象。第二節(jié)詳細(xì)分析了融資租賃合同當(dāng)事人的權(quán)利和義務(wù),明確了該合同的內(nèi)容構(gòu)成及其特殊性。 第二章分為兩節(jié),分別從一般性和特殊性的角度,從我國《合同法》、《國際融資租賃公約》以及實(shí)踐習(xí)慣為基礎(chǔ),全面概述了違約形態(tài)劃分、違約責(zé)任的歸責(zé)依據(jù),并在此基礎(chǔ)上對融資租賃合同的違約情況的歸責(zé)規(guī)則進(jìn)行了探討。 第三章分為兩節(jié),在上面章節(jié)的基礎(chǔ)上本章第一節(jié)探討了一般合同違約救濟(jì)歸責(zé)的適用,第二節(jié)進(jìn)一步引出了融資租賃合同的違約救濟(jì)方式并對此進(jìn)行了詳細(xì)的分析。 第四章分為三節(jié),第一節(jié)概述了現(xiàn)代融資租賃的發(fā)展?fàn)顩r,展現(xiàn)了融資租賃的動態(tài)發(fā)展過程,第二節(jié)對于融資租賃交易的新形式分類型做了概括性的介紹,第三節(jié)主要結(jié)合上述兩節(jié)的內(nèi)容并在前面章節(jié)研究的基礎(chǔ)上對于融資租賃合同中新出現(xiàn)的違約情況的救濟(jì)方式的多樣性進(jìn)行了探討。 結(jié)語總結(jié)了融資租賃對法律人的挑戰(zhàn),明確了今后的研究方向。
[Abstract]:Financial leasing is a new type of financial innovation, which combines financing and material, and plays an important role in promoting the development of economy. However, in practice, various kinds of disputes arise from the financing lease contract, and the breach of contract by the parties to the financial lease contract often occurs. The particularity of the transaction form of financial lease and the imperfection of relevant laws and regulations are the important reasons for these problems. In this paper, the author tries to draw the basic views of the content specificity of the financial lease contract at home and abroad, and analyze the rights and obligations of the parties in the financial lease contract by means of literature combing and comparative study. And the parties concerned may break the contract and the corresponding relief measures already in existence. In addition, with more and more complex forms of financing given by financial innovation, the combination of these forms and the forms of financial leasing will inevitably lead to a lot of new situations. This paper attempts to discuss the special contents of the special financial lease contract in China and the application of the special relief form of the financial lease contract in this case. In accordance with the above research results, this paper further discusses the development and legal form of the financial lease contract. This paper puts forward the possible default forms of the parties in these forms of financial lease contract and probes into the diversity of the relief for breach of contract in order to provide some reference significance for the legislation of financial lease in our country. The content of this paper is composed of introduction, text and conclusion. The preface points out the current situation and problems of financial leasing, and summarizes the purpose of the paper. The text is the main part of the article, which is divided into four chapters. The first chapter is divided into two sections. The first section expounds the connotation and particularity of the financial lease contract, points out the characteristics of the financial lease contract, and clarifies the research object of this paper. The second section analyzes the rights and obligations of the parties to the financial lease contract in detail, and clarifies the content and particularity of the contract. The second chapter is divided into two sections, respectively from the general and special point of view, from the "contract Law", "International Financial Leasing Convention" and practice as the basis, a comprehensive overview of the form of breach of contract division, liability for breach of contract liability basis. On the basis of this, the rules of imputation of breach of contract of financial leasing contract are discussed. The third chapter is divided into two sections. On the basis of the above chapters, the first section of this chapter discusses the application of general contract default relief, the second section further leads to the financing lease contract default relief and detailed analysis. The fourth chapter is divided into three sections. The first section outlines the development of modern financial leasing, showing the dynamic process of financial lease. The second section gives a general introduction to the new forms of financial lease transactions. The third section mainly combines the contents of the above two sections and on the basis of the previous chapters discusses the variety of relief methods of the newly appeared breach of contract in the financial leasing contract. The conclusion summarizes the challenge of financial leasing to legal person, and clarifies the research direction in the future.
