中國雙邊投資條約核心條款研究

【摘要】:伴隨著快速發(fā)展的全球經(jīng)濟一體化以及20世紀(jì)90年代以來蓬勃興起的修約熱潮,雙邊投資條約在內(nèi)容上呈現(xiàn)出新的特點和新的發(fā)展趨勢。由于締約時間晚、缺乏足夠經(jīng)驗等原因,導(dǎo)致中國的雙邊投資條約存在不少漏洞與隱患,亟待完善更新。本文以中國雙邊投資條約中的投資待遇、征收與補償、爭端解決事項三項核心條款作為研究對象,通過與美國、德國的對比分析,探究中國新時代背景下修訂條約的可行方案。 投資待遇條款部分著重探討公平公正待遇的實質(zhì)內(nèi)涵、是否構(gòu)成賠償責(zé)任,以及最惠國待遇能否適用于程序性事項等,深入分析比較了中國與美國、德國在最惠國待遇、公平公正待遇條款方面的差異。征收與補償條款主要從間接征收與補償標(biāo)準(zhǔn)的確定方面展開研究。投資爭端與解決條款部分,,深入研究了用盡當(dāng)?shù)鼐葷、保護傘條款、重大安全例外等問題。 研究結(jié)論是,中國雙邊投資條約中的表述存在缺陷,規(guī)定尚不統(tǒng)一,自身權(quán)力運用不合理,防御條款設(shè)置不全面。在具體的改進措施方面,要對公平公正待遇的定義作出明確解釋,規(guī)定其適用例外,最惠國待遇必須排除程序性事項的適用;要完善對間接征收的認(rèn)定,將符合公共利益的管理措施排除在適用情形之外,對征收補償標(biāo)準(zhǔn)采取統(tǒng)一的表述;在投資爭端與解決方面必須以國家利益為重,排除一切外來不良因素的干擾,堅決捍衛(wèi)屬于東道國的合理權(quán)力。 籍此研究,希望這些問題能夠引起有關(guān)方面的重視,加強對潛在風(fēng)險的防范,以切實保護中國投資者及其投資的正當(dāng)利益。更希望在未來的締約實踐中,通過對雙邊投資條約的不斷修訂完善,實現(xiàn)中國新時代背景下的預(yù)期利益——互利互惠,促進經(jīng)濟發(fā)展;和平崛起,建立國際新秩序。
[Abstract]:With the rapid development of global economic integration and the booming upsurge of treaty revision since 1990s, bilateral investment treaties (bits) show new characteristics and new trends in content.Due to the late contracting time and lack of experience, there are many loopholes and hidden dangers in China's bilateral investment treaties, which need to be improved and updated urgently.This paper takes the three core clauses of China's bilateral investment treaty (bits), such as investment treatment, expropriation and compensation, and dispute settlement as the object of study. Through comparative analysis with the United States and Germany, this paper explores the feasible scheme of revising the treaty under the background of the new era of China.The article mainly discusses the essence of fair and just treatment, whether it constitutes liability for compensation, and whether MFN treatment can be applied to procedural matters, and analyzes and compares China, the United States and Germany in MFN treatment.Differences in terms of fair and equitable treatment.Expropriation and compensation clauses mainly from the indirect expropriation and compensation criteria for the determination of the study.In the part of investment dispute and settlement clause, the problems such as exhaustion of local remedies, umbrella clause, major security exception and so on are studied in depth.The conclusion of the study is that there are some defects in the expression of China's bilateral investment treaty, the provisions are not uniform, the application of its own power is unreasonable, and the defense clause is not comprehensive.With regard to specific improvement measures, the definition of fair and just treatment should be clearly interpreted and the application of exceptions to its application should be stipulated. MFN treatment must exclude the application of procedural matters, and the determination of indirect expropriation should be improved.Excluding management measures in line with the public interest from the applicable circumstances and adopting a unified formulation of the standard of compensation for expropriation; in the area of investment disputes and settlement, the national interest must be paramount and all undesirable external factors should be eliminated,Resolutely defend the legitimate power of the host country.Based on this study, we hope that these problems can arouse the attention of relevant parties and strengthen the prevention of potential risks, so as to protect the legitimate interests of Chinese investors and their investments.It is hoped that in the practice of contracting in the future, through the continuous revision and perfection of bilateral investment treaties, the expected interests of China under the background of the new era will be realized-mutual benefit and mutual benefit, and economic development will be promoted, and a new international order will be established through the peaceful rise of bilateral investment treaties.
