【摘要】：為保護(hù)和鼓勵本國投資者在海外進(jìn)行投資,美國、日本、德國、法國等許多國家相繼建立了海外投資保險法律制度。近年來,隨著我國加入世貿(mào)組織和實行“走出去”發(fā)展戰(zhàn)略,我國海外投資發(fā)展非常迅速。但我國海外投資保險法律制度卻尚未建立,這不利于保護(hù)我國投資者的海外投資和進(jìn)一步推進(jìn)我國經(jīng)濟(jì)發(fā)展戰(zhàn)略。 本文通過借鑒分析一些國家的海外投資保險制度,結(jié)合目前我國的海外投資實際情況與立法現(xiàn)狀,對構(gòu)建和完善我國海外投資保險制度提出建議。 本文分為五個部分,第一章首先分析了我國海外投資目前呈現(xiàn)出的特點、發(fā)展趨勢以及我國海外投資可能遭遇的一些政治風(fēng)險,然后介紹了海外投資保險制度的基本原理與發(fā)展歷程。 第二章對美國、日本、德國三個國家海外投資保險制度進(jìn)行了分析比較,具體分析了保險模式、承保機(jī)構(gòu)、承保條件三個重要方面的立法差異與優(yōu)缺點,作為后文對我國立法建議的借鑒。 第三章分析了海外投資保險制度的核心環(huán)節(jié)代位求償權(quán),從海外投資保險代位求償權(quán)的特殊性、行使障礙、權(quán)利主體間的關(guān)系、行使依據(jù)幾個方面切入,探討適合我國的代位求償模式。 第四章是對我國現(xiàn)行海外投資保險制度的評析,結(jié)合我國目前的立法現(xiàn)狀和參加的《多邊投資擔(dān)保機(jī)構(gòu)公約》,分析了制約MIGA對我國海外投資形成充分保護(hù)的原因,進(jìn)而分析了我國目前的立法存在的問題與不足。 第五章對我國海外投資保險制度的完善提出了建議,從立法模式、保險機(jī)構(gòu)設(shè)置、承保條件、承保風(fēng)險、代位求償權(quán)等方面提出一些立法設(shè)想與建議。
[Abstract]:To protect and encourage domestic investors to invest abroad, the United States, Japan, Germany, France and many other countries have established overseas investment insurance legal system.In recent years, with China's accession to the WTO and the implementation of "going out" development strategy, China's overseas investment is developing very rapidly.However, the legal system of overseas investment insurance in China has not been established, which is not conducive to the protection of overseas investment of Chinese investors and the further promotion of our country's economic development strategy.Based on the analysis of overseas investment insurance system in some countries and the current situation of overseas investment and legislation in our country, this paper puts forward some suggestions on the construction and improvement of overseas investment insurance system in China.This paper is divided into five parts. The first chapter analyzes the characteristics of overseas investment in China, the development trend and some political risks that China's overseas investment may encounter.Then introduced the overseas investment insurance system basic principle and the development course.The second chapter analyzes and compares the overseas investment insurance systems of the United States, Japan and Germany, and analyzes the legislative differences, advantages and disadvantages of the three important aspects of the insurance model, the underwriting institutions and the underwriting conditions.As a later reference to our legislative proposals.The third chapter analyzes the subrogation right, which is the core link of the overseas investment insurance system, from the particularity of the subrogation right of overseas investment insurance, the obstacles to exercise, the relationship between the subjects of the right, and the basis of the exercise.This paper discusses the subrogation mode suitable for our country.The fourth chapter is the analysis of the current overseas investment insurance system in China, combined with the current legislative situation of our country and the multilateral Investment guarantee Agency Convention, analyzes the reasons that restrict the MIGA to form the sufficient protection to the overseas investment of our country.Then it analyzes the existing problems and shortcomings of our country's current legislation.The fifth chapter puts forward some suggestions on the perfection of our country's overseas investment insurance system, including legislative model, insurance institution setting, underwriting condition, underwriting risk, subrogation claim and so on.
