【摘要】：隨著國際社會對環(huán)境問題的關注度提高,東道國政府與投資者因環(huán)境問題產生的沖突越來越普遍。大量案例表明,東道國政府為應對環(huán)境問題采取的規(guī)制措施已經對海外投資者的利益造成了嚴重影響。本文將以環(huán)境措施引發(fā)的投資風險為主題,分別從國際投資協(xié)定和國際投資爭議仲裁實踐的角度,分析環(huán)境措施的合法性及對投資者的影響,并從投資者和政府兩個層面闡述環(huán)境措施風險的防范策略�；诖�,本文分為四章來闡述。 第一章分揭示了環(huán)境措施風險的內涵、性質和產生原因,并通過實例闡述了環(huán)境措施風險的具體表現形式。 第二章研究國際投資協(xié)定中與環(huán)境措施相關的條款。環(huán)境措施條款是東道國采取環(huán)境措施的國際投資法基礎。本章首先論述了環(huán)境措施條款的形式和內容,分析了投資協(xié)定中納入環(huán)境措施條款的現狀,并闡述了環(huán)境措施條款對投資者的影響。最后,通過分析國際投資協(xié)定的發(fā)展趨勢,證明了環(huán)境措施條款的覆蓋面將會進一步擴大。 第三章從國際投資爭議仲裁的角度分析環(huán)境措施風險。本章首先通過案例研究揭示了環(huán)境措施的合法標準。由于投資協(xié)定缺乏對環(huán)境措施合法標準的規(guī)定,權威國際仲裁庭的理解有重要的借鑒意義。其次,鑒于“問接征收”爭議在投資爭議中的重要地位,本章針對環(huán)境措施是否構成“間接征收”進行了專題分析。 第四章結合我國實際,分析了我國企業(yè)面臨的海外投資環(huán)境措施風險,并從投資者和政府兩個層面闡述了環(huán)境措施風險的防范策略。投資者應主動承擔環(huán)境責任,健全企業(yè)環(huán)境管理制度,此外,可通過穩(wěn)定條款或政府承諾控制投資風險；政府應當加強對海外投資者環(huán)境行為的有效監(jiān)管。
[Abstract]:As the international community becomes more concerned about environmental issues, conflicts between host governments and investors over environmental issues are becoming more and more common. A large number of cases show that. The regulatory measures taken by the host government to deal with environmental problems have had a serious impact on the interests of overseas investors. From the angle of international investment agreement and international investment dispute arbitration, this paper analyzes the legitimacy of environmental measures and their influence on investors, and expounds the prevention strategies of environmental measures risk from two aspects: investor and government. This article is divided into four chapters to elaborate. In the first chapter, the connotation, nature and causes of environmental risk are revealed, and the concrete manifestation of environmental measure risk is illustrated by examples. The second chapter studies the provisions related to environmental measures in IIAS, which are the basis of international investment law for the host country to take environmental measures. This chapter first discusses the form and content of the provisions on environmental measures. This paper analyzes the current situation of the inclusion of environmental measures in investment agreements, and expounds the impact of environmental measures on investors. Finally, through the analysis of the development trend of international investment agreements, This proves that the coverage of environmental measures will be further expanded. Chapter three analyzes the risk of environmental measures from the perspective of international investment dispute arbitration. Firstly, this chapter reveals the legal standards of environmental measures through case studies. The understanding of authoritative international arbitration tribunal is of great significance. Secondly, in view of the importance of the dispute of "asking, accepting and levying" in investment disputes, this chapter makes a special analysis on whether environmental measures constitute "indirect expropriation". Chapter 4th analyzes the risk of overseas investment environmental measures faced by Chinese enterprises, and expounds the prevention strategies of environmental measures risk from two aspects: investor and government. Investors should take the environmental responsibility actively. In addition, investment risk can be controlled through stable clauses or government promises, and the government should strengthen the effective supervision of the environmental behavior of overseas investors.
