文章摘要：針對(duì)當(dāng)前電子資源授權(quán)許可協(xié)議中普遍存在的國內(nèi)用戶適用中國法律的要求不被尊重、故意排除中國法律適用、過度使用國際商事仲裁、混淆相關(guān)概念的現(xiàn)實(shí)問題，，從宏觀層面根據(jù)相關(guān)國際公約和我國關(guān)于法律適用問題的相關(guān)規(guī)定和基本原則，闡述適用中國法律的合理性和必要性；從微觀層面提出法律適用條款的約定應(yīng)在平等自愿的基礎(chǔ)上由雙方當(dāng)事人協(xié)商選擇，國內(nèi)用戶應(yīng)明確表達(dá)適用中國法律的合理要求，可根據(jù)不同法律關(guān)系分割適用法律、慎用國際仲裁、優(yōu)先選擇中國法院管轄等，應(yīng)當(dāng)在電子資源管理工作實(shí)務(wù)中注意技巧和方法。

Abstr：In the current electronic resource license agreement, the requirement applicable to Chinese laws of Chinese users is not respected. Chinese law application is deliberately excluded, the international commercial arbitration is abused, and the relative concepts are confused in practice. To counter these problems, from the macro level, this paper describes the reasonableness and necessity of the Chinese law application according to the related international conventions and the relevant provisions and basic principles of the law application in China. On the micro-level, this paper points out a series of techniques and methods which should be noticed in electronic resources management practices, including that the convention of application provisions of the law should be negotiated on the basis of equality and voluntariness of choice by the parties ; Chinese users should articulate a reasonable requirement of the application to Chinese law and the application law can be divided according to the different legal relationships ; the use of international arbitration should be cautious and the jurisdiction of Chinese courts should have priority.
