【摘要】：隨著企業(yè)所處內(nèi)外環(huán)境的日趨復(fù)雜,有效防范企業(yè)法律風(fēng)險(xiǎn),是企業(yè)參與市場(chǎng)競(jìng)爭(zhēng)的客觀需要,是構(gòu)建法治社會(huì)的重要組成部分。企業(yè)根據(jù)法律風(fēng)險(xiǎn)可控可防的特點(diǎn),建立對(duì)法律風(fēng)險(xiǎn)進(jìn)行識(shí)別、評(píng)估、控制與化解的系統(tǒng),以及相應(yīng)行之有效的避免經(jīng)濟(jì)損失或者其他風(fēng)險(xiǎn)的制度體系和管理方法,是法學(xué)與管理學(xué)的有機(jī)結(jié)合。在當(dāng)今世界,國(guó)際國(guó)內(nèi)市場(chǎng)競(jìng)爭(zhēng)空前激烈,企業(yè)面臨的法律風(fēng)險(xiǎn)越來(lái)越多,而很多法律風(fēng)險(xiǎn)可能影響到企業(yè)的存亡。企業(yè)要在參與市場(chǎng)競(jìng)爭(zhēng)中取得優(yōu)勢(shì),必須有效防范企業(yè)法律風(fēng)險(xiǎn),最大限度地減少和控制損失的發(fā)生,需要特定的法律風(fēng)險(xiǎn)防范機(jī)制來(lái)保障企業(yè)持續(xù)穩(wěn)定發(fā)展。本文選取國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制的構(gòu)建作為研究課題,結(jié)合實(shí)際工作經(jīng)驗(yàn)和國(guó)有企業(yè)萊鋼集團(tuán)的成功實(shí)踐,對(duì)企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制構(gòu)建的課題進(jìn)行分析,認(rèn)為構(gòu)建企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制是有效控制法律風(fēng)險(xiǎn)的重要途徑,提出了法律風(fēng)險(xiǎn)防控機(jī)制的建立和完善方法。全文共三萬(wàn)余字,除引言和結(jié)語(yǔ)部分外,包括三個(gè)部分,主要內(nèi)容如下： 引言部分,主要闡述了國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制構(gòu)建的基本背景。 第一部分,論述了如何認(rèn)識(shí)企業(yè)法律風(fēng)險(xiǎn)及法律風(fēng)險(xiǎn)防范機(jī)制,從分析企業(yè)法律風(fēng)險(xiǎn)的基本概念入手,闡釋了企業(yè)法律風(fēng)險(xiǎn)的特征、法律風(fēng)險(xiǎn)的分類、法律風(fēng)險(xiǎn)的成因以及企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制的基本內(nèi)涵、總體目標(biāo)和基本特征。 第二部分,分析了國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制構(gòu)建的理論依據(jù)和必要性,指出了當(dāng)前國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范存在的主要問(wèn)題、國(guó)有企業(yè)建立法律風(fēng)險(xiǎn)防范機(jī)制的理論依據(jù),并著重分析了國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制構(gòu)建的必要性。 第三部分,主要以國(guó)有企業(yè)萊鋼集團(tuán)為例,介紹了國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制建立和完善的基本方法,首先闡述了構(gòu)建國(guó)有企業(yè)法律風(fēng)險(xiǎn)防控機(jī)制的基本原則,然后從培養(yǎng)國(guó)有企業(yè)主要領(lǐng)導(dǎo)人和企業(yè)員工的法律風(fēng)險(xiǎn)意識(shí)、確立總法律顧問(wèn)在法律風(fēng)險(xiǎn)控制中的核心作用、健全企業(yè)法律風(fēng)險(xiǎn)防范制度、完善法律風(fēng)險(xiǎn)防范目標(biāo)、組織、策略體系、建立法律風(fēng)險(xiǎn)防控管理工作流程,加強(qiáng)重要環(huán)節(jié)和重點(diǎn)領(lǐng)域的法律風(fēng)險(xiǎn)防控等方面,提出了企業(yè)構(gòu)建法律風(fēng)險(xiǎn)防范機(jī)制的初步設(shè)想。 結(jié)語(yǔ)部分,指出了加強(qiáng)對(duì)企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制系統(tǒng)構(gòu)建,防止法律風(fēng)險(xiǎn)的實(shí)際發(fā)生,是法學(xué)和管理學(xué)的交叉課題,國(guó)有企業(yè)通過(guò)構(gòu)建企業(yè)法律風(fēng)險(xiǎn)防控機(jī)制,可以彰顯法律風(fēng)險(xiǎn)防控的價(jià)值創(chuàng)造能力,提升企業(yè)綜合競(jìng)爭(zhēng)實(shí)力。 本文通過(guò)對(duì)構(gòu)建國(guó)有企業(yè)法律風(fēng)險(xiǎn)防范機(jī)制的分析與研究,開拓了企業(yè)建立法律風(fēng)險(xiǎn)防范機(jī)制的思路,對(duì)于我國(guó)企業(yè)尤其是國(guó)有企業(yè)提升法律風(fēng)險(xiǎn)防控水平,維護(hù)企業(yè)合法權(quán)益,積極應(yīng)對(duì)國(guó)內(nèi)外市場(chǎng)競(jìng)爭(zhēng)具有較強(qiáng)的理論和現(xiàn)實(shí)指導(dǎo)意義。
[Abstract]:With the increasing complexity of the internal and external environment, it is an objective need for enterprises to participate in market competition and an important part of building a society ruled by law to effectively prevent the legal risks of enterprises. In accordance with the controllable and preventable characteristics of legal risks, the enterprise shall establish a system for identifying, evaluating, controlling and resolving legal risks, as well as corresponding and effective system systems and management methods for avoiding economic losses or other risks, It is an organic combination of law and management. In today's world, the international and domestic market competition is unprecedented fierce, the enterprise faces more and more legal risks, and many legal risks may affect the survival of the enterprise. In order to gain advantages in participating in market competition, enterprises must effectively guard against the legal risks of enterprises, minimize and control the occurrence of losses to the maximum extent, and need special legal risk prevention mechanisms to ensure the sustained and stable development of enterprises. This paper selects the construction of the legal risk prevention mechanism of the state-owned enterprises as the research subject, combining with the actual working experience and the successful practice of the state-owned enterprise Laigang Group, analyzes the subject of the construction of the legal risk prevention mechanism of the enterprise. It is considered that constructing the legal risk prevention mechanism is an important way to effectively control the legal risk, and the establishment and perfection method of the legal risk prevention and control mechanism are put forward. In addition to the introduction and conclusion, the paper includes three parts. The main contents are as follows: introduction, mainly expounds the basic background of the construction of legal risk prevention mechanism of state-owned enterprises. In the first part, the author discusses how to understand the legal risk of enterprise and how to prevent the legal risk, starting with the analysis of the basic concept of the legal risk of the enterprise, explains the characteristics of the legal risk of the enterprise, the classification of the legal risk, The cause of formation of legal risk and the basic connotation, general goal and basic characteristics of legal risk prevention mechanism of enterprise. In the second part, the author analyzes the theoretical basis and necessity of constructing the legal risk prevention mechanism of state-owned enterprises, points out the main problems existing in the legal risk prevention of state-owned enterprises, and points out the theoretical basis for the establishment of legal risk prevention mechanism in state-owned enterprises. The necessity of constructing legal risk prevention mechanism of state-owned enterprises is analyzed emphatically. The third part mainly takes the state-owned enterprise Laigang Group as an example, introduces the basic method of establishing and perfecting the legal risk prevention mechanism of the state-owned enterprise, first expounds the basic principle of constructing the legal risk prevention and control mechanism of the state-owned enterprise. Then, from cultivating the legal risk consciousness of the main leaders and employees of the state-owned enterprises, establishing the core role of the general legal adviser in the legal risk control, perfecting the legal risk prevention system of the enterprise, perfecting the legal risk prevention target, organizing, Based on the strategic system, the establishment of the work flow of legal risk prevention and control, and the strengthening of legal risk prevention and control in important links and key areas, this paper puts forward a tentative plan for the construction of legal risk prevention mechanism in enterprises. In the conclusion part, it is pointed out that strengthening the systematic construction of legal risk prevention mechanism to prevent the actual occurrence of legal risk is a cross subject of law and management. It can highlight the value creation ability of legal risk prevention and control and enhance the comprehensive competitive strength of enterprises. Based on the analysis and research of the legal risk prevention mechanism of the state-owned enterprises, this paper develops the idea of establishing the legal risk prevention mechanism for the enterprises in our country, especially for the state-owned enterprises, and promotes the level of legal risk prevention and control. It is of great theoretical and practical significance to protect the legitimate rights and interests of enterprises and actively respond to the market competition at home and abroad.
