【摘要】：近年來隨著次貸危機在全世界范圍內(nèi)的影響,中國企業(yè)開始了向外拓展業(yè)務(wù)和尋找資源的并購之路。本文通過對澳大利亞外資并購審查制度的研究和分析,給我國外資并購審查制度的立法完善和我國企業(yè)如何順利并購澳大利亞企業(yè)提出自己的建議。文章一共分為四章。 緒論是對選題源起及研究意義、國內(nèi)外研究現(xiàn)狀和研究方法與寫作思路進行說明。因我國企業(yè)在澳大利亞并購熱潮的興起,而國內(nèi)又對澳大利亞外資并購審查制度研究甚少,所以研究澳外資并購審查制度具有重大的意義。本文主要以穿插案例的方式來對澳大利亞外資并購審查制度進行研究和分析。 文章接著是對澳大利亞外資并購審查制度的概述。從澳大利亞外資并購審查制度的概念、澳大利亞外資并購審查制度的特點和發(fā)展歷史三個方面來進行論述。澳大利亞外資并購審查制度于1975年初步形成。雖然澳大利亞在獨立前與美國同屬英國的殖民地,在制度立法方面也與英美相似,但澳大利亞外資并購審查制度在其不斷發(fā)展的過程中呈現(xiàn)出開放性和靈活性的特點。 文章的核心是對澳大利亞外資并購審查制度的主要內(nèi)容的論述。澳外資并購審查制度分為審查機構(gòu)、審查標準、審查內(nèi)容和審查期限四個方面。對在澳大利亞國內(nèi)范圍內(nèi)進行的外資并購主要由澳大利亞外資審查委員會對并購企業(yè)進行國家利益、行業(yè)標準等方面的審查。審查期限一般為30天,特殊情況下可延長至90天。 最后通過以上的論述分析出澳大利亞外資并購審查制度對我國的啟示。我國的外資并購制度剛剛設(shè)立,其亟待完善。通過對澳大利亞外資并購審查制度的研究,對我國外資并購的立法有積極的借鑒意義。同時也對我國企業(yè)如何在澳大利亞順利的進行并購有積極的指導(dǎo)作用。
[Abstract]:In recent years, with the influence of the subprime mortgage crisis in the world, Chinese enterprises have begun to expand their business and seek resources for mergers and acquisitions. Based on the research and analysis of the review system of foreign capital M & A in Australia, this paper puts forward some suggestions on how to perfect the legislation of the review system of foreign capital merger and acquisition in China and how to deal with Australian enterprises smoothly. The article is divided into four chapters. The introduction is to explain the origin and significance of the topic, the current research situation, research methods and writing ideas at home and abroad. It is of great significance to study the review system of foreign capital M & A in Australia because of the rise of M & A boom of Chinese enterprises in Australia and the lack of domestic research on the review system of foreign M & A in Australia. This paper mainly studies and analyzes the review system of foreign capital M & A in Australia by interspersing cases. The article is followed by an overview of the review system of foreign M & A in Australia. This paper discusses the concept of the review system of foreign capital mergers and acquisitions in Australia, the characteristics and development history of the review system of foreign capital mergers and acquisitions in Australia. The review system of foreign M & A in Australia was initially formed in 1975. Although Australia was a British colony with the United States before independence and similar to the United States in terms of institutional legislation, the review system of foreign M & A in Australia showed the characteristics of openness and flexibility in the process of its continuous development. The core of the article is to discuss the main contents of Australian foreign merger and acquisition review system. The review system of foreign capital M & A in Australia is divided into four aspects: the examination organization, the standard, the content and the time limit. The foreign capital M & A in Australia is mainly reviewed by the Australian Foreign Investment Review Committee in terms of national interests, industry standards and so on. The period of examination is usually 30 days, which can be extended to 90 days in special circumstances. Finally, through the above discussion, the author analyzes the inspiration of Australian foreign merger and acquisition review system to our country. China's foreign capital merger and acquisition system has just been set up, its urgent need to be improved. Through the research on the review system of foreign capital M & A in Australia, it has positive reference significance to the legislation of foreign capital merger and acquisition in our country. At the same time, it also has a positive guidance on how to smoothly conduct M & A in Australia.
