【摘要】：為體現(xiàn)“以人為本”的科學發(fā)展觀,2005年我國公司法把“公司社會責任”明確寫入法條�！肮緩氖陆�(jīng)營活動,必須遵守法律、行政法規(guī),遵守社會公德、商業(yè)道德,誠實守信,接受政府和社會公眾的監(jiān)督,承擔社會責任�！边@是我國在法律層面明確引進公司社會責任的標志。最近幾年,一系列礦難事故,三鹿奶粉事件、富士康跳樓事件,雙匯瘦肉精事件,這些會讓我們想到強調(diào)公司社會責任的重要性。如果公司社會責任能在現(xiàn)實生活中得到有效實現(xiàn),那么這些惡性事件就會減少。因此,有必要對公司社會責任法律規(guī)制進行研究和完善。這樣才能更好促進公司與社會經(jīng)濟生活的和諧發(fā)展。 本文從分析公司社會責任的概念和內(nèi)容開始,探討公司社會責任法律規(guī)制的必要性和重要性,指出我國公司社會責任法律規(guī)制的現(xiàn)狀和不足,立足我國現(xiàn)實國情,結(jié)合我國社會實踐經(jīng)驗提出對公司社會責任法律規(guī)制進行完善的構(gòu)想。本文分為四個部分： 第一部分,引言。具體論及公司社會責任法律規(guī)制問題的社會背景,通過研究公司社會責任的產(chǎn)生與發(fā)展演變,明確公司社會責任問題在現(xiàn)代社會經(jīng)濟社會生活中的重要性,從而引出公司社會責任法律規(guī)制的必要性與重要性。 第二部分,公司社會責任法律規(guī)制的必要性與重要性。該部分主要論述在公司社會責任中,法律責任是核心部分。法律規(guī)制公司社會責任的優(yōu)越性是道德等社會規(guī)范無法代替的。 第三部分,在我國,公司社會責任法律規(guī)制的現(xiàn)狀和不足。首先探討我國公司社會責任法律規(guī)制的現(xiàn)狀,然后分析了不足之處,使人們認識到公司社會責任的完善問題很重要。 第四部分,我國公司社會責任法律規(guī)制的完善構(gòu)想。從立法、執(zhí)法和司法等方面,提出完善我國公司社會責任法律規(guī)制的構(gòu)想。 公司在從事經(jīng)營活動的過程中應當履行公司社會責任已經(jīng)成為一種共識,要充分發(fā)揮立法、執(zhí)法、司法和監(jiān)督的作用,對公司社會責任法律規(guī)制進一步完善。
[Abstract]:In order to embody the scientific development view of " people - oriented " , the Company Law of our country clearly writes the corporate social responsibility to the law clause in 2005 . " The company engages in business activities , must abide by laws , administrative regulations , abide by social ethics , business ethics , honesty and trustworthiness , accept the supervision of the government and the public and assume social responsibility . " This is the symbol of the social responsibility of the company . If the social responsibility of the company can be effectively realized in real life , it is necessary to study and perfect the legal regulation of corporate social responsibility so that the harmonious development of the company and the social economic life can be better promoted .

Starting from the analysis of the concept and content of corporate social responsibility , this paper discusses the necessity and importance of legal regulation of corporate social responsibility , points out the current situation and deficiency of legal regulation of corporate social responsibility in our country , puts forward the idea of perfecting legal regulation of corporate social responsibility based on our country ' s actual situation , combining with our social practice experience . This paper is divided into four parts :

The first part , introduction , and the social background of the legal regulation of corporate social responsibility , through the research of the development and evolution of social responsibility of the company , make clear the importance of the social responsibility of the company in the social and social life of modern society , thus leading out the necessity and importance of the legal regulation of social responsibility of the company .

The second part , the necessity and importance of the legal regulation of corporate social responsibility . This part mainly discusses the core part in the corporate social responsibility . The superiority of the legal regulation company ' s social responsibility is that the social norms such as morality cannot be replaced .

The third part , in our country , the corporate social responsibility law regulation the present situation and deficiency . Firstly , discuss the current situation of the legal regulation of social responsibility of our company , then analyze the deficiency , make people realize that the company ' s social responsibility is very important .

In the fourth part , the author puts forward the idea of improving the legal regulation of corporate social responsibility from the aspects of legislation , law enforcement and administration of justice .

In the process of engaging in business activities , the company should fulfill the corporate social responsibility has become a consensus , to give full play to the role of legislation , law enforcement , judicial and supervision , and further improve the legal regulation of corporate social responsibility .
