【摘要】：俄羅斯在轉(zhuǎn)型社會(huì)背景下已形成了一套較完善的企業(yè)重整制度，，在調(diào)查程序、債權(quán)協(xié)商、促進(jìn)事業(yè)復(fù)興、特殊企業(yè)重整程序等方面特色鮮明，顯示其與時(shí)俱進(jìn)的立法進(jìn)步。俄羅斯企業(yè)重整的程序結(jié)構(gòu)采用單軌制的立法例，即財(cái)務(wù)恢復(fù)程序和外部管理程序僅適用同一套調(diào)查程序，這是俄羅斯重整程序結(jié)構(gòu)的最大特色。俄羅斯企業(yè)重整的組織結(jié)構(gòu)具有轉(zhuǎn)型國(guó)家特有的雙軌過(guò)渡特點(diǎn)。在財(cái)務(wù)恢復(fù)程序中債務(wù)人管理機(jī)構(gòu)以財(cái)務(wù)恢復(fù)管理人身份為重整執(zhí)行人，而在外部管理程序中則是由仲裁法院選任的外部管理人擔(dān)任重整執(zhí)行人。 企業(yè)重整成功的關(guān)鍵取決于債務(wù)人與債權(quán)人的協(xié)商結(jié)果。俄羅斯等轉(zhuǎn)型國(guó)家在實(shí)踐中都出現(xiàn)了操縱危機(jī)、債權(quán)人利益保護(hù)失靈等共同問(wèn)題。中國(guó)應(yīng)當(dāng)考慮經(jīng)濟(jì)轉(zhuǎn)型因素，借鑒俄羅斯經(jīng)驗(yàn)，設(shè)置預(yù)重整制度，在重整程序開始前已經(jīng)接受或反對(duì)重整計(jì)劃，將被視為已經(jīng)按照破產(chǎn)法的規(guī)定接受或反對(duì)該重整計(jì)劃,該表決結(jié)果拘束全體利害關(guān)系人。設(shè)立信息披露制度，重整執(zhí)行人應(yīng)在關(guān)系人會(huì)議表決重整計(jì)劃之前提交重整說(shuō)明書。增設(shè)重整執(zhí)行人忠實(shí)義務(wù)的內(nèi)容條款，將舉證責(zé)任轉(zhuǎn)至被告，只要重整執(zhí)行人的行為違反忠實(shí)義務(wù)，一律要求重整執(zhí)行人履行說(shuō)明義務(wù)。
[Abstract]:Under the background of the transitional society, Russia has formed a set of relatively perfect enterprise reorganization system. It has distinct characteristics in the investigation procedure, the creditor's rights consultation, the promotion of the cause renaissance, the special enterprise reorganization procedure and so on. The procedural structure of the reorganization of Russian enterprises adopts a single track system of legislation, that is, financial recovery procedures and external management procedures apply only to the same set of investigation procedures, This is the biggest characteristic of the structure of the Russian reorganization process. The organizational structure of the Russian enterprise restructuring has the characteristics of a two-track transition unique to the countries in transition. In the financial recovery procedure, the debtor's management organization acts as the financial restoration manager as the reorganization executor. In the external management procedure, the external administrator appointed by the arbitration court acts as the reorganization executor. The key to the success of the restructuring depends on the outcome of the negotiations between the debtor and the creditors. In practice, Russia and other transition countries all have common problems such as crisis of manipulation and failure of the protection of creditors' interests. China should consider the factors of economic transformation. Drawing on the experience of Russia, setting up a pre-reorganization system and having accepted or opposed the reorganization plan before the commencement of the reorganization proceedings will be deemed to have accepted or opposed the reorganization plan in accordance with the provisions of the bankruptcy law, The result of the voting shall be binding on all interested parties. The establishment of the information disclosure system, the reorganization executor shall submit the reorganization statement before the meeting of the parties concerned votes on the reorganization plan, and the content clause of the duty of loyalty of the reorganization executor shall be added, The burden of proof is transferred to the defendant, so long as the behavior of the reforming executor violates the obligation of loyalty, the reformer executor shall be required to perform the obligation of explanation.
