【摘要】：在PPP項(xiàng)目合同或者一些國家的法律中規(guī)定了政府有權(quán)單方變更PPP合同。政府有權(quán)單方變更PPP合同是由PPP項(xiàng)目的周期長和情況復(fù)雜等特點(diǎn)所決定的。政府單方變更PPP合同所涉及的法律問題主要包括政府單方變更PPP合同的適用條件、內(nèi)容、限制和補(bǔ)償。政府單方變更PPP合同應(yīng)遵循公共利益、情勢(shì)變更和物有所值的實(shí)體要件,也要依據(jù)合同約定的變更程序進(jìn)行。PPP合同應(yīng)當(dāng)直接規(guī)定政府可以請(qǐng)求變更PPP項(xiàng)目規(guī)�；蛐再|(zhì)的限制條件,政府單方變更權(quán)應(yīng)受到未實(shí)質(zhì)和根本改變合同內(nèi)容的限制。政府在單方變更PPP合同時(shí),應(yīng)對(duì)私人主體作出一定的補(bǔ)償,以彌補(bǔ)給私人主體所造成的損失。中國企業(yè)以政府和社會(huì)資本合作(PPP)模式參與"一帶一路"建設(shè)時(shí),應(yīng)給予政府單方變更合同條款充分的重視,這是化解來自東道國政府的風(fēng)險(xiǎn)和維護(hù)自身權(quán)益的正確路徑。
[Abstract]:The government has the right to unilaterally change the PPP contract in the PPP project contract or in the laws of some countries. The government's right to unilaterally change PPP contracts is determined by the long and complex nature of the PPP project. The legal problems involved in the unilateral modification of PPP contract by the government mainly include the applicable conditions, contents, restrictions and compensation of the unilateral modification of the PPP contract by the government. The unilateral change of the PPP contract by the government should follow the substantive requirements of public interest, situation change and value for money. It is also necessary to carry out the. PPP contract according to the procedure stipulated in the contract. The contract should directly stipulate the restriction that the government can request to change the size or nature of the PPP project, and the unilateral change right of the government should be restricted by the unsubstantial and fundamental change of the contract content. When the government unilaterally changes the PPP contract, it should make certain compensation to the private subject to make up for the loss caused to the private subject. When Chinese enterprises participate in the construction of "Belt and Road" in the mode of cooperation between government and social capital, they should pay enough attention to the unilateral alteration of contract terms, which is the correct way to resolve the risk from the host government and to safeguard their own rights and interests.
