【摘要】:高速公路企業(yè)作為政府特許經(jīng)營企業(yè),本應(yīng)承擔(dān)更多的社會(huì)責(zé)任,然而近年來在經(jīng)營過程中卻存在諸多不負(fù)責(zé)任的現(xiàn)象:超期收費(fèi),收費(fèi)標(biāo)準(zhǔn)過高,貪腐現(xiàn)象頻發(fā)??較低的社會(huì)責(zé)任實(shí)踐水平嚴(yán)重制約我國高速公路行業(yè)的和諧發(fā)展,因此我們有必要對高速公路企業(yè)的社會(huì)責(zé)任進(jìn)行專門研究,以推動(dòng)其實(shí)踐的發(fā)展。但我們必須認(rèn)識到,我國高速公路企業(yè)發(fā)展水平參差不齊,要求所有企業(yè)承擔(dān)同樣的社會(huì)責(zé)任不現(xiàn)實(shí),把所有企業(yè)作為一個(gè)無差別整體進(jìn)行研究對實(shí)踐的指導(dǎo)意義也不大,為此本文以其中承擔(dān)社會(huì)責(zé)任的資源更多、能力更強(qiáng)的高速公路上市企業(yè)作為研究對象,通過對高速公路上市企業(yè)社會(huì)責(zé)任的專門研究來推動(dòng)其社會(huì)責(zé)任實(shí)踐的發(fā)展,進(jìn)而帶動(dòng)整個(gè)行業(yè)企業(yè)社會(huì)責(zé)任的發(fā)展。本文首先從一般企業(yè)的社會(huì)責(zé)任理論入手,通過分析比較,確定利益相關(guān)者理論為本文研究高速公路上市企業(yè)社會(huì)責(zé)任的基礎(chǔ)理論,并以該理論為指導(dǎo),結(jié)合高速公路上市企業(yè)運(yùn)營管理的特殊性,構(gòu)建了高速公路上市企業(yè)社會(huì)責(zé)任內(nèi)容體系,認(rèn)為其社會(huì)責(zé)任主要包含對員工、司乘人員、相連路段經(jīng)營者(商業(yè)伙伴)、政府、環(huán)境和社會(huì)發(fā)展的責(zé)任。其次,以構(gòu)建的高速公路上市企業(yè)社會(huì)責(zé)任內(nèi)容體系為依據(jù),對我國高速公路上市企業(yè)社會(huì)責(zé)任實(shí)踐進(jìn)行了研究,發(fā)現(xiàn)企業(yè)對員工、司乘人員、政府、環(huán)境和社會(huì)發(fā)展的責(zé)任履行整體較好,對相連路段經(jīng)營者的責(zé)任承擔(dān)則不夠重視。具體來看,企業(yè)在滿足司乘人員需求、執(zhí)行“綠色通道”政策和重大節(jié)假日免收通行費(fèi)政策、提高道路養(yǎng)護(hù)水平、定期發(fā)布企業(yè)社會(huì)責(zé)任報(bào)告方面表現(xiàn)良好,在部分經(jīng)營路段收費(fèi)標(biāo)準(zhǔn)和收費(fèi)年限調(diào)整、預(yù)防企業(yè)貪腐風(fēng)險(xiǎn)、同相連路段經(jīng)營者協(xié)作、企業(yè)社會(huì)責(zé)任報(bào)告內(nèi)容完善方面存在不足。最后,針對這些不足,以企業(yè)、政府和行業(yè)協(xié)會(huì)三方協(xié)同為方向構(gòu)建了高速公路上市企業(yè)社會(huì)責(zé)任實(shí)踐推進(jìn)機(jī)制:以完善企業(yè)治理結(jié)構(gòu)為基礎(chǔ),主要是完善企業(yè)監(jiān)事會(huì)和獨(dú)立董事制度、設(shè)立專門的社會(huì)責(zé)任管理部門;以完善政府規(guī)制為重點(diǎn),主要包括完善收費(fèi)標(biāo)準(zhǔn)規(guī)制、完善高速公路特許經(jīng)營的相關(guān)法律法規(guī)和特許經(jīng)營協(xié)議、設(shè)置獨(dú)立的規(guī)制機(jī)構(gòu)(企業(yè)社會(huì)責(zé)任監(jiān)管機(jī)構(gòu))、完善企業(yè)社會(huì)責(zé)任報(bào)告和設(shè)立企業(yè)社會(huì)責(zé)任投資基金;以發(fā)揮行業(yè)協(xié)會(huì)作用為補(bǔ)充,主要是發(fā)揮行業(yè)協(xié)會(huì)對政府規(guī)制的監(jiān)督作用,發(fā)揮其對高速公路上市企業(yè)在對相連路段經(jīng)營者承擔(dān)責(zé)任方面的監(jiān)督引導(dǎo)作用。
[Abstract]:Expressway enterprises, as government franchising enterprises, should bear more social responsibility. However, in recent years, there are many irresponsible phenomena in the process of operation: excessive charges, excessive charges and frequent corruption. ? The low practical level of social responsibility seriously restricts the harmonious development of expressway industry in our country. Therefore, it is necessary for us to study the social responsibility of expressway enterprises specially in order to promote the development of their practice. However, we must realize that, The development level of expressway enterprises in China is uneven, and it is not realistic to require all enterprises to assume the same social responsibility. Therefore, this paper takes the listed expressway enterprises with more resources and stronger ability to undertake social responsibility as the research object, and promotes the development of the practice of social responsibility through the special research on the social responsibility of expressway listed enterprises. This paper starts with the general corporate social responsibility theory, through analysis and comparison, determines the stakeholder theory as the basic theory of the highway listed enterprises' social responsibility. Under the guidance of the theory and the particularity of the operation and management of the listed expressway enterprises, this paper constructs the content system of the social responsibility of the listed enterprises on the highway, and considers that the social responsibility of the listed enterprises mainly includes the employees and the staff. Secondly, based on the content system of social responsibility of listed enterprises of expressway, this paper studies the practice of social responsibility of listed enterprises of expressway in our country. It is found that the responsibility of enterprises to employees, drivers, government, environment and social development is better overall, but not enough attention is paid to the responsibility of operators of connected roads. To be specific, enterprises are meeting the needs of riders. To implement the "green passage" policy and the toll-free policy for major holidays, to improve the level of road maintenance, to regularly issue corporate social responsibility reports, and to adjust the toll standards and toll years of some operating road sections, To prevent the risk of corporate corruption, to cooperate with the operators of connected road sections, and to improve the content of corporate social responsibility reports, there are shortcomings. Finally, in order to solve these deficiencies, The government and the industry association have set up the practical promotion mechanism of the highway listed enterprise social responsibility in the direction of coordination: based on the perfection of the corporate governance structure, the system of the board of supervisors and the independent director of the enterprise has been improved. Setting up special social responsibility management department, focusing on perfecting government regulation, mainly including perfecting the regulation of toll standard, perfecting the relevant laws and regulations of expressway franchise and franchise agreement, Set up independent regulatory bodies (corporate social responsibility regulatory agencies, improve corporate social responsibility reports and set up corporate social responsibility investment fund; to play the role of industry associations as a supplement, It is mainly to give play to the supervision role of the trade association to the government regulation and to the supervision and guidance role of the listed enterprises of expressway in the responsibility of the operators of the connected road sections.
