【摘要】:國有企業(yè)自其成立以來對世界經(jīng)濟(jì)的穩(wěn)定一直有著十分重大的作用。自從第二次世界大戰(zhàn)之后世界各國對國有企業(yè)維護(hù)經(jīng)濟(jì)穩(wěn)定作用的愈加重視,國有企業(yè)的數(shù)量也因此迅速增多。國有企業(yè)對于國家經(jīng)濟(jì)整體態(tài)勢的穩(wěn)定起著重要的作用,從宏觀上來說它是調(diào)節(jié)經(jīng)濟(jì)健康發(fā)展的重要杠桿,從微觀上更是市場經(jīng)濟(jì)中個(gè)體企業(yè)和公司發(fā)展的風(fēng)向標(biāo),因此,國有企業(yè)經(jīng)營和運(yùn)營一直是各國關(guān)注的主要焦點(diǎn)。國有企業(yè)從本源上來說是一種比較特殊的公司,對于一個(gè)公司而言最重要的莫過于經(jīng)營決策的責(zé)任人,他是公司運(yùn)營的大腦和最核心的部分,因此決策責(zé)任制度的完善和改進(jìn)是企業(yè)做出高效、科學(xué)決策的前提和基礎(chǔ)。我國國有企業(yè)中股東對決策表決機(jī)制不重視導(dǎo)致出現(xiàn)國有企業(yè)決策效率不高、決策程序不民主以及決策的執(zhí)行效果不佳等問題,要激發(fā)國有企業(yè)的經(jīng)營和自主創(chuàng)新的能力,首先得完善我國國有企業(yè)決策責(zé)任制度,并對企業(yè)內(nèi)部決策主體和決策的相關(guān)制度進(jìn)行改善和提高。國有企業(yè)決策責(zé)任機(jī)制的完善與否是國有企業(yè)發(fā)展速度和狀態(tài)提高與改善的前提。競爭性國有企業(yè)以市場為主導(dǎo)的傾向使得該類國有企業(yè)必須走與現(xiàn)代公司治理機(jī)制相結(jié)合道路,并對決策主體的決策責(zé)任進(jìn)行進(jìn)一步的完善,只有這樣才能進(jìn)一步的激發(fā)國有企業(yè)在市場經(jīng)濟(jì)下的活力,發(fā)揮維護(hù)經(jīng)濟(jì)發(fā)展穩(wěn)定和執(zhí)行國家整體經(jīng)濟(jì)政策的作用,同時(shí)國有企業(yè)更應(yīng)該隨著時(shí)代潮流完善企業(yè)內(nèi)部的決策責(zé)任制度發(fā)揮國有企業(yè)的作用。本文主要是以國有企業(yè)決策主體的決策責(zé)任為主要論述對象,文章主要分為四個(gè)大部分進(jìn)行說明,第一部分是對現(xiàn)代公司治理機(jī)制和國有企業(yè)治理和決策制度的基本理論的闡釋和說明,并對公司內(nèi)部的治理機(jī)構(gòu)和國有企業(yè)內(nèi)部的決策機(jī)構(gòu)進(jìn)行整體介紹和梳理;第二部分是對國有企業(yè)決策責(zé)任制度的歷史變革和改革現(xiàn)狀的說明,主要以我國國有企業(yè)相關(guān)改革的立法成就和我國國有企業(yè)目前實(shí)踐的現(xiàn)狀來說明國企改革取得進(jìn)步和不足,接下來就是對國有企業(yè)現(xiàn)存的不足和出現(xiàn)相關(guān)問題的原因進(jìn)行簡要介紹和分析;第三部分是對國外各國國有企業(yè)決策責(zé)任制度的概況介紹,主要選取了以美國的董事會(huì)為中心的單一制決策責(zé)任制度,德國的董事會(huì)、監(jiān)事會(huì)為中心的雙層決策責(zé)任制度和以日本為主要代表的亞洲國家采用的董事會(huì)領(lǐng)導(dǎo)下的行政首長負(fù)責(zé)的決策責(zé)任制,還有目前最為世界各國所借鑒和推崇的新加坡的以市場調(diào)節(jié)為主政府管理為輔決策責(zé)任制度進(jìn)行介紹和說明,同時(shí)對其特點(diǎn)、發(fā)展趨勢進(jìn)行相關(guān)總結(jié),最后闡釋了國外各國有企業(yè)的決策責(zé)任制度對我國國有企業(yè)決策責(zé)任制度的啟示和相關(guān)經(jīng)驗(yàn)的借鑒;第四部分是對國有企業(yè)決策責(zé)任制度完善的總體思路的介紹和具體建議的闡述。本文的寫作目的是尋找與我國目前社會(huì)經(jīng)濟(jì),政治環(huán)境發(fā)展相適應(yīng)的高效、科學(xué)的國有企業(yè)決策責(zé)任制度。主要的內(nèi)容是針對我國國有企業(yè)決策責(zé)任制度的現(xiàn)狀,并同時(shí)結(jié)合我國的政治、經(jīng)濟(jì)、文化背景和社會(huì)環(huán)境對我國國有企業(yè)相關(guān)基本理論進(jìn)行闡述,同時(shí)對國有企業(yè)的決策責(zé)任制度與現(xiàn)代公司內(nèi)部治理和決策機(jī)制相互比較,同時(shí)借鑒國際先進(jìn)國有企業(yè)決策責(zé)任制度的成果,找出我國國有企業(yè)目前存在的問題和不足并完善國有企業(yè)的董事會(huì)成員的追責(zé)方式。本文的創(chuàng)新點(diǎn)主要是以現(xiàn)代公司治理中的決策責(zé)任制度和國有企業(yè)決策責(zé)任制度為文章的兩條主線,在對兩條主線各自的理論進(jìn)行介紹之后以借鑒和吸收現(xiàn)代公司決策責(zé)任的優(yōu)點(diǎn)為主要目的,并對國有企業(yè)本身存在的問題有針對性的解決得出國有企業(yè)決策責(zé)任相關(guān)完善的整體思路的具體意見和具體建議。綜上所述,國有企業(yè)的決策責(zé)任制度的完善是本文的主要論述部分,是以完善國有企業(yè)董事會(huì)和高級管理人員的決策責(zé)任制度來提高國有企業(yè)的決策效率,使得國有企業(yè)能在市場競爭的環(huán)境下持續(xù)、健康、穩(wěn)定的發(fā)展,確保其在國民經(jīng)濟(jì)中作用的充分發(fā)揮。
