【摘要】:自20世紀(jì)開(kāi)始至今,各國(guó)政府就民間資本進(jìn)入公共服務(wù)產(chǎn)品供給市場(chǎng)的嘗試和路徑選擇進(jìn)行了漫長(zhǎng)的探索和研究,成果顯著。近年來(lái),隨著世界政治經(jīng)濟(jì)形勢(shì)的變化和世界各國(guó)人民對(duì)公共服務(wù)產(chǎn)品供給水平的要求不斷提高,以往傳統(tǒng)的政府提供公共服務(wù)產(chǎn)品的模式越來(lái)越不能夠適應(yīng)實(shí)際需求。在公共基礎(chǔ)設(shè)施建設(shè)和公共服務(wù)產(chǎn)品提供領(lǐng)域進(jìn)行公私合作勢(shì)在必行。基于上述原因,PPP模式應(yīng)運(yùn)而生。PPP模式是公共部門(mén)向公眾提供公共物品的新型運(yùn)作模式,通過(guò)合同的方式,建立了與私營(yíng)部門(mén)的伙伴關(guān)系,向公眾提供合同中列明的公共物品。我國(guó)改革開(kāi)放以來(lái),公共基礎(chǔ)設(shè)施建設(shè)大規(guī)模利用PPP公私合作模式吸引社會(huì)資本參與開(kāi)發(fā)建設(shè)。近年來(lái),政府和社會(huì)資本合作機(jī)制逐步制度化、規(guī)范化,越來(lái)越多地獲得來(lái)自社會(huì)各界的關(guān)注。該模式鼓勵(lì)民間資本、私營(yíng)部門(mén)與政府合作,參與建設(shè)公共基礎(chǔ)設(shè)施建設(shè),并允許非公共部門(mén)的資源、資金參與到公共物品和服務(wù)供給領(lǐng)域,從而實(shí)現(xiàn)多方合作并達(dá)到比單方行動(dòng)更加良好的效果。PPP項(xiàng)目通常由政府的公共部門(mén)和民間的私營(yíng)部門(mén)在整個(gè)項(xiàng)目中全程合作,對(duì)項(xiàng)目運(yùn)行的整個(gè)周期和結(jié)果負(fù)責(zé)。在這樣的大背景下,學(xué)界對(duì)于PPP模式的研究多是從社會(huì)學(xué)、經(jīng)濟(jì)學(xué)的角度出發(fā),或者僅僅對(duì)PPP模式的構(gòu)成及各個(gè)參與方在其中所處的地位進(jìn)行研究,并且鮮少有對(duì)PPP模式法律特征的分析和總結(jié)。而在傳統(tǒng)公私法二元的理論體系中,由于沒(méi)有引入經(jīng)濟(jì)法理論,學(xué)界對(duì)PPP模式中合同的法律性質(zhì)看法不一,有頗多爭(zhēng)論。近些年,經(jīng)濟(jì)法學(xué)已經(jīng)從一門(mén)新興的法學(xué)學(xué)科逐漸發(fā)展成熟。在經(jīng)濟(jì)法學(xué)的視角下,不難發(fā)現(xiàn),將PPP合同法律性質(zhì)定性為經(jīng)濟(jì)法意義上的合同更為妥當(dāng),而這一法律特征也是PPP模式最為重要的法律特征。本文在充分理解PPP模式的運(yùn)行機(jī)制及原理的基礎(chǔ)上,對(duì)PPP模式的法律特征進(jìn)行分析和總結(jié),并從經(jīng)濟(jì)法理論的視角出發(fā),將PPP模式的合同性質(zhì)定性為經(jīng)濟(jì)法意義上的合同,進(jìn)而指出公共部門(mén)和私營(yíng)部門(mén)在適用PPP模式時(shí)存在的問(wèn)題及對(duì)PPP的法律規(guī)制提出相應(yīng)的對(duì)策建議,以確保我國(guó)在公共基礎(chǔ)設(shè)施建設(shè)和公共服務(wù)提供領(lǐng)域的公私合作能夠達(dá)到理想的效果。
[Abstract]:Since 20th century, the governments of various countries have made a long exploration and research on the private capital entering the supply market of public service products, with remarkable achievements in recent years. With the change of the world political and economic situation and the demand of the people of the world to the public service product supply level is rising unceasingly. In the past, the traditional mode of government providing public service products is increasingly unable to meet the actual needs. It is imperative to carry out public-private cooperation in the field of public infrastructure construction and public service product delivery. PPP model is a new mode of public sector to provide public goods. Through the way of contract, the partnership with the private sector has been established. Since China's reform and opening up, public infrastructure construction has used PPP public-private partnership mode to attract social capital to participate in the development and construction in recent years. The cooperation mechanism between government and social capital is gradually institutionalized, standardized, and more and more attention from all walks of life. This model encourages private capital, the private sector and the government to cooperate. To participate in the construction of public infrastructure and to allow non-public sector resources and funds to participate in the provision of public goods and services. In order to achieve multi-party cooperation and achieve better results than unilateral action. PPP projects usually involve the public sector of the government and the private sector of the private sector throughout the whole project. In this context, the academic research on the PPP model is mostly from the perspective of sociology and economics. Or only the composition of the PPP model and the status of each participant in the study, and rarely on the analysis and summary of the legal characteristics of the PPP model, but in the traditional public and private law dual theoretical system. Due to the lack of economic law theory, scholars have different views on the legal nature of the contract in the PPP model, there is a lot of controversy in recent years. From the perspective of economic law, it is not difficult to find that it is more appropriate to characterize the legal nature of PPP contract as a contract in the sense of economic law. This legal feature is also the most important legal feature of PPP mode. This paper analyzes and summarizes the legal characteristics of PPP mode on the basis of fully understanding the operation mechanism and principle of PPP mode. And from the perspective of economic law theory, the contract nature of PPP mode is defined as a contract in the sense of economic law. Then it points out the problems existing in the application of PPP mode in the public and private sectors and puts forward corresponding countermeasures and suggestions on the legal regulation of PPP. In order to ensure that the public-private cooperation in the field of public infrastructure construction and public service delivery can achieve the desired results.
