【摘要】:這是一項(xiàng)旨在探索建立具有中國特色現(xiàn)代企業(yè)制度的研究。隨著我國改革的不斷深化,發(fā)端并流行于西方的現(xiàn)代企業(yè)制度已在我國企業(yè)普遍推行。然而,如何使現(xiàn)代企業(yè)制度適合我國企業(yè)和社會實(shí)際,如何對現(xiàn)代企業(yè)制度揚(yáng)長避短,構(gòu)建具有中國特色、超越西方的我國企業(yè)制度?本文提出了“現(xiàn)代企業(yè)制度+企業(yè)黨建+社會責(zé)任”三位一體的現(xiàn)代企業(yè)制度的中國化模式。 傳統(tǒng)觀點(diǎn)過于強(qiáng)調(diào)西方現(xiàn)代企業(yè)制度的優(yōu)勢,忽略了西方企業(yè)制度的先天不足,忽略了企業(yè)制度必須以社會、政治、經(jīng)濟(jì)、文化結(jié)構(gòu)為基礎(chǔ),微觀企業(yè)制度對宏觀社會體制存在一定的依賴性,從而導(dǎo)致我國在企業(yè)制度建設(shè)中盲目崇拜、照搬照抄西方的現(xiàn)代企業(yè)制度,不僅使我國企業(yè)改革在認(rèn)識方面受到了限制,也使我國企業(yè)在建立企業(yè)制度時(shí)不能因企制宜,探索出適合自身的企業(yè)制度。 本文第一章是緒論,說明了本研究背景、條件、意義,,主要內(nèi)容與創(chuàng)新之處,研究方法與技術(shù)路線。 第二章對相關(guān)研究理論作了回顧,梳理了西方企業(yè)制度的理論演變,分析了我國企業(yè)制度的理論發(fā)展,指出了西方現(xiàn)代企業(yè)制度在化解勞資矛盾問題上的無力、平衡企業(yè)內(nèi)外利益上的無能、解決內(nèi)部人控制問題方面的無效等弊端。我國引進(jìn)西方企業(yè)制度應(yīng)注意社會政治結(jié)構(gòu)基礎(chǔ),必須結(jié)合自身的基本經(jīng)濟(jì)制度。現(xiàn)代企業(yè)制度的中國化有其客觀性。 第三章從理論上詳細(xì)闡述了現(xiàn)代企業(yè)制度中的共性規(guī)律和科學(xué)內(nèi)涵,F(xiàn)代企業(yè)制度的一般屬性與我國企業(yè)實(shí)際需要存在著一致性,而現(xiàn)代企業(yè)制度的社會屬性又要求我們探索適合中國國情的企業(yè)制度,現(xiàn)代企業(yè)制度有中國化的必要。在上述分析基礎(chǔ)上,系統(tǒng)闡述了“三位一體”的現(xiàn)代企業(yè)制度的中國化模式,即以“現(xiàn)代企業(yè)制度為基礎(chǔ),企業(yè)黨建為保障,社會責(zé)任為使命”的中國特色社會主義現(xiàn)代企業(yè)制度,其主要內(nèi)容包括:現(xiàn)代企業(yè)制度(邊界清晰的多元產(chǎn)權(quán)制度、制衡合理的法人治理制度、體系科學(xué)的經(jīng)營管理制度)、企業(yè)黨建工作體系和社會責(zé)任體系。文中還分析了現(xiàn)代企業(yè)制度的中國化的運(yùn)行機(jī)制。 第四章從實(shí)踐層面給出了現(xiàn)代企業(yè)制度的中國化的具體路徑。共列出四條:以嵌入黨組織建設(shè)保障現(xiàn)代企業(yè)健康運(yùn)行;以健全社會責(zé)任機(jī)制促進(jìn)現(xiàn)代企業(yè)履行使命;以“勞動者參與制”緩解現(xiàn)代企業(yè)勞資矛盾;以傳統(tǒng)優(yōu)秀文化增強(qiáng)現(xiàn)代企業(yè)文化實(shí)力。 第五章以紅豆集團(tuán)多年探索實(shí)踐的“三位一體”的現(xiàn)代企業(yè)制度的中國化模式為例,剖析了紅豆集團(tuán)在公司治理、企業(yè)黨建和企業(yè)社會責(zé)任方面的具體做法和成效。在此基礎(chǔ)上,用熵權(quán)綜合法構(gòu)建了現(xiàn)代企業(yè)制度中國化指數(shù),并用紅豆集團(tuán)的數(shù)據(jù)驗(yàn)證了該指數(shù)和企業(yè)經(jīng)營績效的關(guān)系。結(jié)果表明兩者呈顯著正向關(guān)系,表明這一制度模式適合中國國情和企業(yè)實(shí)際。 第六章歸納了本論文的基本結(jié)論,并提出了未來研究方向。 本文的分析和闡述表明,曾經(jīng)在西方普遍適用的現(xiàn)代企業(yè)制度,是與西方國家的經(jīng)濟(jì)、社會、政治、文化和歷史情況內(nèi)在統(tǒng)一的,它不可能是適用于其他所有國家的普遍原則。現(xiàn)代企業(yè)制度的建設(shè),必須與現(xiàn)代企業(yè)及其所在國家的經(jīng)濟(jì)、社會、政治、文化環(huán)境與歷史情況相統(tǒng)一,F(xiàn)代企業(yè)制度還是一般性(或者說共性)與其在不同國家、不同時(shí)期表現(xiàn)出的特殊性(或者說個(gè)性)的統(tǒng)一。在我國社會主義市場經(jīng)濟(jì)體制背景下構(gòu)建現(xiàn)代企業(yè)制度,必須緊密結(jié)合中國特色社會主義的國情和企業(yè)實(shí)際。“三位一體”的中國化的現(xiàn)代企業(yè)制度模式,正是一種符合我國國情和企業(yè)實(shí)際的有益探索。
[Abstract]:This is a study aims to explore the establishment of modern enterprise system has China characteristics. With the deepening of China's reform, the modern enterprise system developed and popular in the West has been widely implemented in the enterprises in our country. However, how to make modern enterprise system suitable for our enterprises and social reality, how to improve the modern enterprise system. The construction has China characteristics, the system of our enterprises beyond the west? "Is proposed in this paper Chinese mode of modern enterprise system of modern enterprise system and the enterprise party building + social responsibility" of three-in-one.
Too much emphasis on the traditional view of the western modern enterprise system advantage, ignoring the congenitally deficient western enterprise system, ignoring the enterprise system must be based on the social, political, economic, cultural structure, micro enterprise system have certain reliance on the macro social system, resulting in our country in the construction of enterprise system in the modern enterprise of blind worship. Copy the western system, not only make the enterprise reform of our country in terms of understanding is limited, but also to China's enterprises in the establishment of enterprise system is not enterprise system, explore the suitable enterprise system.
The first chapter of this paper is the introduction, which illustrates the background, conditions, significance, main content and innovation, research methods and technical routes of this study.
The second chapter reviews the related theory research, combing the evolution of western enterprise system theory, analyzes the theory of the development of China's enterprise system, points out the weakness of the western modern enterprise system in solving labor contradiction, balance the interests of the enterprise and incompetent, solve the problem of internal control is invalid and other defects. I the introduction of western enterprise system should pay attention to the basic social and political structure, must be combined with the basic economic system of its own. The modern enterprise system China has its objectivity.
The third chapter theoretically elaborated the modern enterprise system in the common law and the scientific connotation. The actual needs of the general attributes of the modern enterprise system and Chinese enterprises are consistent, and the social attributes of the modern enterprise system and requires us to explore suitable Chinese conditions of the enterprise system, it is necessary to China of modern enterprise system. Based on the above analysis, systematically expounded the "China mode of modern enterprise system three-in-one", the "modern enterprise system as the foundation, the enterprise party building for the protection of social responsibility for the mission of" Chinese socialism modern enterprise system, the main contents include: modern enterprise system (multiple property rights, clear border checks and balances reasonable corporate governance system, a system of scientific management system), the enterprise party building work system and social responsibility system. The fourth chapter from the perspective of practice gives the modern enterprise system Chinese the specific path. List four: the construction of embedded party organization to protect the healthy operation of modern enterprises; to improve the social responsibility mechanism to promote the modern enterprise to fulfill the mission; "laborer participation system" to ease the labor conflicts in modern enterprises; to enhance the excellent traditional culture of the modern enterprise culture strength.
China mode in the fifth chapter, the red group "three-in-one" years of exploration and practice of the modern enterprise system as an example, analyzes the red group in the corporate governance, specific practices and effectiveness of the enterprise party construction and corporate social responsibility. On this basis, using entropy comprehensive method to build index system of modern enterprise and Chinese. To verify the relationship of the index and corporate performance by the red group data. The results show that there is a significant positive relationship, show that this system Chinese mode suitable for national conditions and the actual business.
The sixth chapter summarizes the basic conclusions of this paper, and puts forward the future research direction.
This paper analyzes and expounds that modern enterprise system has widely applied in the west, and Western countries in economic, social, political, cultural and historical unity, it may not be universal principles applicable to all other countries. The construction of modern enterprise system, and to modern enterprises and their countries the economic, social, political, cultural environment and historical unity. The modern enterprise system and the general (or common) and in different countries, different periods of special show (or individual) unity. The establishment of the modern enterprise system in China's socialist market economic system background, must be closely combined with China characteristics the actual conditions and business.
