【摘要】：票據(jù)是一種流通證券，票據(jù)在商品經(jīng)濟(jì)中的重要作用是通過(guò)流通來(lái)實(shí)現(xiàn)的，只有流通起來(lái)的票據(jù)才能真正實(shí)現(xiàn)其價(jià)值，而票據(jù)流通的主要手段則是背書，票據(jù)當(dāng)事人通過(guò)背書來(lái)完成票據(jù)的轉(zhuǎn)讓，從而進(jìn)行票據(jù)權(quán)利的轉(zhuǎn)移，背書轉(zhuǎn)讓制度使得票據(jù)能夠迅速的流通，因此各國(guó)票據(jù)立法都將促進(jìn)票據(jù)的流通作為一項(xiàng)重要任務(wù)。當(dāng)票據(jù)通過(guò)背書轉(zhuǎn)讓流通起來(lái)以后，票據(jù)前后手之間的這種背書轉(zhuǎn)讓是否具有連續(xù)性對(duì)于背書的法律效力以及持票人、票據(jù)債務(wù)人等票據(jù)當(dāng)事人權(quán)利的實(shí)現(xiàn)具有重要意義。然而在票據(jù)實(shí)務(wù)及司法實(shí)踐中，由于我國(guó)法律規(guī)定的相對(duì)不完善，票據(jù)當(dāng)事人以及法官在判斷背書是否連續(xù)時(shí)產(chǎn)生了一些矛盾和分歧，這勢(shì)必會(huì)影響票據(jù)的正常流通，妨礙我國(guó)市場(chǎng)經(jīng)濟(jì)的健康發(fā)展。因此本文就背書連續(xù)的相關(guān)問(wèn)題展開(kāi)，通過(guò)理論與實(shí)踐相結(jié)合、比較分析等方法分五個(gè)部分對(duì)票據(jù)背書連續(xù)的相關(guān)問(wèn)題進(jìn)行論述。 本文首先概述了背書連續(xù)的基本問(wèn)題，然后選取票據(jù)實(shí)務(wù)中常見(jiàn)的空白背書、背書涂銷、背書偽造、非轉(zhuǎn)讓背書等背書行為，分別闡述了其對(duì)背書連續(xù)可能產(chǎn)生的影響，并嘗試給出了相應(yīng)的制度完善建議：①對(duì)于空白背書，應(yīng)明確承認(rèn)空白背書的法律效力；規(guī)定空白背書的轉(zhuǎn)讓方式；承認(rèn)空白背書的連續(xù)性。②對(duì)于背書涂銷，應(yīng)明確票據(jù)涂銷行為及其效力；明確背書涂銷行為及其效力；對(duì)背書涂銷與背書連續(xù)問(wèn)題，可以套用我國(guó)臺(tái)灣地區(qū)“票據(jù)法”進(jìn)行規(guī)制，即涂銷的背書對(duì)背書連續(xù)無(wú)影響的視為已涂銷，對(duì)背書連續(xù)有影響的視為未涂銷。③對(duì)于背書偽造，由于《票據(jù)法》第31條與32條存在矛盾，建議將第32條重新修正，并將第57條與票據(jù)法司法解釋中的精神相結(jié)合進(jìn)行完善；④對(duì)于非轉(zhuǎn)讓背書，應(yīng)將《票據(jù)法》第35條1款進(jìn)行完善，允許委托收款后的再委托收款行為并禁止委托收款背書后的再質(zhì)押行為；并對(duì)第35條2款進(jìn)行完善，，明確規(guī)定質(zhì)押背書中質(zhì)權(quán)人的票據(jù)權(quán)利僅限于付款請(qǐng)求權(quán)和追索權(quán)，并禁止持票人的再行轉(zhuǎn)讓或質(zhì)押行為。
[Abstract]:Negotiable instrument is a kind of negotiable securities. The important role of bill in commodity economy is realized through circulation. Only negotiable instruments can truly realize their value, and the main means of negotiable instruments are endorsement. The parties to negotiable instruments carry out the transfer of bills through endorsement so as to transfer the rights of bills and endorse the transfer system. So the bill can be circulated quickly, so the bill legislation in all countries will promote the circulation of the bill as an important task. When the bill is transferred through endorsement, whether the endorsement between the bill and the back hand has continuity to the legal effect of the endorsement and the bill holder, the bill debtor and other bills as the human rights. The realization of profit is of great significance. However, in the practice of bill and the judicial practice, because of the relative imperfect laws of our country, the parties and judges of the bill have produced some contradictions and differences when judging whether the endorsement is continuous or not. This will certainly affect the normal circulation of the bill and hinder the healthy development of the market economy of our country. The related issues of endorsement are carried out. Through the combination of theory and practice, comparative analysis and other methods are discussed in five parts.
This article first summarizes the basic problems of endorsement continuity, and then selects the common blank endorsement in the practice of the bill, the endorsement sale, the endorsement and the non assignment endorsement, and expounds the possible effects of the endorsement on the endorsement of the endorsement, and attempts to give the corresponding suggestions for the improvement of the system: (1) the blank endorsement should be clearly recognized. The legal effect of the white endorsement, the transfer mode of the blank endorsement, the continuity of the blank endorsement, and the continuity of the endorsement of the blank. (2) for the endorsement of the endorsement, the act and effectiveness of the bill should be clearly defined; the act and effect of the endorsement of the endorsement should be clearly defined; the issue of endorsement and endorsement of endorsement can be applied to the regulation of the "bill law" in the Taiwan area of China, that is to say, The endorsement of the endorsement, which has no influence on the endorsement of the endorsement, is deemed to have been applied, and that the endorsement has a continuous impact on the endorsement. (3) for the forgery of the endorsement, the thirty-second article is amended as a result of the contradiction between the thirty-first articles and the 32 articles, and the combination of the fifty-seventh and the spirit of the legal interpretation of the bill law should be perfected; (4) for the non transfer endorsement, The thirty-fifth articles of "bill law" are perfected, the act of re entrustment after the entrustment is allowed and the re pledge after the endorsement of the entrustment is prohibited; and the thirty-fifth 2 paragraphs are perfected, and the right of the pledge of the pledgee in the pledge endorsement is clearly limited to the right of request for payment and the right of recourse, and the further transfer or pledge of the holder is prohibited.
