【摘要】：許多學(xué)者對(duì)公司治理都進(jìn)行過(guò)分析和研究,而引起公眾熱議的則是創(chuàng)業(yè)板上市公司的績(jī)效受治理結(jié)構(gòu)的影響。本文對(duì)公司績(jī)效受治理結(jié)構(gòu)各種因素的影響進(jìn)行了分析,同時(shí)對(duì)創(chuàng)業(yè)板、民營(yíng)企業(yè)等上市公司的相關(guān)研究成果進(jìn)行了系統(tǒng)回顧,從實(shí)證研究的角度提出了未來(lái)中國(guó)創(chuàng)業(yè)板上市公司內(nèi)部治理的建議。 通過(guò)實(shí)證發(fā)現(xiàn),從創(chuàng)業(yè)板上市公司的股權(quán)結(jié)構(gòu)上來(lái)看,其股權(quán)制衡度與公司績(jī)效呈正相關(guān)性關(guān)系；其管理績(jī)效與公司機(jī)構(gòu)所占有的比例明顯呈正比；在融資結(jié)構(gòu)方面,創(chuàng)業(yè)板上市公司資產(chǎn)負(fù)債率與公司績(jī)效呈正比；在董事會(huì)治理結(jié)構(gòu)方面,創(chuàng)業(yè)板上市公司信息披露分?jǐn)?shù)與公司績(jī)效呈顯著正相關(guān)性關(guān)系；創(chuàng)業(yè)板上市公司獨(dú)立董事比例與公司績(jī)效呈負(fù)相關(guān)性關(guān)系：在管理階層方面,一般公司內(nèi)部前3名管理人員薪酬與公司績(jī)效呈顯著正相關(guān)性關(guān)系。 本文結(jié)論有助于創(chuàng)業(yè)板上市企業(yè)完善治理結(jié)構(gòu),提高公司績(jī)效。
[Abstract]:Many scholars have carried on the analysis and the research to the corporate governance, but what causes the public hot discussion is that the performance of the gem listed companies is affected by the governance structure. This article has carried on the analysis to the corporate performance by the various factors of the governance structure. At the same time, the related research results of gem, private enterprises and other listed companies are reviewed systematically, and the suggestions of internal governance of listed companies in the future are put forward from the perspective of empirical research. From the perspective of the equity structure of gem listed companies, there is a positive correlation between equity checks and balances and corporate performance; management performance is obviously proportional to the proportion of corporate institutions; in the aspect of financing structure, there is a positive correlation between equity balance and corporate performance. In the governance structure of board of directors, there is a significant positive correlation between the information disclosure score of listed companies and corporate performance. There is a negative correlation between the proportion of independent directors and corporate performance in gem listed companies. In the aspect of management, the compensation of the top three managers in general companies has a significant positive correlation with corporate performance. The conclusion of this paper is helpful to improve the governance structure and corporate performance of gem listed enterprises.
