【摘要】：從委托代理理論出發(fā),研究獨(dú)立董事對研發(fā)投入的影響,選擇我國A股上市公司2003~2014年間數(shù)據(jù)進(jìn)行實證檢驗,研究表明獨(dú)立董事在董事會的人數(shù)比例能夠顯著地促進(jìn)研發(fā)投入的增加。即使考慮我國獨(dú)立董事制度強(qiáng)制實施的特殊性,研發(fā)投入比重高的高科技行業(yè)以及控制獨(dú)立董事與研發(fā)投入之間的內(nèi)生性,結(jié)果仍然成立。此外,進(jìn)一步考慮制度環(huán)境對獨(dú)立董事與研發(fā)投入關(guān)系的影響,研究表明產(chǎn)權(quán)性質(zhì)和法律保護(hù)水平能夠顯著地影響?yīng)毩⒍聦ρ邪l(fā)投入的促進(jìn)作用。
[Abstract]:Based on the principal-agent theory, this paper studies the impact of independent directors on R & D investment, and selects the data of A-share listed companies from 2003 to 2014 to carry out empirical tests. Research shows that the proportion of independent directors in the board can significantly promote the increase of R & D investment. Even considering the particularity of the enforcement of the independent director system in China, the high-tech industry with a high proportion of R & D investment and the control of the endogeneity between the independent director and the R & D investment, the result is still valid. In addition, considering the influence of institutional environment on the relationship between independent directors and R & D investment, the research shows that the nature of property rights and the level of legal protection can significantly affect the promotion role of independent directors on R & D investment.
